Dear Dan:
In follow up to our recent phone and e-mail discussions, please allow this letter to
set out my understanding regarding our Agreement for the acquisition of a temporary
construction workspace easement to City of Round Rock, Texas and/or Pedernales
Electric Cooperative, Inc. (collectively the "City") in and across portions of the property
owned by 18245 FM 1431, LLC and Parks For the Win, LLC ("Owner"), adjacent to the
additional permanent electric easement interest being acquired for the BCRUA's Phase 2
Raw Water Delivery Project ("Project").
By execution of this letter the parties agree as follows:
1. In return for Owner's delivery to City of a fully executed and
acknowledged temporary construction workspace easement ("Easement") in and to a
twenty foot (20') wide (approximately 0.361 acre) of land, such rights to be granted in
the form as set out in Exhibit "A" attached hereto and incorporated herein, County shall
pay Owner the sum of $36,450.00 in cash or other good funds ("Easement Purchase
Price").
2. If requested by City, the Closing and completion of this transaction and
payment of the Easement Purchase Price and Sign Compensation shall take place at
Texas National Title Company ("Title Company") within fourteen (14) days after full
execution of this Agreement, or at other date and time agreed to between the parties.
The Closing of this transaction shall occur simultaneously with or is otherwise
contingent upon the completion of the closing for the purchase and acquisition of the
permanent electric easement area shown on the property description sketch in Exhibit
N - 2"- 13

"A" pursuant to the separate pending executed contractual purchase agreement for
acquisition of the permanent easement area.
3. This Agreement is being made, and the Easement is being delivered, in
lieu of condemnation.
If this meets with your understanding, please execute this letter where indicated
and return it to me, and we will have this approved and signed by the City and process
this for payment and Closing as quickly as possible.

EXHIBIT "A" FORM OF EASEMENT FOLLOWS

TEMPORARY CONSTRUCTION EASEMENT
KNOW ALL PERSONS BY THESE PRESENTS:
That 18245 FM 1431, LLC and PARKS FOR THE WIN, LLC, (hereafter collectively
referred to as "Grantor"), in consideration of One Dollar ($1.00) and other good and valuable
consideration paid by Williamson County, Texas, the receipt of which is hereby acknowledged,
does hereby grant to PEDERNALES ELECTRIC COOPERATIVE, INC., its agents,
contractors, successors and assigns(referred to as"Grantee"),a temporary construction workspace
easement in connection with the proposed construction of the BCRUA raw water delivery facility
improvements and utility relocations for the purposes of:
Temporary workspace to facilitate the construction and installation of electric line and related
facilities and appurtenances in adjacent property and/or easements("Project"), in, along, upon and
across a twenty foot (20') wide strip of land located parallel and immediately adjacent to the
southern boundary of the proposed 0.361 acre electric easement parcel described as shown in
Exhibit "A" attached hereto (the "Property").
The parties further agree as follows:
Following completion of work within the Property,Grantee shall at its expense restore any
portion of the temporary construction easement if disturbed by Grantee's use of the temporary
construction easement and activities thereon,to substantially the same condition as existed prior to
any construction as reasonably practicable except as to any landscaping or vegetation that was
damaged or removed as a result of such construction.
This temporary construction easement shall be in full force and effect at all times during
the accomplishment and completion of the Project construction activities described above and as
shown on the plans attached hereto as Exhibit "B". This Temporary Construction Easement shall
terminate and the easement rights and improvements constructed within the easement area, if any,
shall fully revert to Grantor, Grantor's successors, and assigns, and ail interest conveyed shall
terminate on the later of(a)the expiration of forty-five(45) days from the Grantee's first entrance
upon the Property for purposes of construction of the Project, or(b) completion of the Project.
Grantee shall provide Grantor with a minimum of fourteen (14) days advance notice for
entry to the Property, during which time Grantor shall remove or temporarily relocate any
Recreational Vehicles or other personal property of Grantor or its tenants in order to allow Grantee
to carry out the Project.
At no time during the grant of this easement shall Grantor be denied reasonable vehicular
ingress and egress to its remaining property for the purposes to which such remaining tract is
currently being used, unless there is an agreement between Grantor and Grantee to do so in
advance.
This conveyance is subject to all easements and rights of way of record, visible or apparent
on the ground, all restrictions, reservations, covenants,conditions,oil,gas,or other mineral leases,
mineral severances and other instruments that affect the Property.
