WHEREAS, the City of Round Rock ("City") has previously entered into an "Agreement
Between the City of Round Rock and Ford Audio-Video Systems, LLC for the Purchase of Audio
Visual Equipment, Supplies and Services" ("Agreement"); and
WHEREAS, City is a member of the Interlocal Purchasing System ("TIPS"), a cooperative
purchasing program administered by the Region 8 Education Service Center for the purpose of
procuring goods and services for its members; and
WHEREAS,Ford Audio-Video Systems, LLC is an approved vendor of TIPS; and
WHEREAS, City has purchased said goods subject to the Agreement and intends to continue
to purchase said goods through TIPS Contract No. 230901; and
WHEREAS, City and Ford Audio-Video Systems, LLC desire to increase the Contract
Amount by an additional $4,000,000.00; and
WHEREAS, the City Council desires to enter into Supplemental Agreement No. 1 with Ford
Audio-Video Systems, LLC, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,TEXAS,
That the Mayor is hereby authorized and directed to execute on behalf of the City Supplemental
Agreement No. 1 to "Agreement Between the City of Round Rock and Ford Audio-Video Systems,
LLC for the Purchase of Audio Visual Equipment, Supplies and Services," a copy of same being
attached hereto as Exhibit"A" and incorporated herein for all purposes.
The City Council hereby finds and declares that written notice of the date, hour, place and
subject of the meeting at which this Resolution was adopted was posted and that such meeting was
open to the public as required by law at all times during which this Resolution and the subject matter
hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act,
Chapter 551, Texas Government Code, as amended.

THIS SUPPLEMENTAL AGREEMENT NO. 1 to "Agreement between the City of
Round Rock and Ford Audio-Video Systems, LLC for the Purchase of Audio Visual Equipment,
Supplies and Services" hereinafter called "Supplemental Agreement No. 1," is made by and
between the CITY OF ROUND ROCK, Texas, a home-rule municipality, with offices located
at 221 East Main Street, Round Rock Texas, 78664, hereinafter called the "City" and FORD
AUDIO-VIDEO SYSTEMS, LLC, with offices located at 4800 W 1-40 Service Road,
Oklahoma City, Oklahoma 73128 hereinafter called the"Vendor."
WHEREAS, the City and Vendor previously executed the referenced "Agreement
between the City of Round Rock and Ford Audio-Video Systems, LLC for the Purchase of
Audio Visual Equipment, Supplies and Services" on October 24, 2024, by Resolution No. R-
2024-285; and
WHEREAS, the Vendor is an approved Texas Interlocal Purchasing System ("TIPS")
vendor through TIPS Contract No. 230901 and City is a member of TIPS; and
WHEREAS, the City and Vendor desire to add costs to the Agreement in the amount of
$4,000,000.00; and
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Supplemental Agreement No. 1, the City and Vendor agree that said
Agreement is amended and supplemented as follows:
I.
1.0 CONTRACT AMOUNT
This Supplemental Agreement No. 1 shall increase the total compensation set forth in
Section 4.0 of the Agreement by$4,000,000.00 for a not-to-exceed total of$9,000,000.00 for the
remaining term of the Agreement.
II.
2.0 AMENDMENTS TO AGREEMENT
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original Agreement.
IN WITNESS WHEREOF, the City and Vendor have executed this Supplemental
Agreement to be effective as of the last date of due execution by both parties.
