R-00-02-08-10E1 - 2/8/2000MAY -19 -2000 FRI 07:59 AM CAMPO!PECS MAY -19 -2000 09:07 FAX NO. 5124996385 1NTERLOCAL AGREEMENT BETWEEN THE CAPITAL AREA METROPOLITAN O OPLANNING K ORGANIZATION AND THIS INTERLOCAL AGREEMENT ( "Agreement ") is made by and between the Capital Area Metropolitan Planning Organization (hereinafter "CAMPO ") and the City of Round Rock (hereinafter the "City ") - WITNESSETH: WIIEREAS, CAMPO and the City are authorized to enter into this Agreement pursuant to the provisions of the Interlocal Cooperation Act, Texas Government Code Section 791.001 et seq; and WHEREAS, on February 7, 2000, the CAMPO Policy Advisory Committee authorized the Chairman to negotiate and execute interlocal agreements with local public agencies and private businesses for funding a peer review of transportation planning and decision making in the three - county region; and WIIEREAS, the three- county region —which includes Williamson County, Travis County, Flays County and greater metropolitan Austin —is integrated in terms of travel patterns, transportation needs and air quality issues; and WHEREAS, the Peer Review will independently ensure that the three- county region has a quality multi -modal transportation plan to address mobility, congestion, air and water quality, and the allocation of transportation resources; NOW, THEREFORE, CAMPO and the City agree as follows: 1. OBLIGATION OF CAMPO A. CAMPO will retain and mange a consultant to perform an independent review of regional plans and transportation planning in the three - county area. B. The Peer Review study will include: 1. An evaluation of the region's transportation plans, planning processes, and dccision- making structures 2. A review of the validity and consistency of transportation assumptions, methodologies, and data 3. An assessment of the degree to which regional plans and programs arc integrated, consistent, comprehensive and compatible 4. Recommendations for strengthening the comprehensive, multi -modal transportation planning and decision- making process. C. OBLIGATION OF THE CITY A. City elected officials, or their representatives, and key staff will meet with the selected consultant for interviews and /or to provide plans and program data, as necessary, during the consultant's review of the component plans that arc part of the regional, multi -modal transportation plan. 13. The City shall pay CAMPO $15,000, within one (1) week of execution of this Agreement, as its share of the budget for SubTask 505 in CAMPO's Unified Planning Work Program, attached hereto as Exhibit A. inspect records maintained by C CAMPO relative to the work performed under this Agreement at the offices of CAMPO during normal business hours. 111. TERMS, TERMINATION A. This Agreement shall be effective from and after the date of execution by all parties and shall expire 150 days after its effective date unless previously terminated pursuant to Section 111. B to this Agreement. 13. if either party defaults in the performance of any of the terms or conditions of this Agreement, the defaulting party shall have 30 days after receipt of written notice of such default within which to cure such default. If such default is not cured within such period of time, then the offended party shall have the right without further notice to terminate this Agreement. IV. MISCELLANEOUS A. Severability, if any section, subsection, sentence, clause or phrase of this Agreement is for any reason held to be unconstitutional, void, or invalid, the validity of the retnaining portions of the Agreement shall not be affected thereby. It is the intent of the parties signing this Agreement that no portion of it, or provision or regulation contained in it shall become inoperative or fail by reason of unconstitutionality or invalidity of any other section, subsection, sentence, clause, phrase, provision, or regulation of this Agreement. B. Law and Venue. his Agreement shall be governed by the laws of the State of Texas. The obligations under this Agreemcnt are performable in Travis County, Texas. It is expressly understood that any lawsuit or litigation arising out of or relating to this contract will take place in 1Yavis County, Texas. C. indemnity. To the fullest extent allowable under law, CAMPO indemnifies and holds harmless the City from and against all claims, losses, and damages caused by action or liability of any kind for injuries or death of any person or damage to any property, arising out of or in connection with work done by CAMPO, its officers, agents, or employees under this Agreement.
