The Round Rock City Council approved Resolution No. R- 00- 03- 23 -13B1 at their
regularly scheduled meeting on March 23, 2000. This resolution approves the
agreement for services to conduct citizen participation workshops and develop policies
and guidelines for the Palm Valley Area Plan.

WHEREAS, the City of Round Rock desires to retain professional
services to conduct citizen participation workshops and develop
policies and guidelines for the Palm Valley Area Plan, and
WHEREAS, the Palm Valley Working Group has submitted an agreement
to provide said services, and
WHEREAS, the City Council desires to enter into said agreement
with the Palm Valley Working Group, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City an agreement with the Palm Valley Working Group for
professional services to conduct citizen participation workshops and
develop policies and guidelines for the Palm Valley Area Plan, a copy
of said agreement being attached hereto and incorporated herein for all
purposes.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas

Attachment I
Scope of Work & Budget
Consultant Responsibilities
The Palm Valley Working Group has met with principles in the Planning and
Community Development Department to negotiate and revise this modified work plan
for the Spring, 2000. The resulting program includes a total of five community
meetings, including a Kick -off Meeting, two Planning and Design Workshops, and
two Public Presentations of results and recommendations before the Planning and
Zoning Committee and the City Council. The following explanation of workshops and
meetings includes a time schedule that follows the dates specified in the Request for
Qualifications. The specified time schedule is very short and intensive, particularly
for conducting a series of workshops which culminates in the detail and resolution
needed for community support in zoning and other land use /design guidelines.
Community Planning and Design Workshops.
The Palm Valley Working Group will engage the community in a planning and
design process through a series of four community workshops:
• Introductory Kick -off Meeting
• First Planning and Design Workshop
• Second Planning and Design Workshop
• Final Presentation before the Workshop Participants and
Planning and Zoning Committee
Final Presentation before the City Council
The Introductory Kick -off Workshop will be attended by all participants in succeeding
workshops. It will begin with a review and focus of information and planning
guidelines found in the General Plan as they relate to the Palm Valley area. A Place -
Making Survey will be conducted to give all participants increased exposure to and a
chance to discuss altemative land use patterns, densities, mixes of uses, and design
concepts relevant to the planning area.
The first and second Planning and Design Workshops will address in considerably
greater detail the key issues affecting the Palm Valley area. Each workshop will be
designed to build upon earlier work (1998 planning charrettes and the General Plan)
as well as the information and outcomes of the Kick -off Meeting (Place - making
Survey and visioning exercise). Morning sessions will include a brief community
visioning exercise, to be carried out by small break -out teams of participants,
enabling participants to focus on issues addressing the entire area. It will serve to
link the discussions at the previous Kick -Off Meeting to the Palm Valley area and will
allow the diverse stakeholder interests to take their first significant step in this
collaborative effort to formulate land use planning and design guidelines.

Afternoon sessions will include a facilitated design charrette, culminating in team
presentations and group discussion of points in common and difference. Each
workshop will address a specific set of topics, which are futher detailed in the
following section.
The principals in the Palm Valley Working Group have vast and diverse experience
in organizing and preparing for Placemaking Surveys, charrettes, and related
workshops. The principals will carefully review and explore more detailed options for
agendas and desired outcomes of each workshop with the Planning and Community
Development staff prior to specifying and organizing each of the workshops.
The two Final Presentations will serve to integrate the results of the Kick -Off
Meeting, visioning exercise, and planning and design workshops into coherent and
geographically specifiable policies and guidelines for land use and urban design in
the Palm Valley area. Participants in the preceding workshops will realize that their
contributions through listening, discussion, and participation in planning and design
exercises parlayed into an exciting and community -based set of guidelines of future
growth. The guidelines resulting from the work program will be carefully tailored to
enable the City to develop and implement zoning overlay districts and other
development guidance tools for the Palm Valley area.
Briefing Sessions.
Additionally, the Palm Valley Working Group will hold at least three briefing sessions
with Planning and Community Development Department staff prior to and between
the community meetings. Some of the objectives and approaches to be taken at
each briefing and workshop are detailed below.
We would propose the following sequence of briefing meetings and community
workshops.
• Briefing session with Planning and Community Development staff prior to
Introductory Kick -off Meeting
• Introductory Kick -off Workshop— Understanding the Palm Valley Area, the
Planning Process, and Formulating a Future Vision
Objectives:
a. Introduce the workshop and community planning approach; review historical
and current land uses, growth and development trends in the Palm Valley
area; review the General Plan and pertinent land development guidelines;
b. Introduce land use planning, urban design and conservation principles
applicable to land development in the Palm Valley area;
c. Conduct a Place- making Survey, providing educational and interactive
discussion of fundamental land use and design issues
Explanation: Planning and Community Development staff will participate in this
meeting by introducing the program and explaining the role of the General Plan.

• Pre- Workshop Briefing Session
Objectives: Review and finalize agenda, materials, invitees, outcomes, and other
details prior to the two Planning and Design Workshops. Includes intemal
consultant team preparation time.
• First Planning and Design Workshop : Two Topics: (a) Heritage Areas,
Natural and Open Space Resources; (b) Transportation -Land Use and
Public Infrastructure -Land Use Linkages
Objectives:
a. Build on results of the Introductory Kick -Off Meeting with a brief visioning
exercise addressing the entire Palm Valley area.
b. Identify and graphically designate critical sites, zones, corridors and buffers
for historical, cultural, natural resource, and open space resources, in the
context of probable future land use and development;
c. Review plans and develop future options for land use and development in
relation to transportation and infrastructure planning
Explanation: This workshop will be attended by at least one -half of the attendees of
the Kick -off Workshop. Attendees will break into two groups to work in detail on
two topical areas as noted above.
• Second Planning and Design Workshop: Appropriateness and
Compatibility in Land Use Planning and Design
Objectives:
a. Build on results of the Introductory Kick -Off Meeting with a brief visioning
exercise addressing the entire Palm Valley area. (This initial section of the
Workshop duplicates the morning session of the first Workshop, providing
continuity for those not able to attend the first Workshop.
b. Review Existing and Future Land Use Maps (General Plan) and address
single -, two- and multi - family housing, commercial and industrial
development, mixed -use development, and civic uses
c. Review market demand for uses, land use - transportation planning
relationships.
d. Address land use compatibility issues, urban design principles, and
conventional and innovative guidance measures for managing future land use
Explanation: This workshop will be attended by at least one -half of the attendees
of the Kick -off Workshop, not necessarily overlapping with the attendees of the
first Planning and Design Workshop.

• Briefing Session Prior to Final Presentations
Objectives: Preliminary staff review of the findings and recommendations
stemming from the Planning and Design Workshops, prior to their presentation at
the public meetings.
• Public Presentation to Planning and Zoning Committee and Workshop
Participants
Objectives: To demonstrate how the community's visions and work on land use
planning and design are translatable into workable policies, guidelines, and
regulatory measures for incorporation into zoning and other devices.
• Public Presentation to City Council
Objectives: To demonstrate how the community's visions and work on land use
planning and design are translatable into workable policies, guidelines, and
regulatory measures for incorporation into zoning and other devices.
Final Report and Graphic Production
Final Report. Prior to the public presentations, the Final Report will be produced in
camera -ready format to the Planning and Community Development Department.
City staff reviews of a draft Final Report and comments and follow -up discussions
with the Palm Valley Working Group will be considered in preparing the edited Final
Report. The Planning and Community Development Department will be responsible
for printing and distribution of the Final Report and support graphics.
Graphics. The Palm Valley Working Group has given special consideration to the
need for high - quality, informative graphic products emanating from the Palm Valley
Area Study. Subject to any changes requested by the Planning and Community
Development staff, the proposed format for presentation of graphic products is as
follows. A number of illustrative posters, each portraying an area found by the
Working Group to be distinctively different in character from other areas, will be
prepared. Each poster will include a map which graphically presents future land
uses and characteristics of the area; and the map will be surrounded by a rich
collection of images (photographs, plans, elevations, and perspective sketches)
which represent the concepts and ideas applicable for the geographic area shown on
the map. Some of the images will represent graphically the tools needed for
implementation of zoning overlays, performance standards, and the like. The
posters will be documented and supported with a textual Final Report which also
contains some of the images shown on the posters.
The posters will serve very effectively as portable presentation boards for public
meetings or for public display on a wail. They wili be produced in a format that

allows digitization on a large- format flat bed scanner and reduction to ledger -size
(11X17 inches) for inclusion in the Final Report or in a Web site. This type of format
and product excites people's imaginations because it shows ideas as being real and
locally applicable.
As described in the Letter of Interest, the principals own or have direct access to a
vast array -- thousands - -of slides, technical drawings, renderings, and other graphic
publications which capture some of the most exciting and innovative practices of
urban design and management of growth in the U.S. All graphic products to be
presented at workshops will be prepared as 35mm color slides or digital color images
for projection and easy viewing. The general strategy will be to select the most
informative slides possible- -those which explain design concepts in lay terms and
which relate well to the Palm Valley context -- rather than use a "shotgun" approach
which may overwhelm the audience with ideas and options.
Budget and Work Effort
The attached detailed budget provides considerable detail as to the level of effort
and the specific assignments of principals to each stage of the work program.
Printing and Reproduction. The following budget assumes that the City's Planning
and Community Development Department will cover virtually all printing, postage,
photo - reduction and other duplication costs. The Palm Valley Working Group will
cover out -of- pocket costs associated with preparation and development of slides,
graphics, posters, and other work products leading to the workshops and public
presentations. A camera -ready copy of the Final Report and presentation posters
will be delivered to the City; and the City will be responsible for any needed
scanning, photo- reductions, printing, and duplication prior to public distribution..

Scope of Work — City Responsibilities
A. Meeting Advertising & Coordinating
The Planning and Community Development Department will recruit stakeholders as
well as schedule, advertise and provide meeting locations for each of the workshops
referenced in Attachment I of this agreement. All workshops will be held in the City
of Round Rock. At least 2 City Staff will attend each workshop and provide
information on existing standards and procedures in response to participant
questions.
B. Report Duplication, Mailing & Distribution
The Planning and Community Development Department will duplicate and distribute
all reports and graphics referenced in Attachment I of this agreement. Duplication
expenses include reducing graphics if necessary.

Payment Policy
Payment for the successful completion of the Scope of Work will be made in two (2)
payments. The first payment will be for the kick -off meeting, first and second
workshops, briefing sessions, and the percentage of project management completed
through April 15 The final payment will be paid after the final presentation to the
City Council currently scheduled on June 8 and after completion of the final report.
In accordance with Chapter 2251, V.T.C.A., Texas Government Code, payment to
Vendor will be made within thirty (30) days of the day on which the City receives the
supplies, materials, equipment, or within thirty (30) days of the day on which the
performance of services was complete, or within thirty (30) days of the day on which
the City receives a correct invoice for the supplies, materials, equipment, or services,
whichever is later. Vendor may charge a late fee (fee shall not be greater than that
which is permitted by Texas law) for payments not made in accordance with this
prompt payment policy, however, this policy does not apply to payments made by the
City in the event:
• there is a bona fide dispute between the City and Vendor concerning the
supplies, materials, or equipment delivered or the services performed that
causes the payment to be late; or
• the terms of a Federal contract, grant, regulation, or statute prevent the
City from making a timely payment with Federal Funds; or
• there is a bona fide dispute between Vendor and a subcontractor or
between a subcontractor and its supplier concerning supplies, materials,
or equipment delivered or the services performed which causes the
payment to be late; or
• The invoice is not mailed to the City in strict accordance with instructions,
if any, on the purchase order, or this Agreement or other such contractual
agreement.
No payment will be made for any services other than those agreed to in the Scope of
Work and the Consultant's work Plan, except:
A. In the event the City adds extra work, the City will pay the consultant the
hourly rate stipulated in the contract upon receipt of a proper invoice for
the extra work completed. The Principal Planner must authorize in writing
any and all extra work.
B. Invoicing shall be in the same manner as described above.
Upon receipt and approval of each invoice, the City shall make a good faith effort to
pay the amount which is due and payable within thirty (30) days. The City shall
reserve the right to withhold payment pending verification of satisfactory work
performed.

Attachment IV
Termination
The Agreement may be terminated before the stated termination date by any of the
following conditions.
(1) By mutual agreement and consent in writing of both parties.
(2) By the City by notice in writing to the Consultant as a
consequence of failure by the Consultant to perform the
services set forth herein in a satisfactory manner.
(3) By either party, upon the failure of the other party to fulfill its
obligations as set forth herein.
(4) By the City for reasons of its own and not subject to the mutual
consent of the Consultant upon not less than thirty (30) days
written notice to the Consultant.
(5) By satisfactory completion of all services and obligations
described herein.
Should the City terminate this Agreement as herein provided, no fees other than fees
due and payable at the time of termination shall thereafter be paid to the Consultant.
In determining the value of the work performed by the Consultant prior to termination,
the City shall be the sole judge. Compensation for work at termination will be based
on a percentage of the work completed at that time. Should the City terminate this
Agreement under (4) of the paragraph identified above, the amount charged during
the thirty (30) day notice period shall not exceed the amount charged during the
preceding thirty (30) days.
If the consultant defaults in the performance of this Agreement or if the City
terminates this Agreement for fault on the part of the Consultant, the City sill give
consideration to the actual costs incurred by the Consultant in performing the work to
the date of default, the amount of work required which was satisfactorily completed
to date of default, the value of the work which is useable to the City, the cost to the
city of employing another firm to complete the work required and the time required to
do so, and other factors which affect the value to the City of the work performed at
the time of default.
The termination of this Agreement and payment of an amount in settlement as
prescribed above shall extinguish all rights, duties, and obligations of the City and
the consultant under this Agreement. If the termination of this Agreement is due to
the failure of the Consultant to fulfill its Agreement obligations, the City may take over
the project and prosecute the work to completion. In such case, the Consultant shall
be liable to the City for any additional cost occasioned by the City.
Regarding subcontractors, the Consultant shall be responsible for the settlement of
all contractual and administrative issues arising out of the procurement made by the
Consultant in support of the scope of services under this Agreement.

with the Palm Valley Working Group for professional services to
conduct citizen participation workshops and develop policies and
guidelines for the Palm Valley Area Plan. These workshops will be
the major public participation component of the Palm Valley Area
