12C4 at their regularly scheduled meeting on May 24, 2001. This
resolution approves a letter of agreement for professional consulting
services to assist the City in monitoring the development and
construction of state highway improvements with in the City, air
quality issues and regional mobility issues.

WHEREAS, the City of Round Rock has a need for professional
consulting services to assist the City in monitoring the development
and construction of state highway improvements within the City, air
quality issues, and regional mobility issues, and
WHEREAS, Prime Strategies, Inc. has submitted a letter of
agreement to provide the needed services, and
WHEREAS, the City Council desires to enter into said letter of
agreement with Prime Strategies, Inc., Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City, a letter of agreement with Prime Strategies, Inc.
for professional consulting services to assist the City in monitoring
the development and construction of state highway improvements within
the City, air quality issues, and regional mobility issues, a copy of
said letter of agreement being attached hereto and incorporated herein
for all purposes.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended, and the Act.

Re: Contract Extension
Dear Mr. Word:
As requested, I am providing this letter proposal to extend our current contract with
the City of Round Rock for strategic transportation planning and
financing/implementation policy. I have identified several broad work tasks and
categories for our involvement during the next 12 -18 months. I would propose that
Prime Strategies, Inc. work on a time and material basis (Attached Fee Schedule) with
a not -to- exceed ceiling of $50,000.00. If additional tasks are defined as we progress,
we can revise the contract, as agreeable by both parties.
TASK I - Regional TaDOT Implementation Strategy

Assist the City in monitoring the development and construction of state
highway improvements including, but not limited to: SH 45, SH 130,
11 135, US 79, FM 1460 and Greenlawn Blvd. interchange.
Assist the City in hosting a series of meetings with Williamson County,
Travis County, and City of Austin officials regarding SH 45 right of
way acquisition and financial participation;
Assist in TxDOT/TTA meetings to review and implement
recommended right of way /construction strategies;
Assist in property owner and Williamson County meetings to discuss
right of way donations and staged construction of state highways.
TASK II - Air Quality / Non - Attainment Issues
Assist the City in monitoring and reviewing the activities of TxDOT,
CAMPO, and TNRCC in addressing the non - attainment designation
and implementation of an air quality conformity analysis;
Monitor SIP development and guidelines for implementation of
roadway projects "of regional significance" during development of the
2007 roadway air quality conformity analysis and State implementation
plan.

If this letter proposal is acceptable, please execute and retum one copy to our office. I
would propose this contract be valid through May 31, 2002. Obviously, the City can
cancel it at any time or amend it for specific work programs. If you have any -
questions, please contact me.

Reimbursable Expenses
Direct expenses shall be those costs incurred on behalf of the Client for project efforts,
including but not limited to, necessary transportation costs including mileage at Prime
Strategies, Inc.'s current rate ($0.31 /mile) when automobiles are used, meals and lodging,
computer and printing service bureau charges, telephone, facsimile, delivery service,
reproduction, and binding charges. Reimbursements for these expenses shall be on the
basis of actual charges when furnished by commercial sources and on the basis of usual
commercial charges when furnished by Prime Strategies, Inc.

CONTRACT PROVISIONS
1. AUTHORIZATION TO PROCEED
Signing this agreement shall be construed as authorization by Client for Prime
Strategies, Inc. to proceed with the work, unless otherwise provided for in the
authorization.
2. OUTSIDE SERVICES
When technical or professional services are furnished by an outside source, when
approved by CLIENT, an additional amount shall be added to the cost of these
services for Prime Strategies, Inc.'s administrative costs, as negotiated.
3. PROFESSIONAL STANDARDS
Prime Strategies, Inc. shall be responsible, to the level of competency presently
maintained by other practicing professional engineers in the same type of work in
Client's community, for the professional and technical soundness, accuracy, and
adequacy of the work and materials furnished under this Authorization.
4. TERMINATION
Either Client or Prime Strategies, Inc. may terminate this authorization by giving 30
days written notice to the other party. In such event Client shall forthwith pay
Prime Strategies, Inc. in full for all work previously authorized and performed prior
to effective date of termination. If no notice of termination is given, relationships
and obligations created by this Authorization shall be terminated upon completion
of all applicable requirements of this Authorization.
5. ARBITRATION
All claims, disputes, and other matters in question arising out of, or relating to, this
Authorization or the breach thereof may be decided by arbitration in accordance
with the rules ofthe American Arbitration Association then obtaining. Either Client
or Prime Strategies, Inc. may initiate a request for such arbitration, but consent of
the other party to such procedure shall be mandatory. No arbitration arising out of,
or relating to this Authorization may include, by consolidation, joinder, or in any
other manner, any additional party not a party to this Authorization
6. LEGAL EXPENSES
In the event legal action is brought by Client or Prime Strategies, Inc. against the
other to enforce any of the obligations hereunder or arising out of any dispute
concerning the terms and conditions hereby created, the losing party shall pay the
prevailing party such reasonable amounts for fees, costs and expenses as may be set
by the court.
7. PAYMENT TO Prime Strategies, Inc.
Monthly invoices will be submitted by Prime Strategies, Inc. for all work performed
under the terms of this agreement, together with appropriate supporting
documentation as may be required by the Client. Prime Strategies, Inc. will be paid
upon approval of the invoice.
8. LIMITATION OF LIABILITY
Prime Strategies, Inc.'s liability to the Client for any cause or combination of causes
is in the aggregate, limited to an amount no greater than the fee earned under this
agreement.
9. ADDITIONAL SERVICES
Services in addition to those specified in Scope will be provided by Prime
Strategies, Inc. if authorized in writing by Client. Additional services will be paid
for by Client, as negotiated.
10. SALES TAX
In accordance with the State Sales Tax Codes, certain surveying services are
taxable. Applicable sales tax is not included m the above proposed fee. Sales tax
at an applicable rate will be indicated on invoice statements.
11. ACCESS TO RECORDS
Prime Strategies, Inc. agrees that the Client and OWNER shall, until the expiration
of three (3) years after final payment by OWNER to Client, have access to and the
right to examine and photocopy directly pertinent documents, papers and records
of Prime Strategies, Inc. involving transactions relating to this contract. Prime
Strategies, Inc. agrees that the Client and OWNER shall have access during normal
working hours to all necessary facilities and shall be provided adequate and
appropriate work space in order to conduct audits m compliance with the provisions
of this section.
In case any one or more of the provisions contained in this Agreement shall be held
illegal, the enforceability of the remaining provisions contained herein shall not be
impaired thereby.

History: The Round Rock City Council approved Resolution 99-12-16 -
13D5 which approved entering into an agreement with Prime
Strategies, Inc. Prime Strategies provided assistance to the City in
negotiating agreements with TxDOT and TTA, and in
coordination of transportation solutions with other Central Texas
governmental entities. This new contract will provide for the
continuation of similar services.
