WHEREAS, Jefferson wells International has submitted a
Professional Services Agreement to provide said services, and
WHEREAS, the City Council desires to enter into said Agreement
with Jefferson Wells International, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City a Professional Services Agreement with Jefferson
Wells International for a project management audit, a copy of said
Agreement being attached hereto as Exhibit "A" and incorporated herein
for all purposes.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended.

management process to oversee projects and to protect the city's financial interests. The City of
Round Rock is interested in having its construction project management process evaluated from a
business perspective by a professional services firm experienced in construction services and
business process improvement.
The result of this work is expected to provide information that can be used to improve the project
management process and established controls.
Jefferson Wells Solution
Jefferson Wells is pleased to make its Construction Services practice available to the City of
Round Rock. Professionals within our Construction Services practice are knowledgeable and
experienced in the construction industry and specialize in conducting engagements of this type.
Based upon the needs described to us, we propose performing a review of the City's construction
project management process, controls, project accounting and reporting processes and interaction
with the construction department. We define this type of review as Owner Consulting Services.
This engagement will result in a set of findings and recommendations that will allow the City to
accurately assess the effectiveness of their current processes and identify areas for improvement.

A Jefferson Wells Engagement Manager will conduct this engagement. An additional
Construction Services professional will be also be assigned should time constraints be a factor.
All Construction Services professionals are selected and trained to the same standard.
Construction Services engagements are managed on site by the Engagement Manager and are
overseen by Bob McDonald, Construction Services Practice Leader. The Engagement Manager
is a working manager who assumes overall responsibility for the engagement and assigns and
supervises the work of any other professionals participating in the engagement.
During the conduct of the work you will have access to Bob McDonald, who is responsible for
providing quality assurance, scheduling and client service. We expect Bob's contribution to be
5% or less of the total time required.
Pricing
Jefferson Wells is pleased to offer a customized, quality solution. Our pricing for professional
services is based on the complexity of the engagement and the technical skills required and are as
follows:
Based upon the information stated above, Jefferson Wells is pleased to perform this engagement
for an amount not to exceed S25,000. This amount includes all services, travel and expenses.
Payment Terms
Jefferson Wells invoices are sent bi- weekly and are due 15 days from the invoice date. Your
cooperation in ensuring these terms are met will enable us to continue to provide you with the
best value in the marketplace. We also believe consistent and timely invoicing helps our
customers closely track costs accumulating on their projects for optimal internal project
management.

• In recognition of your changing and evolving environment, this project can be cancelled
at any time for any reason.
• As our customer, all documents and reports belong to you.
• Jefferson Wells is not a public accounting firm and does not provide attest services or
otherwise report on financial statements. The procedures we perform and the products
we create will be under the direction of the City of Round Rock and are intended for
internal use.
• This proposal expires sixty days from the proposal date, unless signed.

JEFFERSON WELLS INTERNATIONAL
MASTER SERVICE AGREEMENT
TERMS AND CONDITIONS
THIS MASTER SERVICE AGREEMENT is made and entered into this day of 20 between City of Round
Rock, Department of Public Works ( "CLIENT ") and JEFFERSON WELLS INTERNATIONAL, a Delaware corporation
( "JEFFERSON WELLS "). This agreement sets forth the general terms and conditions pursuant, to which JEFFERSON WELLS will
provide services to CLIENT. The specific engagement scope and pricing will be separately documented in the Proposal(s).
1. Location. Services will be performed at sites established by CLIENT unless otherwise agreed to in the Proposal(s).
2. Rights of Title. All reports, workpapers, programs, manuals, discs, rapes, listings and any other material prepared solely under
this Agreement by JEFFERSON WELLS's employees shall belong exclusively to CLIENT and CLIENT shall have the right to
obtain from JEFFERSON WELLS and/or JEFFERSON WELLS's employees, and to hold in CLIENT's name all copyrights,
trademark registrations, patents or whatever protection CLIENT may deem appropriate to the subject matter. JEFFERSON
WELLS agrees to give CLIENT reasonable assistance, at CLIENT'S expense, required to protect the rights defined in this
paragraph. All reports, workpapers, programs, manuals, discs, tapes, listings and any other material prepared solely under this
Agreement by JEFFERSON WELLS' employees is intended solely for the use of CLIENT's internal management and is not
intended to be and should not be used by any other parties without the prior written consent of JEFFERSON WELLS.
3. Termination. Unless otherwise provided for in the Proposal(s), either party may terminate this Agreement for any reason at any
time. Upon termination, CLIENT shall pay JEFFERSON WELLS' final invoice for all amounts due under the terms of section
4 below.
4. Payment. JEFFERSON WELLS shall be paid at the billable rates set forth in each Proposal(s). JEFFERSON WELLS'
employees' daily working hours shall be the same as worked by CLIENT's employees, unless otherwise directed and/or
approved by CLIENT.
(a) JEFFERSON WELLS shall invoice CLIENT on a monthly basis. Terms shall be net 30 (thirty) days. All
objections by CLIENT to an invoice must be made in writing to JEFFERSON WELLS within 30 (thirty) days after the
date of the invoice. If no objections are received by JEFFERSON WELLS within such seven-day period, the invoice
shall be deemed accepted by CLIENT.
(b) If payment has not been received as set forth herein, JEFFERSON WELLS reserves the right, in addition to any
otter rights it may have, to (i) suspend the services until such payment is made in full, (ii) charge interest on the amount
past due at the lesser of 1.5% per month or the maximum allowed by law and (iii) invoice CLIENT for all costs of
collection including reasonable attorney's fees.
5. Taxes. CLIENT shall be responsible for payment of all taxes (excluding payroll and income taxes), if any, levied upon the
services provided under this Agreement.
6. Insurance. JEFFERSON WELLS agrees to maintain the following insurance for its employees.
(a) Worker's compensation insurance covering all JEFFERSON WELLS employees;
(b) Employer's liability insurance;
Comprehensive automobile liability insurance for combined bodily injury and property damage;
comprehensive general liability insurance for combined bodily injury and property damage; and
JEFFERSON WELLS agrees to provide CLIENT with certificates of insurance upon request.
7. Independent Contractor Relationship. The parties understand and agree that the personnel assigned by JEFFERSON WELLS
to CLIENT under this Agreement are JEFFERSON WELLS' employees or agents. Under no circumstances are such personnel
to be considered CLIENT employees or agents. JEFFERSON WELLS shall perform its obligations under this Agreement as an
independent contactor and not. as an agent or joint venture partner of CLIENT.
8. Mutual Indetmificalion. Both parties agree to indenmify and hold each other harmless. for any injuries to persons or property
caused by the intentional and willful ads of each parties' own employees in the performance of services under this Agreement.
9. Warranty. JEFFERSON WELLS warrants that the services will be performed in a workmanlike and professional manner by
individuals who have skill and experience commensurate with the requirements of the services. Other than those contained in
this section, JEFFERSON WELLS makes no other representations or warranties with respect to the services.
10. Limitation of Liability. CLIENT understands and agrees that JEFFERSON WELLS will not be liable for any punitive,
incidental, consequential or indirect damages. CLIENT agrees that JEFFERSON WELLS' liability for any damages, if any,
shall not exceed those charges paid to JEFFERSON WELLS by CLIENT for the services rendered by the JEFFERSON
WELLS employee(s) who caused such damage.
11. Entire Agreement. This Agreement and the Proposal(s) referred to, as well as any written amendments, shall constitute the
entire Agreement between the parties and supersedes all previous communications, representations, understandings, concurrent
or subsequent purchase orders, and agreements, whether oral or written, between the parties or any officer or representative of
the parties. CLIENT has not relied upon any representations other than those set forth in this Agreement.
12. Amendments. No amendments or other variation to this Agreement shall be effective unless it is in writing and is signed by an
authorized person on behalf of each party.
13. Governing Law. The laws of the State of Texas shall govem this Agreement. Both parties consent to the jurisdiction of the
courts in the stale of Texas. Venue shall lie in Williamson County Texas.
14. Severability. If any provision of this Agreement is determined to be unenforceable or invalid, the remaining provisions of this
Agreement shall remain in full force and effect.
15. Force Majeure. JEFFERSON WELLS and CLIENT shall not be liable for any failure to perform or delay in performance of its
obligations under this Agreement, resulting from the elements, acts of God or any other cause beyond the reasonable control of
the party failing to perfomt.
16. Notices. Any notices required under this Agreement shall be in writing. Notices shall be delivered in person or sent by
overnight oourier or facsimile addressed to the addresses in the Proposal(s). Notice shall be effective when sent by overnight
courier or facsimile or upon delivery if delivered in person.

13. Governing Law. The laws of the State of Texas shall govern this Agreement. Both parties consent to the jurisdiction of the
courts in the state of Texas. Venue shall lie in Williamson County Texas.
14. Severability. If any provision of this Agreement is determined to be unenforceable or invalid, the remaining provisions of this
Agreement shall remain in full force and effect.
15. Force Maieure. JEFFERSON WELLS and CLIENT shall not be liable for any failure to perform or delay in performance of its
obligations under this Agreement, resulting from the elements, acts of God or any other cause beyond the reasonable control of
the party failing to perform.
16. Notices. Any notices required under this Agreement shall be in writing. Notices shall be delivered in person or sent by
ovemight courier or facsimile addressed to the addresses in the Proposal(s). Notice shall be effective when sent by overnight
courier or facsimile or upon delivery if delivered in person.
