WHEREAS, the City has previously entered into an Agreement for
Consulting Services with Development Counsellors International for
national media relations services, and
WHEREAS,Development Counsellors International has submitted a First
Amendment to Agreement for Consulting Services to include a Dallas media
trip, and
WHEREAS, the City Council desires to enter into said amendment
with Development Counsellors International, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City a First Amendment to Agreement for Consulting
Services with Development Counsellors International, a copy of same
being attached hereto as Exhibit "A" and incorporated herein for all
purposes.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended

FIRST AMENDMENT TO
CITY OF ROUND ROCK
AGREEMENT FOR CONSULTING SERVICES
WITH DEVELOPMENT COUNSELLORS INTERNATIONAL
THIS FIRST AMENDMENT TO CITY OF ROUND ROCK AGREEMENT FOR
CONSULTING SERVICES WITH DEVELOPMENT COUNSELLORS INTERNATIONAL (the
"First Amendment ") is made and entered into on this the _ day of , 2003, by and between
the City of Round Rock, a Texas home -rule municipal corporation, whose offices are located at 221
East Main Street, Round Rock, Texas 78664 -5299 (the "City ") and Development Counsellors
International, whose offices are located at 461 Park Avenue south, New York, New York 10016
( "DCI ").
Recitals:
WHEREAS, the parties entered into that certain City of Round Rock Agreement for
Consulting Services with Development Counsellors International dated effective February 27, 2003
(the "Agreement ") regarding the development of a national media public relations campaign, as more
particularly described therein; and
WHEREAS, the Agreement provides that DCI will provide a media tour to Dallas for
purposes of taking the City's story directly to the news media, as more particularly described in the
Agreement; and
WHEREAS, the parties want to enter into this First Amendment to evidence their new
agreement regarding the media tour to Dallas and the amount of money that the City will be required
to pay, all as set forth in this First Amendment;
NOW, THEREFORE, for good and valuable consideration, and in consideration of the
mutual covenants and benefits herein contained, the parties hereby covenant and agree as follows:
Agreement:
1. Section 11. B. of Exhibit "A" of the Agreement is hereby deleted in its entirety, and the
following is substituted in its place:

Taking "Round Rock on the Road ": Media and Site Consultant Tour to Dallas
This is where the region takes its story directly to the news media and site
selection consultants. This is vitally important because reporters at top -tier
publications such as The Wall Street Journal, The new York Times and
Business Week often can't travel as readily as the trade press to make the
initial discovery about a story. We will work closely with you to choose
appropriate spokespeople and then take your story directly to the doorsteps

of media based in Dallas, where many of these publications have bureaus.
The Dallas tour also will include meetings with targeted site selection
consultants.
From our recent experience coordinating and executing the New York Media
Tour, we've found that some of the media we reached out to suggested taking
Round Rock's story to their Dallas bureau, where a reporter may be more
likely to cover a story within his or her coverage area.
OBJECTIVE: Coordinate a media tour to Dallas with atotal of three to four
interviews with journalists at top -tier media outlets and one -two site selection
consultants for a total of four to six meetings."
2. The "Round Rock Media Tour to Dallas Program Budget" attached hereto is hereby
incorporated into the Agreement, as Exhibit "B ".
3. Capitalized terms not otherwise defined in this First Amendment shall have the meanings
ascribed to them in the Agreement.
4. Except as amended hereby, the Agreement as originally written remains in full force and
effect.
4. This First Amendment may be executed in multiple counterparts, which, when combined
together, shall constitute an original of this First Amendment. In addition, facsimile signatures of
the parties shall be effective on all counterparts of this First Amendment.
5. This First Amendment, together with the Agreement, embodies the entire agreement of the
parties hereto, and is binding upon and inures to the benefit of the parties to this First Amendment
and their respective heirs, executors, administrators, personal representatives, legal representatives,
successors and assigns and incorporates all previous correspondence or communication, whether
written or oral. The Agreement, as amended hereby, can only be further modified or varied by
written instrument subscribed to by the parties hereto.
IN WITNESS WHEREOF, City and DCI have executed this Agreement on the dates indicated.

Council approved an agreement with DCI on February 27,
2003 to provide media relation services. Due to time and
budget constraints we removed the Dallas media trip from
the original agreement.

With a successful initiative underway and media momentum
building, it will be greatly beneficial to continue building on
the momentum gained to date.
