CONTRACT FOR
ENGINEERING SERVICES
This Contract entered into this day of , 1980. by
and between the CITY OF ROUND ROCK, TEXAS, hereinafter called the City,
and FREESE AND NICHOLS, INC., of Fort Worth. Texas, Registered Profes-
sional Engineers, hereinafter called the Engineer.
Witnesseth, that in consideration of the covenants and agreements
herein contained, the parties hereto do mutually agree as follows:
1. Employment of Engineer: The City hereby employs the Engineer
and the Engineer agrees to perform professional services in connection
with preparation of a water and sewer rate study.
2. Scope of Services by Engineer: The following studies will be
conducted:
Water Rate Study:
A. Project Annual Financial Requirements
Determine projected annual financial requirements through 1986 for
the operation, maintenance and necessary capital improvements of
the City's water system.
B. Project Annual Water Sales
Project probable maximum and minimum levels of annual water sales
through 1986.
C. Analyze Historical Water Billing Data
Analyze historical water billing data and evaluate probable future
revenues from the present rate structure or modifications thereof.
D. Recommend Changes in Water Rate Structure
Recommend any changes in the water rate structure which are indi-
cated as being required at present or duing 1981 to 1986 period.
Sewer Rate Study:
A. Project Annual Financial Requirements
Determine projected annual financial requirements through 1986 for
operation, maintenance and necessary capital improvements of the
City's sewer system.
B. Analyze Historical Sewer Billing Data
Analyze historical sewer billing data and evaluate probable future
revenues from the present rate structure or modifications thereof.
C. User Charge System
Establish charges for residential, commercial and industrial users
as appropriate.
D. Recommend Changes in Sewer Rate Structure
Recommend changes in the sewer rate structure which are indicated
as being required at present or duing the 1981 to 1986 period.
Report:
A report showing the analyses, findings and recommendations of the water
and sewer rate study will be prepared and a draft will be submitted to
the City for review. After the review by the City, the report will be
revised as necessary and 25 copies will be furnished to the City.
Time of Completion:
A draft report on the water and sewer rate structure will be submitted
within 45 days after the date of notification to proceed by the City.
The final report will be furnished within 30 days after the receipt of
review comments on the draft by the City.
Data and Assistance to be Furnished by the City:
A. Map of the water distribution system that shows the limits of the
current meter districts.
B. Map of the sewage collection system.
C. Summary of twelve months of water use by meter districts.
D. Summary of twelve months of sewage system flow and number of
connections.

F. Records of water and sewer expenditures during the past five years
and the current water budget and proposed capital investment pro-
gram.
G. Records of water and sewer income during the past five years.
H. General advise and consultation during the course of the study.
3. Compensation: Compensation to Freese and Nichols, Inc., for
services as defined in Paragraph 2 will be on the basis of salary cost
times a multiplier of 2.3 plus other direct expenses times a multiplier
of 1.15.
Salary Cost is defined as the cost of salaries of engineers, draftsmen,
stenographers, surveymen, clerks, laborers, etc., for time directly
chargeable to the project, plus social security contributions, unemploy-
ment compensation insurance, retirement benefits, medical and insurance
benefits, bonuses, sick leave, vacation and holiday pay applicable
thereto. (Salary Cost is equal to 1.34 times salary payments for 1980.
This factor is adjusted annually.)
Other direct expenses shall include computer, printing and reproduction
expense, communication expense, travel, transportation and subsistence
away from Fort Worth and other miscellaneous expense directly related to
the work, including costs of laboratory analyses, tests, and other work
required to be done by independent persons or agents other than staff
members.
The total fee shall not exceed $15,000.00 without written authorization
by the City. The fee for the services performed shall be paid on the
basis of statements submitted by the Engineer. These statements shall
not be more frequent than monthly and shall be for the charges incurred
since the previous statement.
4. Additional Services: The Engineer will be available to assist
in preparing various other studies. Compensation will be on the basis
of salary cost times a multiplier of 2.3 plus other direct cost times a
multiplier of 1.15 as set forth in Paragraph 3.
5. Successors and Asssignments: The City and the Engineer each
binds himself, his successor, executors, administrators, and assigns to
the other party to this agreement, and'to the successors, executors,
administrators, and assigns of such other party in respect of all cove-
nants of this agreement without the written consent of the other.
This contract is executed in two counterparts.

Enclosed are three copies of the proposed "Contract For Engineering
Services" for the Water and Sewer Rate Study. If the contract meets
with your approval, we would suggest that all copies be executed in the
spaces provided and one copy be returned for our files.
You will note that the upper limit on the total fee is the same as the
upper limit included in our proposal. The need to manually evaluate
(rather than with your computer) two years of water billing records to
establish a profile of the water purchases has added to the study's
cost. We will make every effort to minimize the total cost of the study
and, at the same time, to provide a meaningful document.
The time required to prepare this contract was greater than I originally
anticipated. We have begun the evaluation process prior to your signing
the contract to aid the completion of the draft report by the middle of
November.
During our meeting on September 30, 1980, a meeting with the Round Rock
Water Oversight Committee was discussed. I will contact you in a few
days to receive your suggestions for potential meeting dates with this
committee. A copy of the proposed 1980 -81 budget was not available the
doll, day of our visit. We would appreciate receiving a copy if it is avail-
!). abllg now. We had also requested a map delineating the water billing
— d istricts.
We have reviewed the information-that was furnished on the proposed
Round Rock Capital Improvement Program. Our understanding of the pro-
posed water and sewer projects is summarized on the enclosed tables. We
would appreciate your review of these items to insure the indicated
projects, dates, amounts and method of financing are correct. We would
ask that special attention be given to the construction year (1983) for

Please find enclosed two Reports of Examination, one for September of
1975 and one for September of 1977. Copies have been made in our
office, and I am returning them as requested. The computer print out of
the billing register for the month of June of 1980 will be mailed out at
the beginning of next week. It appears that you have good records, but
the study will certainly be a challenge from the standpoint of your rate
of growth.
I enjoyed meeting you, Sam Huey and some of your staff. I found Round
Rock intriguing and was amazed at the number of historic preservation
markers on the buildings. Next time I will have to go see the rock the
town is named after.
I am looking forward to learning more about Round Rock and to working
with you and your staff.
