R-83-563 - 12/8/1983RESOLUTION NO. ,5 WHEREAS, the Chamber of Commerce currently leases from the City of Round Rock the front portion of Lots 5 and 6 of Block 21 for the Chamber office, and WHEREAS, the Chamber desires to lease the rear portion of said lots to expand its offices, and WHEREAS, the City agrees to lease said property, Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS That the Mayor of the City of Round Rock, Texas, is hereby authorized and directed to execute on behalf of the City, a lease agreement with the Chamber of Commerce, a copy of such lease agreement being attached hereto and incorporated herein for all purposes. ONr, Mayor Ci y of Round Rock, Texas ATTEST: NNE LAND, City Secretary THE STATE OF TEXAS COUNTY OF WILLIAMSON 19216 VOL 1187 PAGE 69, LEASE AGREEMENT This lease is made and executed by and between the City of Round Rock, Williamson County, Texas, hereinafter called Lessor, and the Chamber of Commerce of the City of Round Rock, Texas, acting by and through its President, Mike Swayze, hereinafter called Lessee. I. Lessor hereby leases unto Lessee, and Lessee hereby lets from Lessor the following described premises located in Round Rock, Williamson County, Texas, to -wit: BEING the East one - half (1/2) of Lot 6 and the most westerly 29 feet of Lot 5, Block 21, City of Round Rock, according to the map or plat thereof recorded in Vol. 2, Page 36, Plat Records of Williamson County, Texas. II. The term of this lease shall be from the date of this agreement to August 4, 2076. 111. The consideration for this agreement shall be the sum of One Dollar ($1.00) per year due and payable on the 4th day of each August of each year during the term of this lease. IV. The leased premises are to be used as the office of the Chamber of Commerce of the City of Round Rock, Texas, and for such other similar purposes that the Chamber of Commerce and City of Round Rock shall deem necessary for the furtherance of the best interests and welfare of the City of Round Rock, Texas. V. If Lessee ever fails to use said property as set forth herein or abandons such usage then this lease shall be terminated. If this lease is terminated for any reason during OFFICIAL RECORDS WILLIAMSON COUNTY TBXA9 ro[ 1187PAfE694 the period of the lease term, then Lessee shall have the right to remove the improvements placed on the leased premises by Lessee. In the event of termination, then Lessee shall have ninety (90) days from the date of termination to remove said improvements. Any improvements not removed within said ninety (90) day period shall become the property of the City. VI. Lessee shall have the complete control of the premises and Lessor shall in no way be responsible for any damages arising out of any of the 'activities of Lessee on said premises, nor shall Lessor in any way be responsible to Lessee, it being hereby stipulated by Lessee that it accepts the premises in the condition the same is now in as being fit for the purposes for which it is leased, nor shall Lessor be liable to any of Lessee's guests, visitors, or others on said premises during the term of this lease, and in this connection Lessee agrees to indemnify Lessor and hold Lessor harmless from any and all such liabilities of claims. VII. Lessee, at its expense, shall keep and maintain the premises and property in good condition and repair and shall keep said property clean and shall not allow same to become unsightly. VIII. Lessee shall pay for all utilities furnished to said premises during the term of this lease, including electricity, gas, water, sewage, and telephone service. IX. Lessee shall have the right to sublet any portion of the leased premises to any organization which has as its main purpose or purposes the preservation and exhibition of items - 2 - ATTEST: EXECUTED this 'IOL i187 mE X695 relating to the history and natural history of Round Rock and the surrounding area or to serve as an educational or organizational resource for the study of history and natural history of the Round Rock area. Upon receiving written consent from the governing body of the City of Round Rock, Lessee shall have the right to sublet portions of the premises to other organizations or parties. i!./. /L/L J11NNE LAND, City Secretary X.
