R-85-801 - 12/12/1985WHEREAS, a Regional Wastewater System has been created to collect, treat and dispose of wastewater in the upper Brushy Creek Watershed; and WHEREAS, the contract entered into to bring the Regional System in being creates a Technical Committee composed of representatives of the Parties; and WHEREAS, the Council of the City of Round Rock has the responsibility to appoint two representatives and a minimum of two alternates to the Technical Committee; Now Therefore BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ROUND ROCK, TEXAS That Jim Nuse and Joe Baker be and are hereby appointed to the position of representative to the Technical Committee from the City of Round Rock; and BE IT FURTHER RESOLVED That Al Willie and Jack Harzke be and are hereby appointed as alternate representatives.the the Technical Committee. Unless otherwise provided in this Agreement, any notice, communication, request, reply, or advice (herein severally and collective- ly, for convenience, called "Notice ") herein provided or permitted to be given, made or accepted by any party to the others must be in writing and may be given or be served by depositing the same in the United States mail postpaid and registered or certified and addressed to the party to be notified, with return receipt requested, or by delivering the same to an officer of such party, or by prepaid tele- gram, when appropriate, addressed to the party to be no- tified. Notice deposited in the mail in the manner herein - above described shall be conclusively deemed to be effec- tive, unless otherwise stated in this Agreement, from and after the expiration of four (4) days after it is so depos- ited. Notice given in any other manner shall be effective only if and when received by the party to be notified. Section 8.20. MODIFICATION. This Agreement shall be subject to change or modification only with the mutual consent of the governing bodies of each of the parties hereto, but the parties recognize that the Bond Resolution may contain covenants by the District not to consent to certain changes or modifications of this Agreement. Section 8.21. ASSIGNABILITY. This Agreement shall not be assignable by ties, without written of the other p not be unreason ably withheld or delayed. Section 8.22. SEVERABILITY. The provisions of f =t this Agreement are severable, and if any provision or son of this Agreement or the application thereof fo t any person or circumstance shall ever be held by any court jurisdiction to be invalid or unconstitutional r any reason, the remainder of this Agreement and the application of such provision or part of this Agreement to other persons or circumstances shall not be affected thereby. Section 8.23. MERGER. This Agreement constitutes the entire agreement between the parties relative to the subject matter thereof. There have been and are no agreements, covenants, representations or warranties between the parties other than those expressly stated herein or expressly provided for herein. ARTICLE IX DISTRICT SYSTEM BUDGET Section 9.01. FILING WITH CUSTOMERS. Not less than a.,,Ary 1401 days before commencement of the second Fiscal
