THIS AGREEMENT, made this 3 day of May , 1988, by and
between the City of Round Rock, Texas, hereinafter called the "City ", Party
of the First Part, acting by and through its City Council and the State of
Texas, hereinafter called the "State ", Party of the Second Part, acting by
and through its State Highway and Public Transportation Commission.
WHEREAS, the City desires the construction of frontage roads,
including curb, gutter, storm sewer and incidental items within the limits
from U. S. Highway No. 79 to Farm to Market Road No. 1325 on Interstate
Highway No. 35 and the State will, among other things, provide for the
construction of this work within these limits and the City will contribute
a fixed amount of One Million Eight Hundred Eleven Thousand Nine Hundred
Seventy Seven and 75/100 Dollars ($1,811,977.75), in payment for their
portion of this work, and
WHEREAS, the City by the execution of this agreement agrees to the
terms and conditions of Commission Minute No. 83027, as it applies to the
City, a copy of which is attached hereto and marked "Exhibit A" and made a
part of this agreement.
NOW THEREFORE, it is understood that this proposed work will be
constructed by the State and the City will transmit to the State with the
return of this agreement, executed by the City, a warrant or check made
payable to the State Department of Highways and Public Transportation in

the amount of One Million Eight Hundred Eleven Thousand Nine Hundred
Seventy Seven and 75/100 Dollars ($1,811,977.75). It is further understood
that the State will construct only those items for the City as requested
and it is further understood that the contribution of One Million Eight
Hundred Eleven Thousand Nine Hundred Seventy Seven and 75/100 Dollars
($1,811,977.75), by the City shall be a fixed amount for their share of the
work. It is further understood that the City by the execution of this
agreement agrees to the terms and conditions of Commission Minute
No. 83027, as it applies to the City, a copy of which is attached hereto
and marked "Exhibit A" and made a part of this agreement.
IN TESTIMONY WHEREOF, the parties hereto have caused these presents to
be executed in duplicate on the day above stated.

WHEREAS, in WILLIAMSON COUNTY on INTERSTATE HIGHWAY 35 from U.S.
Highway 79, south to Farm to Market Road 1325, a distance of approximately
2.7 miles, appropriate local officials have requested construction of
frontage roads and have offered to participate in the construction; and
WHEREAS, the State Department of Highways and Public Transporta-
tion desires to assist in this request;
NOW, THEREFORE, the Engineer- Director is directed to tender the
following proposal to the City of Round Rock:
Provided the City will:
1. Furnish all funds required for construction of roadway.
2. Agree to support one -way operation of frontage roads upon
completion of construction.
The State Department of Highways and Public Transportation will:
1. Provide for construction of the project including ramps and
bridges at an estimated cost of $3,620,900.00.
2. Maintain the project upon completion of construction.
Upon acceptance of the provisions of this Order by the appropri-
ate officials of the City of Round Rock, the Engineer- Director is directed
to enter into any necessary agreements for development of the project and
to proceed with development of plans for construction and with construc-
tion, in the most feasible and economical manner.
This Order shall become operative upon acceptance by the City of
Round Rock and if not accepted within 90 days of the date hereof, the
action herein contained shall be automatically cancelled.

WHEREAS, the City desires the construction of frontage roads on
Interstate Highway No. 35 from U.S. Highway No. 79 to Farm to Market
No. 1325, and
WHEREAS, the City agrees to contribute a fixed amount of
$1,811,977.75 in payment for its portion of this work, and
WHEREAS, an agreement with the State of Texas, acting by and
through its State Highway and Public Transportation Commission has
been submitted to the City of Round Rock, and
WHEREAS, the City Council desires to approve said agreement, NOW
THEREFORE
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS
That the Mayor is hereby authorized and directed to execute on
\ behalf of the City an agreement with the State Highway and Public
Transportation Commission, a copy of said agreement being attached
hereto and incorporated herein for all purposes.

Two copies of the proposed agreement for participation of the City of Round
Rock in the above referenced project are enclosed. Both copies should be
properly executed and returned to this office. In the event changes are
desired in the agreement, the undersigned should be contacted prior to
making such changes. After the agreement has been executed by the State, a
duplicate original will be furnished the City.
A warrant for the amount shown in the agreement and made payable to "State
Department of Highways and Public Transportation" should be forwarded to
this office with return of the agreement if not previously deposited.
Your prompt processing of this agreement and warrant will be appreciated as
this project is scheduled for letting in January, 1988. Contract award can-
not be made prior to receipt of the executed agreement and required funds.
