Nuse, Public Works Director Re: Professional Services Proposal Old Settlers Park at Palm Valley Site Grading and Drainage Plan Dear Sharon and Jim: We sincerely appreciate this opportunity to present our proposal for professional services on the referenced project. As we understand it, this assignment involves two stages of design: (1) preparation of a preliminary Site Grading and Drainage Plan for ultimate development of the Park's North Zone (approximately 129 acres) as shown in Attachment #1, and (2) modifying this plan as required to bid and construct only that sitework related to Phase I development while still assuring adequate interim drainage for the site. The following is a more detailed list of our proposed SCOPE OF SERVICES and BASIS OF COMPENSATION: SCOPE OF SERVICES A. Preliminary Phase 1. Assemble available data, including existing or in- progress construction documents and reports by others, topographic mapping, surveys, Master Development Plan, Environmental Impact Assessment, Archeological and Historical reports, grant application and related materials. 2. Meet with City of Round Rock representatives to establish lines of communications, verify the extent of the assignment, determine specific design parameters, and identify special concerns or requirements regarding the project. Add to, delete from or otherwise modify the list of Project Guidelines provided in Attachment #2 at the City's direction prior to initiating design efforts 9111 Jollyville Rd., Suite 107 Austin, Texas ,78759 512/346 -6980 City of Round Rock March 17, 1988 Page 2 3. Utilizing data described in Items 1 & 2, prepare preliminary drawings, outline specifications and cost estimates for a recommended overall site grading and drainage plan for the Park's North Zone (Attachment #1) as well as any required modifications to facilitate Phase I construction. 4. Review with designated City } representatives and secure approval. _ 5. Assist City staff with 'presentation' to City Council if required.' 6. Provide the City with a reproducible copy of the grading plan prepared under this item. B. Design Phase 1. Establish the scope and advise the City of the need for any soil investigations, special surveys or unique testing which, in the Engineer's opinion, are required for the proper execution of the project; make arrangements with the City for their performance. (Note: These services are not included in the estimated costs under BASIS OF COMPENSATION; if provided by the Engineer with the City's authorization, compensation shall be in accordance with Attachment #3 - Standard Rate Schedule). 2. Prepare final design drawings, specifications, bid documents and cost estimates for the North Zone Site Grading Drainage Plan - Phase I. 3. Submit documents for approval; review with City representatives; incorporate comments and finalize. 4. Secure City approval. 5. Furnish City with necessary copies of approved project documents in accordance with Attachment #3 - Standard Rate Schedule. City of Round Rock March 17, 1988 Page 3 C. Construction Phase 1. Assist City staff with bid advertisement /solicitation, as needed. 2. Participate in a pre -bid conference, if required. 3. Assist with bid opening, tabulation, successful bidder selection and preparation of contract documents. 4. Assist with an on -site preconstruction conference, if required. 5. Conduct periodic site visits to determine, in general, if work is proceeding in accordance with construction documents. 6. Coordinate with City's Resident Project Representative (who is assumed, for the purposes of this proosal, to provide continuous on- the -site observation of construction) for the performance of required construction layout surveys. (Note: Construction Layout Services are not included in the estimated costs under BASIS OF COMPENSATION. If provided by the Engineer with the City's authorization, compensation shall be in accordance with Attachment #3 - Standard Rate Schedule). Any changes to the Engineer's design will be performed by the Engineer, upon authorization by the City, and shall be compensated in accordance with Attachment #3, Standard Rate Schedule. The Engineer does not underwrite, guarantee, or insure the work done by the Contractor and, since it is the Contractor's responsibility to perform the work in accordance with the Contract Documents, the Engineer is not responsible or liable for the Contractor's failure to do so. Failure to discover defects or deficiencies in the work of the Contractor shall not relieve the Contractor of liability therefore or subject the Engineer to any liability for any such defect or deficiencies. 7. Review samples, shop drawings and similar Contractor submittals to confirm compliance with the contract documents. City of Round Rock March 17, 1988 Page 4 k r d ♦ Q f W ; _ BASIS OF COMPENSATION 8. Interpret drawings and specifications. 9. Prepare or otherwise administer routine change orders. 10. Review monthly Contractor pay requests and make recommendations to City regarding payment, as appropriate. 11. Accompanied by designated City representatives, conduct a final site review for conformance with the contract documents; prepare punch list and make recommendations for acceptance as appropriate. 12. Issue Contractor's Certificate of Completion. 13. With assistance of City's on -site representative, revise construction drawings to provide record drawings of the completed work; furnish one set of reproducibles. We propose to furnish the services described above on an hourly charge basis plus reimbursement for direct non -labor and subcontractor expenses in accordance with Attachment #3 - Standard Rate Schedule. Our estimated costs for these services, which we would agree not to exceed without your prior written authorization, are as follows: Preliminary Phase $19,000 Design Phase 16,000 Construction Phase 4,000 TOTAL $39,000 The fees proposed above are based upon our estimate of personnel time required to perform the described SCOPE OF SERVICES and charged in accordance with Attachment #3 - Standard Rate Schedule. Additional time requirements resulting from project scope changes or plan revisions beyond our control are considered to be reasonable cause for us to seek additional compensation for services not included in these estimates. Such services may be compensated on an hourly- charge basis or a mutually- agreed -to lump sum. One -foot (1') design contours to be based upon aerial contours, utilizing grid system and planimetric facility outline map with modifications (no Design Surveys). 2. Building pad, elevations are to be assumed based upon the Engineer's judgement as to fitting in with the overall plan. ;. 3. Parking lot grading is to be general within limits conforming to standard practices. i 4. Tennis court pads to be treated same as building pads (not necessary for all to be at same elevation). 5. All design grades to be assumed finished with appropriate hydrologic runoff coefficients applied for stormwater runoff estimates; channel cross - sections to be based on this data. 6. Ballfield complexes to incorporate "sunken" Master Plan feature only where economically practical; otherwise, match natural contours as closely as possible. 7. Follow standard prescribed ballfield grading standards, i.e. level basepaths, 1% slopes elsewhere; dimensions per handwritten list provided by L. Madsen of City. 8. Alternate Little League Complex layout is to be incorporated. 9. All Archeological or otherwise sensitive areas to be identified on plan and avoided by construction operations; Antiquities Committee report is still pending. 10. Road layout, grades design by others to be provided for incorporation into the Site Grading Plan. A mileage charge will be billed for projects exceeding a 50 -mile radius of the base office. 2. A minimum of two (2) hours field party time charge will be made for show -up time and return to office, resulting from inclement weather conditions, etc. 3. Field Party stand -by time will be charged for at the above -shown appropriate rates. PROFESSIONAL SERVICES AGREEMENT The City of Round Rock, Texas, as CLIENT engages Baker —Ai ckl en & Assoc. , Inc as ENGINEER, to perform professional services for the assignment described as follows: Perform Site Grading and Drainage Design Services for Old Settlers Park at Palm Valley. See attached letter proposal dated 03/17/88. SERVICES: ENGINEER agrees to perform services in conformance with the following descrletinn, definition. terms and conditions. See attached letter proposal dated 03/17/88 which forms a part of this agreement. 11. COMPENSATION: Engineer's compensation will be on an hourly- charge basis for personal services (defined below) plus Reimbursible Expenses (defined below): A HOURLY CHARGE: Hourly charges are to be based on the current Standard Rate Schedule effective at the time of billing. The current Standard Rate Schedule effective July 1, 1987, is attached. 8. REIMBURSABLE EXPENSES: Reimbursable Expenses shall include transportation and subsistenceof person. nel while traveling in connection with the work, field office expenses. long distance telephone calls, telegrams. reproduction expenses, subcontracts and similar items. Such expenses shall be reimbursed at the following rates' 1. Transportation by ENGINEER'S vehicles: at ENGINEER'S standard rates. 2. Reproduction performed in ENGINEER'S office: at prevailing commercial rates. 3. Computer services: at ENGINEER'S standard rates. 4. All others: actual cost to ENGINEER plus 10% service charge. 5. Where field parties are used, expenses shall include charges for the use of any special instruments and equipment, including marine equipment, and expendable items such as stakes and monuments. I11. PAYMENTS: ENGINEER will invoice CLIENT monthly for all current amounts earned under this Agreement. CLIENT agrees to promptly pay ENGINEER at his office in Travis County, Texas, the full amount of each such invoice upon receipt. A charge of 15% per month will be added to the unpaid balance of invoices not paid within 30 days after date of invoice. IV. OWNERSHIP OF DOCUMENTS: All documents, including original drawings, estimates, specifications, field notes and data are and shall remain the property of ENGINEER. CLIENT may at his expense obtain a set of reproducible record copies of drawings and other documents. but agrees that he will use such copies solely in connection with the project covered by this Agreement and for no other purpose. V. INSURANCE: ENGINEER agrees to maintain workmen's compensation insurance to cover all of its own personnel engaged in performing services for CLIENT under this Agreement. ENGINEER also agrees to maintain public liability insurance covering claims against ENGINEER for oamages resulting from bodily injury, death or property damage from accidents arising to the course of services performed under this Agreement. VI. LIABILITY LIMITATION: ENGINEER shall have no liability to CLIENT or to others as a consequence of express or implied approval of any construction activities, for any defective construction (whether or not observed or approved by ENGINEER), for any excess of construction costs over an amount estimated, or for any other reason Pang. 1 of 9 beyond warranty of the use of reasonable skill in the preparation of particular drawings and designation of particular materials for the assignment covered by this Agreement. In no event shall ENGINEER'S liability exceed the amount of total compensation received by ENGINEER under this Agreement. VII TERMINATION A. CONDITIONS OF TERMINATION. This Agreement may be terminated without cause at any time prior to completion 01 ENGINEER'S services either by CLIENT or by ENGINEER, upon seven days written notice to the other at the address of record. Termination shall release each party from all obligations of this Agrae• ment, except as specified in paragraph VII.B below. B. COMPENSATION PAYABLE ON TERMINATION: On termination, by either CLIENT or ENGINEER. CLIENT shall pay ENGINEER the full amount specified in paragraph 11, with respect to any Engineering Services performed to date of termination (including all Reimbursable Expenses incurredl. VIII. SUCCESSORS AND ASSIGNS: CLIENT and ENGINEER each binds himself, and his partners, successors, executors, administrators and assigns to the other party of this Agreement and to the partners, successors, executors, administrators and assigns of such other party in respect to all covenants of this Agreement. Neither CLIENT nor ENGINEER shall assign, sublet, or transfer his interest in this Agreement without written consent of the other. Nothing herein shall be construed as giving any rights or benefits hereunder to anyone other than CLIENT and ENGINEER. IX. SPECIAL PROVISIONS: This instrument contains the entire Agreement between CLIENT and ENGINEER. except as additionally stated below' Attached letter proposal dated 03/17/88 forms a part of this agreement. X. INVALIDATION: 11 this Agreement is not executed by CLIENT within 30 days of the date tendered, it shall become invalid unless ENGINEER extenas the time in writing. XI. Field Party rates include a charge for normal equipment, normal supplies and survey vehicles. Abnormal use of stakes, lathes, etc., used such as during the construction phase of a project will be charged as indicated. A mileage charge will be billed for projects exceeding a 50 -mile radius of the base office. 2. A minimum of two (2) hours field party time charge will be made for show -up time and return to office, resulting from inclement weather conditions, etc. 3. Field Party stand -by time will be charged for at the above -shown appropriate rates. PROFESSIONAL SERVICES AGREEMENT The City of Round Rock, Texas, as CLIENT engages Baker -Aickl en & Assoc. , Inc. as ENGINEER. to perform professional services for the assignment described as follows: Perform Site Grading and Drainage Design Services for Old Settlers Park at Palm Valley. See attached letter proposal dated 03/17/88. I. SERVICES: ENGINEER agrees to perform services in conformance with the following descr ;rrinn, definition. terms and conditions. See attached letter proposal dated 03/17/88 which forms a part of this agreement. II. COMPENSATION: Engineer's compensation will be on an hourly- charge basis for personal services (defined below) plus Reimbursible Expenses (defined below): A. HOURLY CHARGE: Hourly charges are to be based on the current Standard Rate Schedule effective at the time of billing. The current Standard Rate Schedule effective July 1, 1987, is attached. B. REIMBURSABLE EXPENSES: Reimbursable Expenses shall include transportation and subsistenceof person. nel while traveling in connection with the work, field office expenses. long distance telephone calls, telegrams, reproduction expenses, subcontracts and similar items. Such expenses shall be reimbursed a• the following rates: 1. Transportation by ENGINEER'S vehicles: at ENGINEER'S standard rates. 2. Reproduction performed in ENGINEER'S office: at prevailing commercial rates. 3. Computer services: at ENGINEER'S standard rates. 4. All others: actual cost to ENGINEER plus 10% service charge. 5. Where field parties are used, expenses shall include charges for the use of any special instruments and equipment, including marine equipment. and expendable items such as stakes and monuments. III. PAYMENTS: ENGINEER will invoice CLIENT monthly for all current amounts earned under this Agreement. CLIENT agrees to promptly pay ENGINEER at his office in Travis County, Texas, the full amount of each such invoice upon receipt. A charge of 15% per month will be added to the unpaid balance of invoices not paid within 30 days after date of invoice. IV. OWNERSHIP OF DOCUMENTS: All documents, including original drawings, estimates, specifications, field notes and data are and shall remain the property of ENGINEER. CLIENT may at his expense obtain a set of reproducible record copies of drawings and other documents, but agrees that he will use such copies solely in connection with the project covered by this Agreement and for no other purpose. V. INSURANCE: ENGINEER agrees to maintain workmen's compensation insurance to cover all of its own personnel engaged in performing strvices for CLIENT under this Agreement. ENGINEER also agrees to maintain public liability insurance covering claims against ENGINEER for damages resulting from bodily injury, death or property damage from accidents arising in the course of services performed under this Agreement. VI. LIABILITY LIMITATION: ENGINEER shall have no liability to CLIENT or to others as a consequence of express or implied approval of any construction activities, for any defective construction (whether or not observed or approved by ENGINEER), for any excess of construction costs over an amount estimated, or for any other reason Pane. 1 of 7 beyond warranty of the use of reasonable skill in the preparation of particular drawings and designation of particular materials for the assignment covered by this Agreement. In no event shall ENGINEER'S liability exceed the amount of total compensation received by ENGINEER under this Agreement. VII TERMINATION: A. CONDITIONS OF TERMINATION: This Agreement may be terminated without cause at any time prior to completion of ENGINEER'S services either by CLIENT or by ENGINEER, upon seven days written notice to the other at the address of record. Termination shall release each party from all obligations of this Agrae• ment, except as specified in paragraph VII.8 below. 8. COMPENSATION PAYABLE ON TERMINATION: On termination, by either CLIENT or ENGINEER, CLIENT shall pay ENGINEER the full amount specified in paragraph II, with respect to any Engineering Services performed to date of termination (including all Reimbursable Expenses incurred). VIII. SUCCESSORS AND ASSIGNS: CLIENT and ENGINEER each binds himself, and his partners, successors, executors, administrators and assgns to the other party of this Agreement and to the partners, successors, executors. administrators and assigns of such other party in respect to all covenants of this Agreement. Neither CLIENT nor ENGINEER shall assign, sublet, or transfer his interest in this Agreement without written consent of the other. Nothing herein shall be construed as giving any rights or benefits hereunder to anyone other than CLIENT and ENGINEER. IX. SPECIAL PROVISIONS: This instrument contains the entire Agreement between CLIENT and ENGINEER, except as additionally stated below: • Attached letter proposal dated 03/17/88 forms a part of this agreement. X. INVALIDATION: If this Agreement is not executed by CLIENT within 30 days of the date tendered, it shall become invalid unless ENGINEER extenos the time in writing. XI. MODIFICATIONS: No one has authority to make variations in, or additions to the terms of this Agreement on behalf of ENGINEER other than one of its Officers, and then only in writing signed by him.
