WHEREAS, the Old Settler's Association of Williamson County,
Texas (the "OSA ") currently owns an undivided 26% (approximate) fee
simple interest, and the City owns the remaining 74% (approximate)
interest in a 427.956 acre tract of land known as Old Settler's Park
at Palm Valley; and
WHEREAS, the City and the OSA desire to partition the
above - described 427.956 acre tract so that each party may own a part
thereof in fee simple, and the parties are in agreement as to the
manner in which the property is to be divided, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS
That the Mayor is hereby authorized to execute on behalf of the
City a partition deed, attached hereto and incorporated herein,
dividing the 427.956 acre tract into two parts, approximately 316.845
acres to the City, and approximately 111.110 acres to the OSA.

STAFF RECOMMENDATION:
This resolution allows Old Settlers Park at Palm Valley to
be partitioned. The Old Settlers Association and the City
of Round Rock jointly purchased undivided interests in the
park site. Upon passage of this item, the City will own
316.846 ac. and Old Settlers Association will own 11110
ac. fee simple. The park ]and must be partitioned prior to
the Old Settlers Association conveying 71 ± ac. to the City
in exchange for its future interest in the McDonald's Tract
and a 2.78 ac. tract in the southwest portion of the park.

ECONOMIC IMPACT: The value of the 71 acres is estimated between 1.1 and 1.2

KNOW ALL MEN BY THESE PRESENTS:
THAT WHEREAS, we, the City of Round Rock, hereinafter referred
to as "City" and The Old Settlers Association of Williamson County,
Texas, hereinafter referred to as the "OSA ", have and hold in common
that certain real estate (the "Property "), containing approximately
427.956 acres of land, more further described in Exhibit "A" attached
hereto and incorporated herein, and are desirous of making partition
of the same;
NOW, THEREFORE, in consideration of the covenants herein
contained and the conveyance herein made to effect such partition, it
is hereby COVENANTED, GRANTED, CONCLUDED, AND AGREED by, between, and
among said parties and each of them COVENANTS, GRANTS, CONCLUDES, AND
AGREES, for themselves and their assigns, that a partition of said
Property be made as follows, to wit:
(1) The said City shall from henceforth have, hold, possess,
and enjoy, in severalty, by itself and to its assigns, for its part,
share, and proportion of the said Property, free from any and all
claims of the other party hereto, all of that certain real estate
lying and being situated in Williamson County, Texas, referred to
herein as Tract One, containing approximately 316.845 acres of land,
and more particularly described in Exhibit "B" attached hereto and
made a part hereof for all purposes.
And the other party hereto, the OSA, HAS GRANTED, RELEASED,
CONFIRMED, AND CONVEYED, and by these presents DOES HEREBY GRANT,
RELEASE, CONFIRM, AND CONVEY unto the said City, Tract One as
described in Exhibit "B" herein.
This conveyance is made and accepted subject to easements and
outstanding mineral or royalty interests of record, if any, on such
Tract One.
TO HAVE AND TO HOLD Tract One as described in Exhibit "B ",
together with all and singular the rights and appurtenances thereto
in anywise belonging and any right, title, and interest of the OSA in
and to adjacent streets, alleys, and rights -of -way, unto the said
City and its assigns forever; and the OSA does bind itself, and its
assigns to WARRANT AND FOREVER DEFEND all and singular Tract One as
described in Exhibit "B ", unto the said City and its assigns against
every person whomsoever lawfully claiming or to claim the same or any
part thereof, by, through or under the OSA, but not otherwise.
(2) The said OSA shall from henceforth have, hold, possess, and
enjoy, in severalty, by itself and to its assigns, for its part,
share, and proportion of the said Property, free from any and all
claims of the other party hereto, all of that certain real estate
lying and being situated in Williamson County, Texas, referred to
herein as Tract Two, containing approximately 111.110 acres of land,
and more particularly described in Exhibit "C" attached hereto and
made a part hereof for all purposes.
And the other party hereto, the City, HAS GRANTED, RELEASED,
CONFIRMED, AND CONVEYED, and by these presents DOES HEREBY GRANT,
RELEASE, CONFIRM, AND CONVEY unto the said OSA, Tract Two as
described in Exhibit "C" herein.
PROVIDED, HOWEVER, that if the OSA be dissolved by the operation
of law, or time, then in that event, the 111.110 acres described as
Tract Two, SAVE AND EXCEPT the 2.780 acres described in Exhibit "D"
attached hereto and incorporated herein, shall pass to and vest in
the City of Round Rock, Texas, to be used by the City as a public
park under such regulations as The Old Settlers Association of
Williamson County, Texas and the City of Round Rock may direct in the
event of the dissolution of The Old Settlers Association of
Williamson County, Texas.
