herein for all purposes.

ADDENDUM TO
WATER AND WASTEWATER AGREEMENT
WHEREAS, on January 22, 1987 the City of Round Rock Texas
( "City "), L &N Land Corp. ( "L &N "), and the Williamson County Municipal
Utility District No. 9 ( "District ") entered into a certain Water and
Wastewater Agreement ( "Agreement "), and
WHEREAS, the above parties now desire to amend Sec. 5.02 of said
Agreement as follows,
NOW THEREFORE IT IS AGREED BY THE UNDERSIGNED THAT:
I.
The parties hereby expressly acknowledge that the above- described
Agreement is a valid and subsisting agreement, as amended by this
Addendum, and do hereby readopt fully each of the terms of said
Agreement as hereby amended.
II.
Sec. 5.02 of said Agreement is hereby amended to read as follows:
Sec. 5.02 The sale of wastewater treatment ser-
vices shall be measured by a master meter at the
connections to the system described in Exhibit "B"
which is attached hereto and made a part hereof
for all purposes. The rates charged by the City to
the District for waste treatment services shall be
calculated in accordance with the lowest applic-
able in -city rate provided in Chapter 10, Sec.
4.B. Code of Ordinances, City of Round Rock, as
amended, multiplied by the same multiplier factor
set out in Section 4.02. For purposes of deter-
mining the minimum monthly rate (Monthly Sewer
Service Charge), the District will be deemed to be
served by an eight inch meter, regardless of the
number and size of meters actually used.

All of the wastewater collection, transportation and
treatment facilities necessary or appropriate to provide sanitary
sewer services to all territory located within the boundaries of
Williamson County Municipal Utility District No. 9 previously
filed with the City of Round Rock (the "City ") by
Lichliter /Jameson & Associates, Inc. ( "Lichliter "):
1. The District's proportionate share, as shown in the
Engineer's Estimates attached hereto as Schedule I and made a
part hereof for all purposes (which Schedule shall be revised at
the completion of construction in order to accurately reflect
each party's proportionate share of actual costs), of all costs
of a proposed basin intercept system (the "Wastewater
Transportation System ") which will transport the wastewater east
from the District along FM 1431 to land owned by Hy -Land North
Joint Venture, then south through land owned by Hy -Land North
Joint Venture and through land owned by Leon Behrens, and then
east to the beginning of the Onion Creek Interceptor Phase I. In
lieu of reimbursement by the City, Lomas Land, Inc. (formerly I. &
N Land Corp.) shall be entitled to a credit against water and
wastewater oversize LUE fees not yet paid to the City, which
credit shall equal the City's proportionate share, as shown in
Schedule I, of all costs of the Wastewater Transportation System.
If the City's proportionate share exceeds the water and
wastewater oversize LUE fees not yet paid to the City, such
excess shall be reimbursed to Lomas Land, Inc. out of the City's
oversize account, from funds approved for capital improvement
projects, upon approval of the City Council of the City. The
City, the District and Lomas Land, Inc. shall have guaranteed
capacity in the Wastewater Transportation System equal to the
respective amounts of LUE's shown on Schedule I attached hereto
for each of them in each segment of the Wastewater Transportation
System. Neither the District nor Lomas Land, Inc. shall be
required to pay for the costs of the Wastewater Transportation
System an aggregate amount in excess of the sum of the water and
wastewater oversize LUE, fees not yet paid to the City together
with the construction costs of a Wastewater Transportation System
adequate to transport 1,400 LUE's, which construction costs are
estimated in Schedule I; provided, however, that Lomas Land, Inc.
shall have the option to construct oversize in the Wastewater
Transportation System in excess of the 1,400 LUE's and 3,236
LUE's presently desired therein by the District and the City,
respectively, and shall own such capacity and be able to sell it
on an LUE basis. Notwithstanding Section 3.04 of this Agreement,
the parties hereto agree that the portion of the Wastewater
Transportation System consisting of the Onion Creek Interceptor
Phase II shall be transferred and conveyed to the Brushy Creek

Water Control and Improvement District No. 1 of Williamson and
Milam Counties (the "WCID "), instead of the City, upon the
purchase of such portion by the WCID in accordance with the terms
and conditions of that certain Agreement Regarding Onion Creek
Interceptor Phase II Wastewater Line among the City, the
District, Lomas Land, Inc., the WCID and the City of Austin,
Texas. Additionally, notwithstanding Section 3.04 of this
Agreement, ownership, operation and maintenance of the Wastewater
Transportation System by the City shall begin immediately after
the lift station constructed along FM 1431 (at Station
23 +50.00 -15" Wastewater Manhole No. 12 as referred to in
Lichliter "s engineering plans No. 846- 0140 -07, entitled Vista
Oaks Lift Station, Force Main and Gravity Main Improvements,
dated February, 1988), instead of immediately after the boundary
of the District.
2. A wastewater collection system of lines sized
sufficiently for peak day wet weather flow on an LUE basis where
1 LUE produces 350 GPD average dry weather flow. Collection
lines for commercial sites will be designed to accommodate 6.47
LUE's per acre while each single family dwelling is equal to 1
LUE.
3. All other facilities and costs which may be required by
the City of Round Rock, Williamson County, the State of Texas or
any governmental entity.
Approved by the undersigned as superseding and replacing the
original Exhibit "B" to the Water and Wastewater Agreement, dated
January 22, 1987, among the City of Round Rock, L & N Land Corp.

As we discussed today, enclosed herewith are 3 originals of
the revised Exhibit B to the agreement among the City of Round
Rock (the "City "), Lomas Land, Inc. and the District for
execution by the City and return to me to obtain the signatures
of Lomas Land, Inc. and the District at our next board of
directors meeting of the District.
As we also discussed, the parties I have talked to have
indicated that your proposed amendment to Section 5.02 of the
sane agreement is acceptable to them. Therefore, please prepare
and have the City execute an amendment to incorporate such change
to the agreement and forward it to me along with the executed
Exhibit B. I will thereafter see that it is put on the
District's agenda for its next board meeting.
As I mentioned to you, the District, at the present time,
does not have another board of directors' meeting scheduled. I
anticipate, however, that we will have one in mid or late June.
I would very much like to have the fire service contract approved
at the next meeting, so please contact me if I can provide you
with any additional information or answers in order to facilitate
the City's review of that contract.
