BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS
That the Mayor is hereby authorized and directed to execute on
behalf of the City an Agreement with the Volunteer Agency Coalition,
a copy of said Agreement being attached hereto and incorporated
herein for all purposes.

ECONOMIC IMPACT:
Approval. The Volunteer Agency Coalition has
been formed to act as a clearing house and refer-
ral center for all human service agencies. VAC's
purpose is to direct people to the appropriate
agency for the desired service and to provide a
record of what services have been received.
VAC is in need of office space and the City pre-
sently has roan available in the Community Center
(City Attorney Office). VAC understands that this
is a temporary proposition and that Community
Center expansion will require the agency to move
to a new location.
VAC will be assessed for their portion of the
electricity and facility cleaning.

Agreement made this day of , 1989, by
and between the City of Round Rock, Texas, hereinafter called "City ",
and the Volunteer Agency Coalition, hereinafter called "VAC ".
WHEREAS, the purpose of the VAC is to identify all social
service agencies and maintain a file to assist in providing this
information to the community; and
WHEREAS, it has been determined, by the City and VAC, that the
Community Center has suitable space to temporarily house this
non - profit agency; and
WHEREAS, the City owns the Community Center, located at 205 East
Main Street; and
WHEREAS, the City and VAC are prepared to enter into an
agreement allowing VAC the use of a portion of the Community Center,

IT I5 AGREED THAT:
I.
VAC shall have the exclusive use of the East Office (commonly known
as the City Attorney's Office) subject to the following conditions
and requirements:
a. The City shall provide the office space at no cost except
as provided below.
b. VAC will be responsible for telephone installation costs
and monthly service charges.
c. The City and VAC shall share the cost of the monthly
electric service and cleaning.
d. VAC shall provide its own office supplies, materials, and
equipment.
e. VAC staff and clients shall enter and exit the building by
the east door.
II.
The City shall be responsible for the overall maintenance and
operations of the Community Center. The City will mow, trim, and
perform routine grounds maintenance tasks as it deems necessary.

III.
a. City shall not be liable or responsible for, and shall be saved
and held harmless by VAC from and against any and all claims and
damages to or loss of property arising out of or attributed, directly
or indirectly, to the operation of the VAC office.
b. VAC shall carry insurance and furnish to the City a Certificate
of Insurance certifying coverage for Comprehensive General Liability
with minimum Bodily Injury Limits of $1,000,000 for each occurrence
and Property Damage Insurance with minimum limits of $500,000 for
each occurrence.
IV.
The term of the Agreement shall be on a month -to -month basis. VAC,
upon being given thirty (30) days written notice, must vacate the
facility.
V.

a. Notice required or permitted to be delivered hereunder shall be
deemed received when sent by United States mail, postage prepaid,
certified mail, return receipt requested, addressed as follows:

b. This contract shall be construed under and in accordance with
the laws of the State of Texas, and all obligations of the parties
created hereunder are performable in Williamson County, Texas.
Parties Bound
c. This contract shall be binding upon and inure to the benefit of
the parties hereto and their respective heirs, executors,
administrators, legal representatives, successors, and assigns where
permitted by this contract.
Legal Construction
d. In case any one or more of the provisions contained in this
contract shall for any reason be held to be invalid, illegal, or
unenforceable, such holding shall not affect any other provision

hereof, and this contract shall be construed as if such invalid,
illegal, or unenforceable provision had never been contained herein.
Prior Agreements Superseded
e. This contract constitutes the sole and only agreement of the
parties hereto and supersedes any prior understandings or written or
oral agreements between the parties respecting the within subject
matter.
Time of Essence
f. Time is of the essence of this contract.
Gender
g. Words of any gender used in this contract shall be held and
construed to include any other gender, and words in the singular
number shall be held to include the plural, and vice versa, unless
the context requires otherwise.
Authority
h. This Agreement was entered into by the VAC pursuant to authority
granted by its Board of Directors on the day of
1989, whereby the President was authorized to execute this Agreement
on behalf of the VAC, a copy of which authorization is attached
hereto as Exhibit "A ".
