The said first party thereby agrees to furnish the apparatus and equipment according to the specifications hereto attached and made a part of this contract, and to deliver the same as hereinafter provided. Second. The first party guarantees that all material and workmanship in and about said apparatus and equipment shall comply with said specifications. In the event there is any conflict between City Specifications and the Seagrave Bid Proposal, the Seagrave Proposal will prevail. The standard Seagrave Warranty will apply. Third. The said apparatus and equipment shall be ready for delivery from Clintonville, Wisconsin, within about after the receipt and acceptance of this contract at the first party's office at Clintonville, Wisconsin, delays due to strikes, failures to obtain materials, or other causes beyond its control not preventing, and shall be delivered to said party of the second part at Fourth. A competent serviceman shall, upon request, be furnished by first party to demonstrate said apparatus for party of second part and to give its employees the necessary instructions in the operation and handling of said apparatus. Fifth. The second party purchases and agrees to pay for said apparatus and equipment, the sum of Dollars ( S ) It is hereby certified that such amount will be available on the delivery date. In the event the apparatus is placed in fire service prior to payment in full the first party reserves the right to charge a rental fee of two hundred dollars ( 9200.00) per day for each day the apparatus is used prior to payment. Net payment cash upon delivery. If more than one piece of apparatus is covered by this contract, the above terms of payment shall apply to each piece, and an invoice covering each piece shall be rendered in the proper amount. Sixth. In case the second party desires to test the said apparatus such test shall be made within ten (10) days after arrival at destination, and a written report of such test forthwith delivered to the first party at its principal office at Clintonville, Wisconsin. If no such test be made, or if no such report be made by the second party within ten ( 10 ) days after arrival, then said apparatus and equipment shall be considered as fully complying with contract specifications. Seventh. It is agreed that the apparatus and equipment covered by this contract shall remain the property of the first party until the entire contract price has been paid, but if more than one piece of apparatus is covered by this contract, then each piece shall remain the property of the first party until the above listed price for such piece has been paid in full, and in case of any default • in payment • the said first party may take full possession of the apparatus and equipment, or of the piece or pieces upon which default has been made, and any payments that have been made shall be applied as rent in full for the use of the apparatus and equipment up to date of taking possession. Eighth. In the event any Federal or State regulation shall be enacted during the course of this contract that will affect the cost of producing said product, such costs will be extended to the second party. Tne contract to be binding must be signed and approved by an officer of Seagrave Fire Apparatus, Inc. and /or FWD Corporation, or some one authorized by him to do so. This contract and specifications take precedence over all previous negotiations and no representations are considered as entering into this contract except as are contained herein or in the specifications attached hereto. Requests to ship short must be made and approved by the Fire Department Fire Chief in advance and in writing. When accepted, payment will be made within 30 days by City check made to the order of the bidder. No down payments or progress payments will be made. In the case of approval shortages, twice the value of the shortages will be retained until received. No shortages which preclude the use of the truck by the Fire Department will be allowed. Contractor shall be responsible for having complied with the following: Dealer supplying equipment to this specification shall be responsible for having complied with all Federal and State of Texas Safety Standards, applicable and effective, on the date of acceptance. This includes compliance with applicable provisions of the National Highway Traffic Safety Administration, Department of Transportation, Title 49, Chapter V, Code of Federal Regulations Amendment effective on January 1, 1972, regardless of individual requirements of this specification, an official certificate of inspection will be affixed when required by State prior to delivery. REQUIREMENTS OF DELIVERY AND ACCEPTANCE A. Acceptance Authority - the Chief of the Fire Department and the City Manager of the City of Round Rock are designated by the purchaser to witness the road and operational tests of the apparatus for acceptance as specified in NFPA 1901 and 1904. B. Test Requirement Trails - In the event the apparatus fails to meet test requirements on first trails, second trails may be made at the option of the contractor within thirty (30) days of the date of the first. trails. Such trails shall be final and conclusive and failure to comply with these requirements shall be cause for rejection. Failure to make such changes as the Chief of the Fire Department and /or City Manager my consider it necessary to conform to any clause of the specification within thiry (30) days after notice is given the contractor to make changes shall also be cause for rejection of apparatus. C. Equipment specified herein shall be delivered with the apparatus, along with necessary mounting brackets and shall be installed by the manufacturer. D. The apparatus shall be delivered to a place in Round Rock, Texas designated by the Fire Department, which shall be notified prior to delivery. The apparatus shall be delivered 1005 complete and ready to operate in all respects before acceptance and payment by the City of Round Rock, Texas. The apparatus shall be completely assembled, adjusted, serviced, clean and ready for continuous heavy duty service, Servicing shall include, but is not limited to complete lubrication and inclusion of enough anti - freeze in the liquid cooling system to protect to - 2 degrees F. Servicing, adjustment. assembly, etc., shall be to the satisfaction of the City of Round Rock. In addition, a thorough condition and specification compliance inspection shall be conducted on the apparatus prior to delivery. If desired and if space is available, the repairs may be accomplished on City property; this will be at the discretion of the City of Round Rock, Any and all servicing and make - ready, necessary after delivery to Round Rock shall be the complete responsibility of the seller. This includes such things as addition of gold lettering, mounting of equipment and other items necessary for dealer to put unit in service. G. Permission to keep or store the apparatus in any building owned or occupied by the City of Round Rock for a specified period with the permission of the contractor shall not constitue acceptance of same. Prior to acceptance of the apparatus, it shall be operated and /or stored at the bidder's risk, A one (1) hour road test will be conducted to determine proper engine cooling during over- the -road use. The successful bidder shall furnish an actual shop drawing of the apparatus to be approved by the Fire Chief before actual construction begins. INTENT OF SPECIFICATIONS The price to be quoted in any proposal submitted shall include all items of labor, materials, tools, equipment and other costs necessary to fully complete the manufacture and delivery of the apparatus pursuant to these specifications, It is the intention of these specifications to provide and require a complete apparatus to the type prescribed ready for operation. Any items omitted from such specifications which are clearly necessary for completion of such equipment and its appurtenance shall be considered a portion of such equipment although not directly specified or called for in these specifications. All specifications are minimum. There is no intention to disqualify any bidder who can meet the intent of these specifications without necessarily being in compliance with minor details. The bidder shall agree to submit to the courts of the State of Texas with respect to any claims and /or damages arising of the sale or any injury caused by subject equipment bid and supplied. All materials, workmanship and finish entering into construction of this equipment, including those things not specifically covered by this specification, shall conform to the character of the equipment and purpose for which it is intended, and all work shall be professionally and skillfully accomplished in accordance with the best trade customs and professional standards of work, as generally recognized by trade standards. Design shall be in accordance with Chapter 2, Article 2000 of the National Fire Protection Association Bulletin No. 1901 and 1904 (suggested specifications for Motor Fire Apparatus). Other details not specified herein shall be in accordance with this same bulletin. The apparatus shall be of modern cab forward type, carefully designed to suit the nature of the service for which the apparatus must perform. All materials, workmanship, and finish entering into the construction of the apparatus shall conform to the character of the apparatus and the purpose for which it is intended. This apparatus must be manufacturer's first premium quality model of latest design. The time lapse involved in the manufacture and delivery of this apparatus after acceptance of a bid will be a governing factor in the selection of a contractor. Bidder's proposal must clearly list in detail all items requested in our speficiations and only literature, drawings or photographs of the bid apparatus shall be inserted. Inserting lieterature, drawings or photographs of items not listed, or of detail not specified, to confuse the bid, will be cause for automatic rejection, Bidder must be the manufacturer of the cab, chassis, and body, and shall furnish original certificate of origin. Bidder taking any exceptions to the City of Round Pock specifications shall note these exceptions on the bid form. When used, checking the "YES' will mean an exception is being taken to our specifications, and checking "NO" will mean compliance with our specifications. First trip to be when apparatus is approximately 752 complete and the second trip to be when apparatus is 1002 complete, The City reserves the right to waive irregularities or allow exceptions to these specifications if it be to its best interest. The City reserves the right to reject any or all bids, and the right to accept a bid other than the lowest bid if in the judgement of the City, it is deemed in its best interest, The manufacturer shall provide a repair parts and service guarantee properly signed by an officer of the company to the effect that repair parts and service will be available for the useable lifetime of the fire apparatus which is considered to be a period of 20 years. No experimental apparatus shall be considered. Supplier shall list the length of time it has been manufacturing firefighting apparatus, pumper trucks, pumpers trucks with custom cab and this particular model custom pumper unit. In addition, indicate the number of this particular model that has been built and whom they were for; indicate name of department, location person to contact, phone number and time of delivery for last 10 units (or less) built. The experience of the supplier shall be a factor in bid evaluation. Separate lists may be furnished if desired. As a condition of the acceptance of the apparatus, the contractor shall furnish a guarantee of the apparatus and equipment for one (1) year which includes all labor and parts, F.O.B. Round Rock, Texas. The manufacturer shall defend any and all suits and assume all liability for any claims against the purchaser, or any of its officials or agents for the use of any patented process, device, or articles forming a part of the apparatus or any appliance furnished under the contract. The manufacturer shall not assign, transfer, convey, sublet, or otherwise dispose of this contract or his right, title, or interest in or to the same or any part thereof without previous consent in writing of the purchaser endorsed hereon or attached hereto. Each bidder shall sumbit with his bid a certified check or a casher's check on a solvent bank, or a bidder's bond, the amount of which is not less than 10g, of the bid price and which shall guarantee that the bidder will enter into a contract at the bid price within thirty days of the acceptance of said bid by the purchaser, Bidder's Bond must be made by bonding company authorized to do business in the State of Texas. This should be drawn in favor of the City of Round Rock. The delivery service engineer shall remain in the department for a sufficient time, not less than three (3) days, to instruct firefighting personnel in the operation, care, maintenance, and handling of the apparatus and equipment. With the approval of the Fire Chief, all miscellaneous equipment shall be located and mounted by the delivery service engineer. Suitable access shall be provided to permit inspection and adjustment of the pump while operating. The apparatus shall conform to all Federal Motor Vehicle Safety Standards for Fire Apparatus in effect at time of completion. The successful bidder shall meet with representatives from the Fire Department prior to lay -down of unit to discuss all details of apparatus specified. The term "heavy- duty" as used in the specifications shall mean that the item to which the term is applied shall exceed the usual quantity, quality, or capacity supplied with standard production models and it shall be able to withstand unusual strain, exposure, temperature, wear and use. Each unit supplied shall have component parts necessary to give maximum performance, service, life, and safety, and not merely meet minimum requirements of the specifications. The apparatus shall be so designed and the equipment so mounted with due consideration to distribution of load between frount and rear axles, that all specified equipment, including the filled water tank, a full complement of hose and equipment, and equivalent personnel load of 12000 pounds will be carried without injury to the apparatus. A satisfactory weight balance for a vehicle will be considered to be considered to be within the limits of 30 to 33 percent on the front tires and 65 to 67 percent of the total or vehicle weight on the rear tires, distribution of 33 and 67 percent, respectively, is preferable. The fully laden weight of the completed vehicle, this including the filled water tank, full complement of hose and equipment, and equivalent personnel loading for the model. The manufacturer is required to furnish published or properly certified date covering the rated GVW and axle ratings. In any event, the total load on each axle shall not exceed the axle loads permitted under applicable Texas State Laws, or the rating of the axle manufacturer. TESTS TO BE PERFORMED BY THE MANUFACTURER The completed vehicle shall be thoroughly run in by the manufacturer before being delivered. A responsible representative of the manufacturer shall certify on a test data sheet provided at the time of delivery that the vehicle has been operated for a minimum of three hours of pumping at draft and that the unit has pumped rated capacity at 150 PSI net pump pressure for at least one 70 percent of rated capacity at 200 PSI net pump pressure for at least 1/2 hour and 50 percent of rated capacity at 250 PSI net pump pressure for at least 1/2 hours. National Board of Fire Underwriters Form "1266 is a suggested form to be used for the results of the Manufacturer's Run -in and performance test. Pump impeller chamber and discharge connections shall be tested by the pump manufacturer for 10 minutes at a pressure of 100 P51 in excess of the maximum working pressure, and the suction chamber of the pump shall be tested to a hydrostatic pressure of 350 PSI. The apparatus shall also be given a 10 minute overload test to demonstrate Its ability to develop 10 percent excess power. The test shall consist of discharging rated capacity at 165 PSI pump pressure. A test shall be conducted when operating a draft to determine the efficiency of the means provided or automatically controlling pump pressure. With the pressure control set at not more than 10 P51 higher than any operating pressure over 75 P51 and the pump discharging through one or more hose lines, pump pressure shall not increase more than 30 PSI from its original valve. A vacuum test, using the pump priming device, with a capped suction at least 20 feet long, shall develop 22 inches of vaccum and hold the vacuum with a drop not in excess of 10 inches in 10 minutes. The primer shall not be used after the 10 minute test period has been started. This test shall be made with the discharge outlets uncapped. CONDITIONS OF TEST Acceptance tests shall be made with all accessories and power consuming appliances connected. The stops during tests shall be only such as are necessary for changing hose and nozzles. During and after the tests. the engine. pump transmission and all parts of the machine shall show no undue heating, or excessive strain or vibration and the engine show no loss of power, overspeed, or other defect. The suction hose used when testing from draft wall consist of at least 20 feet in a single line of 6 inch suction hose and external and internal strainers delivered with the apparatus. At the conclusion of the test, there shall be no evidence of leakage of oil from any source. GENERAL CONSTRUCTION The design of the apparatus shall embody the latest automotive engineering practices.
