COMMERCIAL OFFICE CLEANING
GENERAL PROCEDURES
A. Jani -King will stay in close contact with the
management concerning all work performed.
B. All Jani -King employees will be trained and
supervised to perform to the best of their ability
in order to accomplish the cleaning as outlined in
the cleaning schedule.
C. All work performed by Jani -King personnel will be
inspected regularly to insure consistent
performance and adherence to Jani -King standards.
A. All personnel will be paid no less than minimum
scale as required by Federal Law.
B. Work hours, work week, job methods, procedures, pay
scale will be thoroughly explained to all
personnel.
III. SECURITY PROCEDURES AND INSURANCE
A. Jani -King representatives will work closely with
management in regard to employment of acceptable
personnel.
B. Jani -King will provide all necessary insurance and
bonds on all its employees.
A. Jani -King will insure prompt response to all
management requests.
B. All Jani -King personnel are accessible by telephone
and /or digital pager.
COMMERCIAL OFFICE CLEANING
MAINTENANCE AGREEMENT
THIS AGREEMENT, made this Igo i s f I , 1991
and effective 1,k. day 1991 and between
City of Round Rock, 221 East Main Street, R ound Rock, Texas
78664 and Jani - King of Austin.
WITNESSETH:
WHEREAS, Client is desirous of the services of Jani-Xing for
the purpose of keeping the building properly cleaned as
outlined, and;
WHEREAS, Jani -King is in the business of providing
maintenance and janitorial services under the trade name and
style of "Jani- King" and desires to contract and agree with
Client for the performance of said janitorial services to be
further set out in this contract.
NOW THEREFORE, in consideration of the faithful performance
of the services hereinafter specified, in the manner and at
the times specified, the compensation to be therefore and the
mutual covenants and agreements of the parties hereinafter
set forth to be kept and performed and the mutual benefits to
each of the parties therefrom, it is hereby contracted and
agreed as follows:
I.
The premises making up the working area of this contract will
be known further in this contract as the Named Areas and
include the following at Rabb Recreation Center, Palm Valley
Road; Kenningham Recreation Center, 1000 South Creek Drive;
and Round Rock Community Center, 205 East Main Street, Round
Rock, Texas 78664.
a. All office areas, recreation areas, and meeting areas.
b. Restrooms.
Jani -King agrees to service the Named Areas one (1) time per
week.

COMMERCIAL OFFICE CLEANING
Jani -King agrees to furnish all equipment, tools and other
paraphernalia necessary to the performance of the duties,
' said duties being to maintain the Named Areas in a neat,
clean and orderly condition as outlined in the Cleaning
Schedule attached hereto. Client warrants that the premises
to be serviced are free of Asbestos, hazardous materials,
' and hazardous waste materials, and /or holds Jani -King
harmless from any and all liability for its personnel's
exposure to such hazardous or harmful conditions.
1 III.
In consideration of the faithful performance by Jani -King of
' the duties hereunder, Client agrees to pay Jani -King the
total minimum sum of

per month on the first day of each month for the rendition of
the immediate preceding months services during the term
hereof. Credits for nationally recognized holidays were
' predetermined and given as part of the monthly charge herein.
Iv.
I It is expressly agreed that Jani -King is not and shall not be
during the term hereof, employees of Client but are
independent contractors, and in this regard Jani -King will
I not be within the protection or coverage of Client's Workers
Compensation Insurance, and no withholding of Social
Security, Federal or State Income Tax or other deductions
shall be made from the sums agreed to be paid Jani -King
I herein, the same being contract payments and not wages.
V.
1 From time to time as the parties may agree, the amount to be
paid by Client may be increased or decreased to reflect an
increase or decrease in the area or space serviced and the
I kind, amount or frequency of services to be rendered. Such
modifications shall be binding only if in writing and signed
by both parties and attached hereto.
I VI.
Should the Federal Minimum Wage Standard be increased at any
time during the term of this agreement, the amount to be paid
I by Client shall automatically increase to reflect such
change.

VII.
It is agreed that Jani -King will select the personnel to
perform its obligations hereunder. Client warrants covenants
and agrees that during the term of this agreement and within
J one hundred and twenty (120) days after termination, Client
will not employ any employees, representatives and /or
franchisees of Jani -King. Jani -King warrants covenants and
agrees that during the term of this agreement and within
one hundred and twenty (120) days after termination it
will not employ any employees, representatives and /or
franchisees of Client.
VIII.
The term of this agreement shall be for one (1) year from the
date hereof, and thereafter shall automatically be extended
on the same terms and conditions until termination by one of
the parties hereto. Each party shall have the right to
terminate this contract upon written notice to the other for
reasons of non - performance of the duties and obligations
herein stated. Before any such termination is effective, the
terminating party must give the other party written notice
specifying in detail the nature of any defect in performance.
The non - terminating party shall have thirty (30) days in
which to cure the defect in performance to the reasonable
satisfaction of the terminating party. If the defect is not
satisfactorily cured at the end of the thirtieth (30) day,
the terminating party shall notify the non - terminating party
in writing of the failure to satifactorily cure the defect,
and the agreement shall terminate thirty (30) days from the
date of said notice.
Ix.
In any suit hereon, the prevailing party shall be entitled to
recover from the other party its costs incurred in such
action, including reasonable attorney's fees.

1 The intent of these Specifications is to provide a thorough
interior cleaning of City Recreation Centers on a weekly
1 basis.
1 A. ROOMS
W - Dust all horizontal surfaces with dust cloth.
1 W - Dust all high surfaces, including pictures, walls, book
shelves, door frames, chairs, tables and other
furnishings.
1 W - Dust all low surfaces, including baseboards and chair
rungs.
1 W - Spot clean all walls, light switches and doors.
W - Vacuum all obvious dirt and dust. Remove all visible

W Spot clean carpets. A caret steam cleaning vacuum
should be available for this purpose.

dust mop or spray buff all hard surface floors. Scrub

more than 340 accounts. "There are lots
of potential entrepreneurs here com-
pared to other cities," he says.
While the largest Jam -King franchise

Cavanaugh says, the majority of the
company's five franchise plans are
designed to accommodate small
entrepreneurs hoping to start out work-
ing part time.
