WATERPROOFING EVALUATION Spectrum will provide the following building evaluation services: Visual examination of roof components and installation details. Visual examination of exterior wall components and installation details. • Visual examination of planter box and parking garage storage room waterproofing system components and installation details. Review of facility leakage and maintenance experience. • Review original construction documents and specifications. Review of facility utilization and operational requirements. • Provide facility evaluation report and preliminary design recommendations including: - Summary of existing conditions and construction. - Project recommendations and priorities. - Evaluation of repair alternatives with cost analysis. - Project budgets and schedule recommendations. - Appropriate phasing for budget considerations Fees shall be billed at a flat rate of $2,500.00. CONSTRUCTION ADMINISTRATION • Provide, prior to and during the course of construction, review of manufacturer's and subcontractor's submittal data and drawings, noting deficiencies of proposed construction. Prior to construction, provide counsel during pre - construction meeting regarding applicable roofing, sealants and related sheet metal work. A pre - construction conference shall be scheduled prior to commencement of field work. Perform quality control inspections of the project during construction for review of contract compliance of and provide a report of findings and recommendations. Upon completion of construction of roofing, sealants and related sheet metal, provide a report of final inspection prior to acceptance of the work. SCHEDULE OF PROFESSIONAL FEES SPECTRUM ASSOCIATES The services of special consultants, testing laboratories, etc. shall be billed at cost plus 10 %. LIMITATION OF LIABILITY/WARRANTIES Spectrum Associates shall not be liable or responsible for, and it shall be saved and held harmless by client from and against any and all claims and damages of every kind, for injury to or death of any person or persons and for any damage to or loss of property, arising out of or attributed directly or indirectly to the performance of this contract. Client agrees that Spectrum Associates shall provide only the services set out herein and that Spectrum makes no warranties, express or implied, with respect to products or their fitness for a particular purpose. Client agrees to look solely to the warranties made by the contractor and /or manufacturer of said products, including, without limitation, consequential damages arising out of the use of said products. REIMBURSABLES Hourly rates do not include direct reimbursable project expenses such as travel, per diem, reproduction, photography, transportation, special consultant, contractor or testing services which shall be billed at cost. It is possible that a excavation contractor may be required to uncover concealed conditions in the area of the planter boxes. Spectrum Associates will assist Owner in coordination required in regards to reroofing when impacted by any required asbestos consulting and /or abatement services. Spectrum shall be reimbursed for such coordination at rates outlined in the schedule of professional fees. ENTIRE AGREEMENT This agreement supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to the services to be rendered to the client by Spectrum Associates and contains all of the covenants and agreements between the parties with respect to such transaction in any manner whatsoever. CHOICE OF LAW/VENUE This agreement shall be governed by and construed in accordance with the laws of the State of Texas and is performable in Travis County, Texas. Main Street Round Rock, Texas David, Howard Baker and I have been investigating the possible repairs that need to be made to solve water leak problems at City Hall. Previous proposals have been made which gave estimates of up to $35,000. for repairs. These estimates came from contractors interested in performing the work. I have examined these and am not quite confident that they have all the answers and procedures to solve the waterproofing problem. I suggest we get some expert help in dealing with this problem. Howard and I have met with Robert W. Sherril of Spectrum Associates, Inc. and suggest that we accept their proposal for Waterproofing Consulting Services as outlined in the attached proposal and agreement.
