AGREEMENT FOR SERVICES

THIS Agreement, is entered into this 8th day of September 1994, by and between City of
Round Rock, hereinafter called the "CLIENT ", and Espey, Huston & Associates, Inc., hereinafter
called "EH &A ".
CLIENT and EH&A in consideration of the mutual covenants set forth herein, agree as
follows:
I. Project Description. CLIENT intends to construct a wastewater collection line from the
West Wastewater Treatment Plant to a line at the confluence of Lake and Brushy creeks
(hereinafter called the "Project ").
EH &A will provide engineering consultation services in connection with the Project. The
scope of services to be provided under this Agreement is specified in Attachment A, attached to
and made a part hereof. Deviations from the attached scope of services or other provisions of this
contract may only be made by written agreement signed by all parties to this Agreement.
EH &A will begin work in accordance with the project schedule set forth in Attachment A.
If CLIENT has requested significant modifications or changes in the general scope, extent or
character of the Project, the time of performance of EH &A's services shall be adjusted equitably.
The work to be performed under this agreement is solely for the benefit of the CLIENT.
Nothing in this contract, whether express or implied, is intended to confer any rights or remedies
under or by reason of this Agreement upon third persons, nor shall any provisions give any third
parties any right of contribution, subrogation or any other action against EH &A.
II. Compensation. For and in consideration of the work performed hereunder, CLIENT agrees
to compensate EH &A on a monthly basis. Invoices for fees and all other charges will be submitted
monthly for all services rendered as the work progresses. The net amount shall be due and payable
at the time of billing at EH &A's offices in Austin, Travis County, Texas and CLIENT's obligation
to pay under this Agreement is to be performed in Travis County, Texas. The obligation and
responsibility to pay is solely that of CLIENT, and the acts or omissions of any third party shall
not affect that responsibility. Any payment not received within thirty (30) days of the original date
of invoice shall be construed as a late payment CLIENT agrees to pay a late payment charge of
1 1/2% per month to encourage timely payment without resort to litigation, and to compensate
EH &A for the cost of securing payment on a timely basis. Any attorney's fees or costs of court
incurred in collecting any delinquent amount shall be paid by the CLIENT In the event the
CLIENT fails to pay EH &A within thirty (30) days after invoices are rendered, then the CLIENT
agrees that EH &A shall have the right to stop or suspend work and consider the non - payment
grounds for a total breach of this Agreement.
EH&A will undertake the scope of services under this Agreement on a time and materials,
cost - reimbursable basis according to EH &A's rate schedule attached hereto and made a part hereof.

If at any time it becomes evident that the cost estimates provided to CLIENT will not be
sufficient to complete the authorized work, EH &A will not continue work beyond that estimate
until the cost estimate is revised and approved by CLIENT.
CLIENT and EH &A understand that it is possible that EH&A will be called upon by
CLIENT or a third party to provide testimony relating to the Project. In that event, CLIENT
agrees to pay EH &A for any such services rendered by EH&A's principals and employees as
consultants or witnesses in any litigation, arbitration or legal or administrative proceeding at the
normal hourly rate charged by EH &A for that individual's services. Such charges shall be in
addition to any agreed compensation limit.
III. Termination. This Agreement may be terminated by either CLIENT or EH &A upon ten
(10) days' written notice in the event of substantial failure of the other party to perform in
accordance with the terms of this Agreement. Upon receipt of termination notice, EH &A shall
initiate efforts to stop all work in progress, including subcontracts. Upon termination by either
party, CLIENT shall promptly pay EH &A for all of the fees, charges and services performed by
EH &A in accordance with the compensation arrangements under this agreement or on an agreed
hourly basis. CLIENT expressly agrees to indemnify and hold EH &A, and EH &A's independent
associates or consultants, harmless from any and all liability, claims, damages, losses and expenses,
including attorneys fees, arising out of or resulting from termination of EH &A's services hereunder
due to CLIENT's failure to perform and /or pay in accordance with the provisions of this
Agreement.
IV. Ownership of Documents. All documents, including drawings and specifications, prepared
or furnished by EH &A (and EH &A's independent professional associates and consultants) pursuant
to this Agreement are instruments of service in respect to the Project and EH&A shall retain an
ownership and property interest therein whether or not the Project is completed. CLIENT may
make and retain copies for information and reference in connection with the use and occupancy of
the Project by CLIENT and others; however, such documents are not intended or represented to
be suitable for reuse by CLIENT or others on extensions of the Project or for use in connection
with any other project. Any such use without written verification or adaptation by EH &A for the
specific purpose intended will be at CLIENT's sole risk and without liability or legal exposure to
EH &A, or to EH&A's independent associates or consultants, and CLIENT shall indemnify and
hold harmless EH &A and EH &A's independent associates and consultants from all claims,
damages, losses and expenses, including attorneys' fees, arising out of or resulting therefrom. Any
such verification or adaptation will entitle EH &A to further compensation at rates to be agreed
upon by CLIENT and EH &A.
V. Independent Agent. In the performance of work or services hereunder, EH &A shall be
deemed an independent agent and any of its employees performing work required hereunder shall
be deemed solely employees of EH &A or its subcontractors.
VI. Insurance. EH &A agrees to furnish, if requested by CLIENT, a certificate reflecting its
coverage by workmen's compensation insurance, and public liability insurance for bodily injury
and property damage in amounts satisfactory to CLIENT, and agrees that such coverages will be

maintained during the term of this Agreement. EH &A agrees to require that its subcontractors,
where required, likewise carry and maintain adequate insurance coverages.
VII. Subcontractors. In fulfilling its duties pursuant to this Agreement, it is recognized by
CLIENT that EH &A may elect to subcontract to others certain tasks in Attachment A.
VIII. Agreement Binding on Successors. Neither CLIENT nor EH &A may assign or transfer its
individual interests in this Agreement without the written consent of the other party. CLIENT and
EH &A each binds itself and its successors and assigns to the other party with respect to all
covenants of this Agreement.
IX. Audits and Records. At any time during normal business hours and as often as CLIENT
may deem necessary, EH &A shall make available to representatives of CLIENT for examination
its records with respect to all matters covered by this Agreement, and will permit representatives
of CLIENT to audit, examine and make excerpts or transcripts from such records or personnel
conditions of employment and other data relating to all matters covered by this Agreement, for a
period of three (3) years from the date of final settlement or for such other or longer period, if
any, as is required by applicable statute or lawful requirement.
X. Client's Responsibilities. CLIENT shall do the following in a timely manner so as not to
delay the services of EH &A:
A. Designate in writing one person to act as CLIENT's representative with respect to the
services to be rendered under this Agreement.. Such person shall have complete authority to
transmit instructions, receive information, interpret and define CLIENT's policies and decisions
with respect to EH &A's services for the Project.
B. Assist EH &A by placing in a timely fashion, at EH &A's disposal, all available
information pertinent to the Project, including previous reports and any other data relative to the
Project.
C. Provide all criteria and full information as to CLIENT's requirements for the Project,
including design objectives and constraints, space, capacity and performance requirements,
flexibility and expendability, and any budgetary limitations; and furnish copies of all design and
construction standards which CLIENT will require to be included in the Drawings and
Specifications.
D. Furnish to EH &A, if requested, or as required for performance of EH &A's services,
the following, all of which EH &A may use and rely upon in performing services under this
Agreement:
i Data prepared by others, including without limitation environmental
assessments and impact statements, borings, probings and subsurface
explorations, hydrographic surveys, laboratory tests and inspections of samples,

materials and equipment, together with any accompanying professional
interpretations of all of the foregoing.
ii Property, boundary, easement, right -of -way, topographic and utility surveys;
property descriptions and /or title commitments; and zoning, deed and other land
use restrictions.
iii Other special data or consultant studies not covered in the above.
E. Arrange for access to and make all provisions for EH &A to enter upon public and
private property as required for EH &A to perform services under this Agreement.
F. Examine promptly all studies, reports, sketches, drawings, specifications, proposals
and other documents presented by EH &A, obtain advice of an attorney, insurance counselor and
other consultants as CLIENT deems appropriate or upon EH &A's request for such examination
and render in writing decisions pertaining thereto within a reasonable time so as not to delay the
services of EH &A.
G. Furnish approvals and permits from all governmental authorities having jurisdiction
over the Project and such approvals and consents from others as may be necessary for completion
of the scope of services.
H. Pay all governmental agency submittal, review and recording fees and all applicable
permit fees on a timely basis.
I. Give prompt written notice to EH &A whenever CLIENT observes or otherwise
becomes aware of any development that affects the scope or timing of EH &A's services.
J. The CLIENT agrees that in accordance with generally accepted construction practices,
the construction contractor will be required to assume sole and complete responsibility for job site
conditions during the course of construction of the project, including safety of all persons and
property and that this requirement shall be made to apply continuously and not be limited to normal
working hours. EH&A will not supervise, director or have control over the Construction
Contractor, nor will EH &A have authority or responsibility for the means, methods, techniques,
sequences or procedures of construction.
XI. Special Provisions. The purpose of this Article is to set forth the understanding of the
parties about the nature of the duties undertaken by EH &A in this Agreement, the standard by
which its performance of these duties are to be judged, and the manner in which any damages
suffered by the CLIENT as a result of any breach of duty by EH &A shall be measured.
The parties hereby acknowledge and agree that they both have the knowledge and experience
in financial and business matters that enable them to evaluate the merits and risks of this
Agreement and their bargaining positions herein are not significantly disparate.

The CLIENT understands that the practice of engineering is not an exact science and that
EH&A accordingly cannot and does not warrant or guaranty, expressly or impliedly, any particular
result from its services. The CLIENT further understands that EH&A is rendering personal
services under this Agreement, and that EH &A cannot and does not warrant or guaranty that those
services will be rendered perfectly or without error. CLIENT agrees that each of the obligations
of this Agreement are not warranties or guaranties of any kind, and that nothing EH &A does or
advises shall be construed as a warranty or guaranty of any kind. In the event that any breach of
EH &A's duty to exercise reasonable care in the performance of its services results in errors or
omissions, EH &A's liability to the CLIENT shall be limited in all respects and regardless of the
nature of the underlying cause of action to the actual damages suffered by CLIENT "Actual
damages" suffered by CLIENT as a result of errors or omissions on the part of EH &A means the
actual cost of construction over that which would have been incurred had the error or omission not
occurred. It is understood and agreed between the parties hereto that neither party shall not in any
event be liable for loss of profits, loss of business, or other indirect or consequential damages.
The CLIENT further understands that because of the nature of EH &A's services, any
recommendations or advice that EH &A makes or gives in connection with its work hereunder,
including but not limited to, the recommendation to incorporate or use a particular product in the
construction of the Project, or recommendation or advice to construct the Project or any portion
thereof in a particular manner or location, or an opinion as to construction costs whether such
recommendation or advice is given in the form of unqualified statements or is incorporated or set
forth in the plans or specifications for the Project, is intended as a recommendation based on
EH &A's subjective judgment and is not intended as, and will not be understood as, a representation
of any kind or character, other than a statement of EH &A's opinion.
EH &A shall not be responsible for damages or be in default, or be deemed to be in default,
by reason of delays in performance by reason of strikes, lockouts, accidents, acts of God and other
delays unavoidable or beyond EH &A's reasonable control, or due to shortages or unavailability
of labor at established area wage rates or delays caused by failure of CLIENT or CLIENT's agents
to furnish information or to approve or disapprove EH &A's work promptly, or due to late or slow,
or faulty performance by CLIENT, other contractors, or governmental agencies, the performance
of whose work is precedent to or concurrent with the performance of EH &A's work. In the case
of the happening of any such cause of delay, the time of completion shall be extended accordingly.
In the event that any changes are made in the plans and specifications by the CLIENT or
persons other than EH &A which affect EH &A's work, any and all liability arising out of such
changes is waived as against EH &A and the CLIENT assumes full responsibility for such changes
unless CLIENT has given EH &A prior notice and has received from EH &A written consent for
such changes.
XII. Equal Employment Opportunity. EH &A shall not discriminate against any employee or
applicant for employment because of race, creed, color, religion, sex, age, national origin,
handicap, veteran status, or other prohibited discrimination. EH &A shall take affirmative action
to ensure that applicants are employed, and that employees are treated during employment, without

regard to their race, creed, color, religion, sex, age, national origin, handicap, veteran status, or
other prohibited discrimination.
XIII. Mailing Addresses. All notices and communications under this Agreement to be mailed
or delivered to CLIENT shall be sent to the address of CLIENT's agent as follows, unless and
until EH &A is otherwise notified:

Any notices and communications required to be given in writing by one party to the other
shall be considered as having been given to the addressee on the date the notice or communication
is posted by the sending party.
XIV. Liability. EH &A agrees to indemnify and hold CLIENT, its directors, employees and
agents harmless against all losses, damages, costs, expenses, including reasonable attorneys fees,
and liabilities, which CLIENT incurs as a result of any third party claim against CLIENT for
damages arising from EH &A's work performed under this Agreement that were caused by
EH &A's negligence.
The CLIENT agrees to indemnify and to hold EH &A harmless, against any and all losses,
damages, costs, expenses, including attorney's fees, liabilities and other obligations which EH &A
incurs as a result of 1) any third -party claim, action or proceeding based on an allegation that
EH &A has breached a material term of this Agreement or has been negligent by act or omission
in any manner excepting any losses or percentage of losses found to have been caused by EH &A's
negligence or willful misconduct in the performance of services, and 2) against any and all losses,
damages, costs, expenses, including attorney's fees, liabilities and other obligations which EH &A
incurs as a result of any third -party claim, action or proceeding from the encounter or discovery
of any toxic or hazardous waste, including asbestos, during any portion of the design, construction,
or life of the project, not arising from the direct negligence of EH &A. It is CLIENT's intent to

indemnify EH &A against whatever percentage of the above described losses are attributable to
parties (including CLIENT) other than EH &A.
XV. Enforcement of Agreement. This Agreement is to be governed by the laws of the State of
Texas. Venue and jurisdiction of any litigation, or right of cause of action under or in connection
with this agreement shall be exclusively in Travis County, Texas. Should any provision herein be
found or deemed to be invalid, this agreement shall be construed as not containing such provision,
and all other provisions which are otherwise lawful shall remain in full force and effect, and to this
end the provisions of the agreement are declared to be severable. There are no understandings or
agreements except as herein expressly stated.
Executed in two (2) counterparts, each of which is deemed to be an original and as of the
day and date first written in this Agreement.

Thank you for meeting with us the other day to discuss the activation of the above referenced project.
As you are aware, a significant amount of time has past since the plans and specifications for this
project were prepared. We believe the beat way to approach the project is to establish a preliminary
scoping task to evaluate the status of the plans and specifications In terms of today's requirements
and than when the scope of any needed changes are known determine a fee for those services.
The items to be accomplished during this preliminary phase would include the following:
1. A plan -In -hand walking of the designed route to determine if any changes have taken
place that would effect the existing design or the construction.
2. A review of the pipe size based on the now planed service area and the projected
population for that area.
3. A review of the specified pipe material in terms of current requirements and the
acceptability of new pipe products.
4. Determination of the points of connection at the old plant and at the existing
interceptor.
5. A review of the design depth of the line if the pipe size is changed for savings In the
construction cost.
6. A review of the status of the existing permanent and temporary construction
easements.

Terms:
Invoices are submitted monthly for all services rendered and are payable "Net 30 days." Late payments
will incur a late charge of 11i percent per month from the original date of invoice. Espey, Huston &
Associates, Inc., reserves the right to stop work should invoices not be paid within 30 days.

That the Mayor is hereby authorized to execute a contract with
Espy Huston for engineering design services for a wastewater

There is no mileage charge when the job site is within 50 miles of the office from which the survey
crew originates.

Travel and Subsistence.
All travel and subsistence expenses will be invoiced at actual cost plus 10% handling. Cost of mileage
for private and company owned vehicles is computed at the prevailing rate designated by the U.S,
Intemal Revenue Service. All mileage will be based on portal -to- portal.
Purchased Services:
All purchased services are invoiced at actual cost plus 10% handling. These include but are not limited
to reproduction, long distance and cellular telephone, computer time, consultants, subcontract services,
rented or leased equipment, and expendable supplies.
Terme:
Invoices are submitted monthly for all services rendered and are payable "Net 30 days." Late payments
will incur a late charge of 1 f4 percent per month from the original date of invoice. Espey, Huston &
Associates, Inc., reserves the right to stop work should invoices not be paid within 30 days.

contract with Espy Huston for engineering design services for
a wastewater collection line,

STAFF RECOMMENDATION:
In 1986, Espy - Huston was retained by the WCID to design a wastewater collection main
from the West Wastewater Treatment Plant to a line at the confluence of the Lake and Brushy
Creeks. This line was designed but construction was deferred. It is now time to build this
improvement. It is recommended to retain Espy Huston to re- examine the plans and look for
changed conditions and improve the plans accordingly. This is a not to exceed 510,000
agreement and will be split 50 -50 with Austin.
