SPECIFICATIONS AND CONDITIONS FOR
BULK FUEL CONTRACT
1. SCOPE
This Contract is an annual contract for the purchase of bulk
fuels to be delivered to various governmental entities in
Williamson County who's locations are identified on the face
of the bid invitation and /or referenced attachments.
.1 Al bids shall list the brand or trade name of fuel being
offered and include a copy of the manufacturer's
purchase /e.chanae specifications. Specifications shall
indicate manufacturer's maximum allowable sulfur content_

Any aftermarket additive used shall be identified by
brand or trade name and manufacturer's spec
provided with the bid. In no case shall alcohol or
alcohol blends be acceptable. An additive, if used,
shall be Environmental Protection Agency (EPA) approved,
and compatible with the refiner'_ product. Additives
which increase emissions of sulphur and other substances
proven to damage the environment which are d -'owed by
EPA regulations will not be accepted.
2 PRICING
During the period of this contract, prices may be i ncreased
and decreased. However, price chance_ will be governed by an
index made up of composite posted prices in Austin of these
ccmpan published in the weekly publication of 011 Price
Information Service (CPIS) . The low bidder will be determined
by he amount of discount from the OPIS The
Contractor's delivered price may act exceed the GP_S price
minus the discount throughout the period of the contract_
Prices will be adjusted on a weekly basis.
3 PRODUCT SPECIFICATIONS: Fuels shall have a high level of
detergent additive as recommended for engines equipped with
fuel injection systems. Alcohol or alcohol blended fuels are
not allowed. Fuels supplied under this purchase order shall
be identified on the face of the Invitation for aid_ and may
include any of the following:
3.1 Regular Unleaded Gasoline, ASTM Designation 0439, SAE
0312 (most recent issues) with a minimum octane =_tine of
87 (RAM /2 method).

3.2 1o_ 2 Diesel Fuel, Low Sulphur, ASTM Designation 0975,
SAE J313 (most recent issues) with a minimum cetane
number of 40, maximum of .05 weight percent of sulphur,
a maximum aromatic content of 35 volume percent, and free
of visible evidence of the blue dye 1.4 dlalkylamine-
anthraauinone.
3.2.1. Diesel fuels shall meet ASTM D -1552 for
Sulphur Test, ASTM D482 for Ash Content, and
the standards published in SAE HS -23 (most
recent issues).
3.3 Unleaded Mid Grade Premium, ASTM Designated D439 (most
recent issue) with minimum octane raring of 89 (RtM /2
method).
3.4 Premium Unleaded Gasoline, ASTM Designated D4814 (most
recent issue) with a minimum octane rating of 92 (R +M /2
method).
PRODUCT QUALITY: Fuels Supplied under this purchase order
shall be free from contamination. Each entity reserves the
right to test fuel quality upon delivery, prior to unloading.
• Should test results show that fuel contains contamination, it
will be rejected.
.1 For purposes of this specification, contamination is
defined as any element which enters Pure refined gasoline
or diesel fuel either naturally or by Purposeful action_
which is not d product of refined crude oil with e
exception of winter additives, detergents, and
identifying dies. Anv amount of alcohol is considered
contamination and will not be allowed.
5. QUANTITIES AND DELIVERY LOCATIONS: Delivery locations, storage
tank capacities, approximate annual usage, approximate
delivery cuantities and approximate delivery frequences shall
oe r f H on the invitation for Bids and/or attachments.
Each entity reserves the right to inspect bulkheads and to
measure contents of tanks before, at the time of and/or after
delivery.

6. ORDERING INFORMATION: Orders for delivery will be made by
phone between the hours of 8:00 a.m. and 4:00 p.m. Bidder
shall indicate in the space provided on the Invitation for
Bids the name of the person to contact and a toll free or
local telephone number to place delivery orders. Deliveries
shall be made within twenty -four (24) hours of the time the
request for delivery is made, unless otherwise specified on
the I nvitation for Bids. For the purposes of this
specification, working days are 8:00 a.m. through 4:00 p.m.
Monday through Friday, excluding state or federal holidays.
Vendors shall note that individual entities may require a
shorter delivery period_
6.1 A delivery ticker shall accompany each shipment.

FAILURE TO DELIVER: If delivery is not accomplished within the
time frame spec -feed above. Each e:ilrty reserves the right to
procure the product on the open market and bill the vendor the
difference between the purchase order price and the open
market price or anv variation thereof as liquidated damages
for failure or inability to deliver.
8. SPILLAGE AND CLEANUP: The vendor shall be responsible for all
spillage which may occur during transit and unloading
operations_ The vendor shall immediately report any spillage
to the office that ordered the fuel and clean up the spillage
accordinc to applicable EPA and State guidelines and
requirements. Failure to do so will initiate corrective
action and backcharge to the vendor of anv incurred costs.
Delivering truck shall have a method of controlling vapors
while unloading into underground tanks.
9. PURCHASE ORDER RENEWAL: The purchase order may be renewed for
an additional period of time not to exceed the original period
of time provided all parties agree in writing to do so prior
to the expiration of this purchase order. A renewed purchase
order shall be for the original terms, conditions, and
callonaces, plus any approved changes. At the time of
renewal chances may include revision of the gallonages and
changes to the selling price limit.

10. CANCELLATION
10.1 the purchase order may be canceled, without penalty, by
any party upon thirty (30) days written notice to the
supplier.
. QUALIFICATION OF BIDDER: Bidders shall at any entities
request, furnish satisfactory evidence of their ability to
furnish the products or services in accordance with the terms
and conditions of these specifications. Each entity reserves
the right to make the final determination as to the bidder's
ability. By signature on the invitation for Bids the bidder
- certifies that neither the bidder nor the firm, corporation,
partnership, cr institution has violated the Antitrul -st Laws of
the State, modified in Section 15.01, at sec., Texas Business
and Commerce Codes, or the Federal Antitrust Laws, nor
communicated directly or indirectly the bid made to any
competitor, or any other person engaged in such line of
business.
USE OF BID BY OTHER GOVERNMENTAL AGENCIES: The delivery
locations and the estimated Quantities of fuel stated in the
Invitation for Bids by this Cooperative Purchasing Group shall
remain as specified. However, the Cooperative Purchasing
Group reserves the right to issue a subsequent purchase order,
for us by other Governmental agency(ies), for additional
Quantities of fuel at prices bid in this invitation when
mutually agreed upon by the vendor and the Cooperative
Purchasing Group. Any additional delivery location(s) shall
be in close proximity to those in this invitation.
COMPLIANCE: Bidder agrees to give all notices and comply with
all laws, ordinances, rules, regulations, and lawful orders of
any public authority bearing on the performance of this work.
. REMEDIIS: The rights and remedies of the Cooperative
Purchasing Group provides in this agreement shall not be
exclusive and are in addition to anv other rights and remedies
Provided by law and under this contract including the right of
specific performance and offset. Payment made to bidder by
the individual entities shall not denote acceptance of the
work.

15. WARRANTY: Bidder warrants that all products, equipment, and
services shall conform to the proposed specifications and /or
all warranties. The bidder warrants that any and all
products, services and equipment provided under this contract
are free from any and all claims of infringement of patent,
copyright trademark, trade names or right of privacy and
publicity. Bidder further warrants that any and all products,
services and equipment supplied under this contract are free
from any other claim_ Bidder also warrants that the products,
equipment and services provided fully meet the needs of the
Cooperative Purchasing Group as defined in the specifications.
A11 products, services and equipment not conforming to these
requirements, including substitutions not properly approved
and authorized, may be considered defective. This warranty is
in addition to any rights or warranties expressed Cr implied
by law and consumer protection claims arising from
misrepresentations made by the bidder. This obligation_ shall
survive the termination of the contract. This guarantee shall
not constitute the exclusive remedy of the Cooperative
Purchasing Group, nor shall other remedies be limited to the
warranty or guarantee period.
16. INDEMNITY: Bidder agrees to and shall indemnify and :hid
harmless this Cooperative Purchasing Group, its officers,
agents and employees, from and against any and all claims,
losses, damages, causes of action, suites and _a _ l ity of
every kind, including all expenses of 'litigation, courtcosts,
and attorney's fees, for injury or death to any person or for
damage to any property, arising out of or in connection with
the product or services provided by bidder under this
contract, such indemnity shall apply whether claims,
losses, damages, causes of action, suites Of liability arise
in whole or in part from the negligence of any member of this
Group.
Bidder assumes full _esconsibility for the product and
services provided hereunder, and hereby relinquishes and
discharges the Cooperative Purchasing Group, its officers,
agents and employees, from all claims, demands, and causes of
action of every kind and character including the cost OI
defense thereof, for any injury to, including death of, person
(whether they be third persons, contractor, or employees of
either parties hereto) and any loss of or damage to property
to be caused bv, arising out of, or in connection with bidders
product or services to be provided hereunder whether or net
said claims, demands and causes of action in whole or in part
are covered by insurance regardless of whether such loss,
damage, or injury was caused by any member of the Group. The
Cooperative Purchasing Group, by this agreement does not give
consent to litigation.

Quantities are estimates based on past use experience and forecast
of anticipated future needs. Variance may be as much as 25 percent
decrease or increase in actual use. Bidder agrees that quoted
prices will remain firm if total contract does not
decrease /increase in excess of 25 percent.

This invitation to bid and the general specifications for bid
covers the purchase of unleaded gasoline and diesel fuel for a
twelve (12) month period with a beginning date of 1, 1995 with
an option to renew for one additional one (1) year period.
Reference Section 2 Pricing.
During the period of this contract, prices may be increased and
decreased. However, price changes. will be governed by an index
made up of the composite posted prices in Austin of those companies
published in the weekly publication of Oil Price Information
Service (OPIS)_ The low bidder will be determined by the amount of
discount from the OPIS composite. The contractors delivered price
may not exceed the OPIS price minus the discount throughout the
period of the contract. Prices will be adjusted on a weekly basis.
Price will be for transport loads (6,000 gallons to 8,400 gallons)

WHEREAS,Triple S Petroleum Company, Inc., has submitted the
lowest and best bid, and
WHEREAS, the City Council wishes to accept the bid of Triple
S Petroleum Company, Inc., Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,
TEXAS,
That the bid of Triple S Petroleum Company, Inc., is hereby
accepted as the lowest and best bid and the City Manager is hereby
authorized and directed to issue a purchase order to Triple S
Petroleum Company, Inc., for the purchase of said fuel.

Four bids were submitted for the purchase of delivered fuel. Staff recommends the award to the low
bidder: Triple S.
The attached fuel bid summary provides pricing for certain delivered quantities above or below
the standard Oil Price Information Service (OPIS), a weekly index made up of composite posted
bulk fuel prices in the Austin area.
