WHEREAS, the City of Round Rock ( "City ") has previously
entered into two agreements with Operations Management
International, Inc., ( "OMI ") for operations and maintenance of the
City's wastewater treatment system, and
WHEREAS, City and OMI wish to extend the term of the two
agreements, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,
TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City a First Amendment to Agreements for Operations
and Maintenance Services, a copy of said First Amendment attached
hereto and incorporated herein for all purposes.

FIRST AMENDMENT TO AGREEMENTS FOR OPERATIONS
AND MAINTENANCE SERVICES
This First Amendment to two Agreements for Operations and
Maintenance Services is entered into effective as of September 28,
1995, by and between the City of Round Rock ( "City "), and Operations
Management International, Inc. ( "OMI "), and is as follows:
Recitals
Whereas, City and OMI entered into that one certain Agreement for
Operations and Maintenance Services ( "March Agreement "), which was
effective as of the 23rd day of March, 1995, and
Whereas, City and OMI entered into that one certain Agreement for
Operations and Maintenance Services ( "August Agreement "), which was
effective as of the 2nd day of August, 1995, and
Whereas, City and OMI wish to amend and revise the aforesaid
Agreements as provided below, Now Therefore;
For and In Consideration of Ten and No /100 Dollars ($10.00) and
other good and valuable consideration, the sufficiency of which is
hereby acknowledged by the undersigned, the City and OMI do hereby
amend and modify the aforesaid Agreements as follows:
I.
Section 4.1 of the March Agreement is hereby amended to read as
follows:
4.1 Unless otherwise provided, the Term of this Agreement
shall be for the period of April 1, 1995, through
December 1, 1995. Extensions to this term may be
provided by written agreement signed by both parties
prior to expiration of the current term.

Section 4.1 of the August Agreement is hereby amended to read as
follows:
III.
To the extent necessary to effect the terms and provisions of
this First Amendment, the March Agreement and August Agreement are
hereby amended and modified. In all other respects, the aforesaid
Agreements are hereby ratified and confirmed.
In Witness Whereof, the parties hereto have caused this First
Amendment to be executed by their proper, duly authorized officers,
all as the day and year first above set forth.

shall be for the period of July 17, 1995, through
December 1, 1995. Extensions to this term may be

THIS AGREEMENT made and entered into this,:1g th day of r1ba],995, by and between the
City of Round Rock, Texas (hereinafter referred to as CLIENT), whose address is City of Round
Rock Public Works, 2008 Enterprise, Round Rock, Texas 78664, and Operations Management
International, Inc. (hereinafter referred to as OMI) with offices at 5299 DTC Boulevard,
Englewood, Colorado 80111 -3333.
1. Article 3.1 is deleted in its entirety and replaced with the following Article 3.1.
3.1 Owner shall pay to OMI as compensation for services performed under this
Agreement a sum of Five Thousand Three Hundred Ninety -Six Dollars ($5396.00)
per month plus vehicle if needed. Work will be performed at the direction of the
Owner in support of tasks outlined in Section 2, SCOPE OF SERVICES -OMI.
2. Article 3.2 is deleted in its entirety and replaced with the following Article 3.2.
3.2 The breakdown of cost for Operating personnel and Overhead are as follows:
Operations Supervisor
Labor and Fringes $4,388
Overhead $1,008
Subtotal Monthly Rate $5,396
Vehicle $400
Total including Vehicle $5,796
3. Article 4.1 is deleted in its entirety and replaced with the following Article 4.1.

October 1, 1995, through October 31, 1995. Extensions to this term may be
