WHEREAS, Round Rock, Texas Investments, Inc. has proposed a
letter agreement (Exhibit "A ") related to cost participation for
drainage improvements for the Interchange Business Park subdivision
and surrounding properties, and
WHEREAS, the City's share of the cost will come from the
City's regional detention fund, and
WHEREAS, the City Council wishes to confirm its acceptance
of the terms of said letter agreement, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,
TEXAS,
That the City Council hereby accepts and approves the terms of
the aforesaid letter agreement, a copy of which is attached hereto
as Exhibit "A."

Dear Mr. Nuse:
As you are aware, we are designing channel improvements along the east property line of Interchange
Business Park (IBP) subdivision. Since a majority of the drainage that passes through IBP is from an
offsite source , we propose that the costs necessary to design and construct the drainage improvements
should also be shared with offsite participants. The drainage area for the channel along the east
property line is 112.12 acres of which IBP accounts for 24.57 acres and offsite drainage area accounts
for 87.55 acres. The following is a breakout of drainage areas, percentages and project costs.

Another issue is the additional drainage easement necessary to contain the proposed channel sections.
The drainage improvements have been sized to serve the entire drainage basin assuming fully
developed 100 year conditions. This results in additional drainage easements being required. The
current 30' drainage easement for the east channel will need to be widened by 15 feet for a distance of
1600 feet. It is my understanding that the adjacent property to the east (Wayne Dresser Tract)
dedicated by plat note a 15' public utility easement (P.U.E.).
The power line that currently exists within the 15' P.U.E. along the east property line of IBP could be
moved east onto Wayne Dressers tract, and the vacated 15' P.U.E. could be added to the current 30
foot drainage easement without taking more land from Interchange Business Park.
Attached for your review, is the Engineer's Cost Estimate that was used to determine project costs for
the East Channel. Also attached is an updated Engineers Cost Estimate for the West Channel based
upon engineered plans.

Doucet & Associates, Inc. (D &A) is pleased to provide this proposal for Civil Engineering and
Surveying services. It is our understanding that the City of Round Rock (Client) desires channel
improvement plans for two tributaries downstream of Gattis School Road west ofDoublecreek
Drive. D &A proposes to provide the following services:
A. Flood Plain Determination - D &A will provide the Client with maps and data
compromising the flood plan as it currently exists.
B. Channel Improvements - D &A will provide the Client with channel plan and
profiles with necessary details for obtaining City of Round Rock approvals.
A. Design Surveys - Provide cross section information at 50 feet intervals. Its our
understanding at this time that the large pond will be drained and Topographic
work in this area won't be required.
B. Land Descriptions & Sketches for Necessary Drainage Easements - Provide
the necessary drainage easement descriptions & sketches to complete this project.
It is our understanding that only three parcels of land would be affected per our
field visit.
C. Construction Staking - Prepare a control plan for construction staking purposes.
This plan may be used by others for construction purposes.
This proposal does not include the following items and those items not specifically described
above:
1. Environmental Site Assessment
2. Geotechnical Investigations or other environmental studies
3. Landscape Plans
4. Construction Inspection
If required, D &A would be happy to assist the Client in obtaining the above services. We will
invoice on an hourly basis for coordination of these services.
COMPENSATION
Services described above will be provided on the following basis:

Provide one(1) set of slope stakes on each side of drainage channel with cutsheets

The above fees do not include items such as permit application and /or permit fees, plotting
charges, blueline expenses, etc. These items will be invoiced at cost. If additional services are
requested by Client, D &A will invoice hourly for these services using current hourly rate.
If this Proposal, the attached Rate Schedule, and the Agreement of Professional Services meet
your requirements, you may indicate your approval by executing this document in the space
provided below and returning it to our office. We will recognize receipt of the executed copy as
our notice to proceed. We look forward to working with you on this project.

RE: Drainage improvements, Interchange Business Park.
Dear Mr. Nuse:
Further to our discussions this morning, we are pleased to confirm the following
agreement related to drainage improvements for Interchange Business Park and
surrounding properties. We have attached the cost estimates for the above noted drainage
improvements, prepared by Doucet & Associates, Inc.. These are labeled as Exhibit "A ".
Our request for cost sharing for the drainage area along the east boundary is as follows.
1. The drainage improvements located within the boundaries of Interchange
Business Park which serve the eastern portion of Interchange Business Park together with
the western portions of the Wayne / Dresser Subdivision plat and other properties within
the upstream drainage basin will be constructed by Round Rock, Texas Investments, Inc.,
the owners of Interchange Business Park (Owners).
2. The Owners will be reimbursed, from City of Round Rock Regional Detention
Funds, for the percentage of the cost of the East Channel Improvements which serve
upstream users upon completion of these improvements. These improvements and the
cost distribution are identified in the Letter from Doucet & Associates, Inc. which is
attached hereto as Exhibit "A ".
3. The fifteen foot (15') Public Utility Easement located adjacent to the east
boundary of Interchange Business Park will be converted to a Drainage and Storm Sewer
Easement. The power lines located within this easement will be relocated to the fifteen
foot (15') Public Utility Easement located along the west boundary of the Wayne / Dresser
Subdivision Plat. The Owners will be responsible for paying for the line relocation.

4. The distribution of cost sharing for the East Channel Improvements will be that
described on the attached letter from Doucet & Associates, Inc., which is identified as
Exhibit A.
5. The West Channel Improvements will remain the responsibility of the Owners.
Please arrange for this agreement to be confirmed by the City Council at the earliest
possible date. If you require any additional information or documentation please call.
