R-96-06-13-10B - 6/13/1996WHEREAS, the City of Round Rock desires to retain engineering services for the Interchange Business Park channel improvements, and WHEREAS, Doucet & Associates, Inc., has submitted an agreement to provide said services, and WHEREAS, the City Council desires to enter into said agreement with Doucet & Associates, Inc., Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City an agreement with Doucet & Associates, Inc., for the engineering services for the Interchange Business Park channel improvements, a copy of said agreement being attached hereto and incorporated herein for all purposes. R- 96- 06- 13 -10B CHARLES CULP , Mayor City of Round Rock, Texas April 8, 1996 Mr. Jim Nuse, P.E., Director of Public Works City of Round Rock Public Works and Building Inspection 2008 Enterprise Drive Round Rock, Tx 78664 Re: Proposal for Engineering Services for Channel Improvement downstream of Gattis School Road, West of Doublecreek Dr. in Round Rock, Texas Dear Mr. Nuse: Doucet & Associates, Inc. (D &A) is pleased to provide this proposal for Civil Engineering and Surveying services. It is our understanding that the City of Round Rock (Client) desires channel improvement plans for two tributaries downstream of Gattis School Road west of Doublecreek Drive. D &A proposes to provide the following services: I. DESIGN SERVICES A. Flood Plain Determination - D &A will provide the Client with maps and data compromising the flood plan as it currently exists. B. Channel Improvements - D &A will provide the Client with channel plan and profiles with necessary details for obtaining City of Round Rock approvals. II. SURVEYING SERVICES A. Design Surveys - Provide cross section information at 50 feet intervals. Its our understanding at this time that the large pond will be drained and Topographic work in this area won't be required. B. Land Descriptions & Sketches for Necessary Drainage Easements - Provide the necessary drainage easement descriptions & sketches to complete this project. It is our understanding that only three parcels of land would be affected per our field visit. C. Construction Staking - Prepare a control plan for construction staking purposes. This plan may be used by others for construction purposes. Provide one(1) set of slope stakes on each side of drainage channel with cutsheets for construction. This proposal does not include the following items and those items not specifically described above: 1. Environmental Site Assessment 2. Geotechnical Investigations or other environmental studies 3. Landscape Plans 4. Construction Inspection If required, D &A would be happy to assist the Client in obtaining the above services. We will invoice on an hourly basis for coordination of these services. COMPENSATION Services described above will be provided on the following basis: Tasks Basis of Payment Estimated Fees I. Design Services A. Flood Plain Determination Lump Sum $2,000 . B. Channel Improvements Lump Sum $8,000 II. Surveying Services A. Design Survey Lump Sum $1,800 B. Land Descriptions & Sketches Lump Sum $2,000 C. Construction Staking Lump Sum $2,000 The above fees do not include items such as permit application and/or permit fees, plotting charges, blueline expenses, etc. These items will be invoiced at cost. If additional services are requested by Client, D &A will invoice hourly for these services using current hourly rate. If this Proposal, the attached Rate Schedule, and the Agreement of Professional Services meet your requirements, you may indicate your approval by executing this document in the space provided below and returning it to our office. We will recognize receipt of the executed copy as our notice to proceed. We look forward to working with you on this project. Project Manager ACCEPTED: AGREEMENT FOR PROFESSIONAL SERVICES General Terms Project: Channel Improvements, Round Rock, Texas Re: Proposal/Scope Dated: April 8, 1996 Client: City of Round Rock Client's Contact: Mr. Jim Nuse, P.E. 1. It is agreed that this Document and the letter of proposal shall serve as a contract for the proposed professional services between the Client named above and Doucet & Associates, Inc. (Consultant). 2. This contract is not assignable, except with the prior written consent of the Client and the Consultant, and no assignment shall relieve the undersigned of any obligations under this contract. 3. The undersigned agrees that the Consultant's invoices are due upon receipt, and failure to pay invoices on time may result in Engineer stopping all work on Client's project until all outstanding invoices are paid in full. Unpaid invoices shall be subject to a finance charge of 1.5% per month (18% APR) after thirty (30) days. 4. Payment of the Consultant is expressly not conditioned upon the undersigned receiving any payment from third parties who are not a party to this contract, nor is it conditioned upon the receipt or timing of permits and/or approvals. 5. The Client agrees to limit the Engineer's liability to the Client and to all construction contractors and subcontractors, due to the Engineer's negligent acts, errors or omissions, such that the total aggregate liability of the Engineer to all those named shall not exceed $50,000 or the aggregate total of all Engineer's fees, whichever is greater. 6. Client agrees to indemnify Engineer for all claims brought by third parties, and damages or liabilities relating thereto (including reasonable attorney's fees), arising out of Engineer's performance of services pursuant to this Agreement, except those claims arising out of the negligent acts or omissions of Engineer. 7. Standard of Care. Engineer will perform its services using that degree of care and skill ordinarily exercised under similar conditions by reputable members of the engineering profession practicing in Texas. NO OTHER WARRANTY, EXPRESS OR IMPLIED, IS MADE INTENDED BY ENGINEERS PROPOSAL OR BY ENGINEERS ORAL OR WRITTEN REPORTS. 8. Changes in the scope of work (after the date of the proposal letter which accompanies this document) which affects the contract price shall be authorized by the Client prior to the Consultant proceeding. Likewise, additional services shall be agreed to by both parties and authorized by the Client before proceeding. 9. This agreement may be canceled with 15 days notice, in writing, by either party. The Consultant shall be paid in full for services provided up to the date of the cancellation. The offsite portion to be picked up by the regional detention fund is $42,415.00. Staff recommends this agreement.
