COMPENSATION to be on a time and material (expense) basis with a Not - Exceed Fee of $7 400.00 for the period of Notice to Proceed through January 15, 1997. AUTHORIZATION TO PROCEED Signing this form shall be construed as authorization by CLIENT for Prime Strategies, Inc. to proceed with the work, unless otherwise provided for in the authorization. 2. OUTSIDE SERVICES When technical or professional services are fumished by an outside source, when approved by CLIENT, an additional amount shall be added to the cost of these services for Prime Strategies, Inc.'s administrative costs, as negotiated. 3. PROFESSIONAL STANDARDS - Prime Strategies, Inc. shall be responsible, to the level of competency presently maintained by other practicing professional engineers in the same type of work in CLIENTS community, for the professional and technical soundness, accuracy, and adequacy of all design, drawings, specifications, and other work and materials furnished under this Authorization. 4. TERMINATION Either CLIENT or Prime Strategies, Inc. may terminate this authorization by giving 30 days written notice to the other party. In such event CLIENT shall forthwith pay Prime Strategies, Inc. in full for all work previously authorized and performed prior to effective date of termination. If no notice of termination is given, relationships and obligations created by this Authorization shall be terminated upon completion of all applicable requirements of this Authorization. 5. LEGAL EXPENSES In the event legal action is brought by CLIENT or Prime Strategies, Inc. against the other to enforce any of the obligations hereunder or arising out of any dispute concerning the terms and conditions hereby created, the losing party shall pay the prevailing party such reasonable amounts for fees, costs and expenses as may be set by the court. 6. PAYMENT TO Prime Strategies, Inc. Monthly invoices will be submitted by Prime Strategies, Inc. for all work performed under the terms of this agreement, together with approprate supporting documentation as may be required by the Owner. Prime Strategies, Inc. will be paid upon approval of the invoice and payment by the CLIENT to Prime Strategies, Inc. 7. ADDITIONAL SERVICES Services in addition to those specified in Scope will be provided by Prime Strategies, Inc. if authorized in writing by CLIENT. Additional services will be paid for by CLIENT, as negotiated. 8. SALES TAX In accordance with the State Sales Tax Codes, certain surveying services are taxable Applicable sales taxis rLot included in the above proposed fee Sales tax at an applicable rate will be indicated on invoice statements. PROVISIONS 9. ACCESS TO RECORDS Prime Strategies, Inc. agrees that the CLIENT and OWNER shall, until the expiration of three (3) years after final payment by OWNER to CLIENT, have access to and the right to examine and photocopy and directly pertinent documents, papers and records of Prime Strategies, Inc. involving transactions relating to this contract. Prime Strategies, Inc. agrees that the CLIENT and OWNER shall have access during normal working hours to all necessary facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. In case any one or more of the provisions contained in this Agreement shall be held illegal, the enforceability of the remaining provisions contained herein shall not be impaired thereby. C:1Projects1CRR1CRRAPS 9.24.96 ATTACHMENT A - SCOPE OF SERVICES Task A - Land Use Update a. Work with Cedar Park and the MUDs to update land use changes between 1990 and 1995. b. Develop forecast of land use (population and employment), based on best available data. c. Work with ATS to provide better zone structure in GIS format to report and analyze data. d. Prepare a spreadsheet comparing growth rates and changes developed in a. - c. above to information currently being used by ATS. e. Prepare a range of traffic forecasts (percentage change or variance), based on information in a. - d. above. f. Provide information and new traffic data to TTA and TxDOT. g. Prepare, as necessary, presentation materials for TTA October Board Meeting. Task B - Traffic Counts a. Conduct current (fall 1996) 24 -hour traffic counts to compare to TxDOT 1990 and 1994 area coverage counts. Counts would be made by City and County staff (supported by PSI equipment, as necessary) at the following locations: • RM 620 ▪ east of US 183 o west of US 183 ▪ west of IH -35 o east of Deep Wood Drive • west of Deep Wood Drive • FM 1325 o north of Wells Branch Parkway ▪ south of Wells Branch Parkway o east of Parker Drive • CR 170 ▪ east of Green Lawn Blvd. o between IH -35 and Dell Drive 1 • Wyoming Springs • north of RM 620 • CR 172 O north of FM 1325 b. Provide 1996 counts to TTA staff and prepare technical memorandum documenting percentage change (growth rate) for 1990 -1996 and 1994 -1996 timeframes. Provide technical memorandum to ATS, TxDOT, and use as appropriate in other forums (County Bond advertisements, legislative efforts, etc.). Task C - Alignment and Cost Estimates a. Meet with TxDOT District and request that they provide updated cost estimates to TTA staff. b. If TxDOT not able to provide updated cost estimates, work with Turner, Collie and Braden (or other firm) directly to develop updated cost estimates using existing schematics for SH 45. c. Using current aerial photography, develop alignment option(s) for Loop 1 extension/Wyoming Springs alignment between FM 1325 and RM 1431. d. Prepare cost estimates (construction and right -of -way) for Wyoming Springs options. e. Prepare updated right -of -way cost estimates for SH 45 alignment (FM 2769 to FM 685) and provide to TTA, TxDOT and Williamson County. Budget Time and material basis not -to- exceed $7,400.00 (excluding traffic counts, etc., as specified above) for the period of Notice to Proceed through January 15, 1997. Additional Services Estimates for additional services, such as PSI conduct of traffic counts or specific engineering - related tasks (alignment clean -up and cost estimates) will be provided upon request. Prime Strategies, Inc. will perform traffic counts, land use analysis, alignment studies and cost estimates in this contract. Economic Impact: $7,400.00, time and material basis, period through 1/15/97.
