into an agreement ( "Agreement ") with Prime Strategies, Inc. for
professional consultation services on transporation issues related
to tollroads, and
WHEREAS, Prime Strategies, Inc. has submitted an amended
agreement to change the effective date of the Agreement from
February 1, 1997 to January 1, 1997, and
WHEREAS, the City Council desires to enter into said amended
agreement with Prime Strategies, Inc., Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,
TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City an amended agreement with Prime Strategies, Inc.
to change the effective date of the Agreement from February 1, 1997
to January 1, 1997, a copy of said amended agreement being attached
hereto and incorporated herein for all purposes.

1. AUTHORIZATION TO PROCEED
Signing this form shall be construed as authorization by
CLIENT for Prime Strategies, Inc. to proceed with the
work, unless otherwise provided for in the authorization.
2. OUTSIDE SERVICES
When technical or professional services are furnished by
an outside source, when approved by CLIENT, an
additional amount shall be added to the cost of these
services for Prime Strategies, Inc.'s administrative costs,
as negotiated.
3. PROFESSIONAL STANDARDS
Prime Strategies, Inc. shall be responsible, to the level of
competency presently maintained by other practicing
professional engineers in the same type of work in
CLIENT'S community, for the professional and technical
soundness, accuracy, and adequacy of all design,
drawings, specifications, and other work and materials
fumished under this Authorization.
4. TERMINATION
Either CLIENT or Prime Strategies, Inc. may terminate this
authorization by giving 30 days written notice to the other
party. In such event CLIENT shall forthwith pay Prime
Strategies, Inc. in full for all work previously authorized and
performed prior to effective date of termination. If no
notice of termination is given, relationships and obligations
created by this Authorization shall be terminated upon
completion of all applicable requirements of this
Authorization.
5. LEGAL EXPENSES
In the event legal action is brought by CLIENT or Prime
Strategies, Inc. against the other to enforce any of the
obligations hereunder or arising out of any dispute
concerning the terms and conditions hereby created, the
losing party shall pay the prevailing party such reasonable
amounts for fees, costs and expenses as may be set by
the court. ,
6. PAYMENT TO Prime Strategies, Inc.
Monthly invoices will be submitted by Prime Strategies,
Inc. for all work performed under the terms of this
agreement, together with appropriate supporting
documentation as may be required by the Owner. Prime
Strategies, Inc. will be paid upon approval of the invoice
and payment by the CLIENT to Prime Strategies, Inc.
7. ADDITIONAL SERVICES
Services in addition to those specified in Scope will be
provided by Prime Strategies, Inc. if authorized in writing
by CLIENT. Additional services will be paid for by
CLIENT, as negotiated.
8. SALES TAX
In accordance with the State Sales Tax Codes, certain
surveying services are taxable. Applicable sales tax is not
included in the above proposed fee Sales tax at an
applicable rate will be indicated on invoice statements.
PROVISIONS
9. ACCESS TO RECORDS
Prime Strategies, Inc. agrees that the CLIENT and OWNER
shall, until the expiration of three (3) years after final
payment by OWNER to CLIENT, have access to and the
right to examine and photocopy and directly pertinent
documents, papers and records of Prime Strategies, Inc.
involving transactions relating to this contract. Prime
Strategies, Inc. agrees that the CLIENT and OWNER shall
have access during normal working hours to all necessary
facilities and shall be provided adequate and appropriate
work space in order to conduct audits in compliance with
the provisions of this section.
In case any one or more of the provisions contained in this
Agreement shall be held illegal, the enforceability of the
remaining provisions contained herein shall not be impaired
thereby.

TASK I - Legislative Initiative
• Assist City lobbyist and staff in development of draft legislation;
• Brief area elected officials, ATS, and special interest groups on proposed legislation and
action program;
• Assist in developing public relations and technical materials (as handouts or leave behinds)
for legislative briefings, committee hearings, and securing local public support;
• Attend regular team meetings with City staff, City lobbyist, Chamber officials, and County
officials to develop /implement strategy to secure passage of legislation.
TASK II - Roadway Development
• Provide ongoing assistance to secure feasibility funding from Texas Turnpike Authority for
SH 130, SH 45/Loop 1 Extension, and other related Williamson County toll roads;
• Monitor and assist TTA staff in completing SH 45 internal feasibility study;
• Work with ATS on model update and address Williamson County employment and
population forecasts;
• Provide assistance to City staff to prepare for Texas Transportation Commission and Texas
Turnpike Authority presentations;
• Assist City staff in working with Williamson County to develop proposal for TxDOT
consideration to leverage FY2000 TxDOT funding for portions of SH 45, RM 620, FM 1325,
and IH -35 interchange.
TASK III - Additional Services
Specific activities not included under Task I and Task 11 would be performed on an hourly basis,
subject to approval by the City of Round Rock. Activities under this task could include Texas
Transportation Commission public hearing materials (brochures, videos, speeches, etc.) and
updated traffic /transportation modeling and data gathering.
BUDGET
ATTACHMENT A - SCOPE OF SERVICES
Estimated maximum time and material basis not -to- exceed $16,000.00 for the period of January 1,
1997 though June 30, 1997.
Additional Services
Budget and Scope of Services for additional services, as specified above, would be provided upon
request, and performed on an hourly time and materials basis, subject to approval by the City of
Round Rock.

Reimbursable Expenses
Direct expenses shall be those costs incurred on behalf of the Client for project efforts, including but
not limited to, necessary transportation costs including mileage at Prime Strategies, Inc.'s current rate
($0.28 /mile) when automobiles are used, meals and lodging, computer and printing service bureau
charges, telephone, facsimile, delivery service, reproduction, and binding charges. Reimbursements
for these expenses shall be on the basis of actual charges when furnished by commercial sources and
on the basis of usual commercial charges when furnished by Prime Strategies, Inc.
