BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City, an agreement with Prime Strategies, Inc. for
professional consulting services to assist the City in interagency
coordination for State Highway 45, a copy of said agreement being
attached hereto and incorporated herein for all purposes.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended, and the Act.

Dear Mr. Word:
I am providing this letter proposal for strategic transportation planning and
financing/implementation policy for the City of Round Rock. I have identified one
specific work task based on our previous meetings, as well as several broader
categories for further discussion and possible action. I would propose that Prime
Strategies, Inc. work on a time and material basis (Attached Fee Schedule) with a not-
to- exceed ceiling of $50,000.00. If additional tasks are defined as we progress, we
can revise the contract, as agreeable by both parties.
TASK I - SH 45 Implementation Strategy
• Develop a strategy to address the timing and local participation in the
right of way acquisition and accelerating the construction of some
portions of SH 45 between RM 620 and CR 122;
• Assist the City in hosting a series of meetings with Williamson
County, Travis County, and City of Austin officials regarding Loop
1 /SH 45 right of way acquisition and financial participation;
• Develop an exit strategy for previous Minute Order requirements for
right of way acquisition including a review and impact of a "do
nothing scenario" to a modified (new) Minute Order with TxDOT
(TTA);
• Assist in. TxDOT/TTA meetings to review and implement
recommended right of way /construction strategies;
• Assist in property owner and Williamson County meetings to discuss
right of way donations and staged construction of segments of SH 45.
TASK If - Air Quality / Non - Attainment Issues
Assist the City in monitoring and reviewing the activities of TxDOT,
CAMPO, and TNRCC in addressing the non- attainment designation
and implementation of an air quality conformity. analysis;

TASK III - Regional Mobility Issues
• Assist as requested in addressing other major transportation policies
and programs impacting the City of Round Rock including but not
limited to commuter rail, 11 MIS, SH 130 DEIS and record of
decision, other transit options, and statewide legislative initiatives;
• Assist in developing a comprehensive 2 -5 year strategic transportation
program which outlines projects; policies, legislative initiatives and
potential financial/implementation partners for mobility projects in the
City of Round Rock.,
If this letter proposal is acceptable, please execute and return one copy to our office. I
would propose this contract be valid through September 30, 2000, and coincide with
your fiscal year. Obviously, the City can.cancel it at any time or amend it for specific
work programs. If you have any questions, please contact me.

Reimbursable Expenses
Direct expenses shall be those costs incurred on behalf of the Client for project efforts,
including but not limited to, necessary transportation costs including mileage at Prime
Strategies, Inc.' s current rate ($0.31 /mile) when automobiles are used, meals and lodging,
computer and printing service bureau charges, telephone, facsimile, delivery service,
reproduction, and binding charges. Reimbursements for these expenses shall be on the
basis of actual charges when furnished by commercial sources and on the basis of usual
commercial charges when furnished by Prime Strategies, Inc.

CONTRACT PROVISIONS
1. AUTHORIZATION TO PROCEED
Signing this agreement shall be construed as authorization by Client for Prime
Strategies, Inc. to proceed with the work, unless otherwise provided for in the
authorization.
2. OUTSIDE SERVICES
When technical or professional services are furnished by an outside source, when
approved by CLIENT, an additional amount shall be added to the cost of these
services for Prime Strategies, Inc.'s administrative costs, as negotiated.
3. PROFESSIONAL STANDARDS
Prime Strategies, Inc. shall be responsible, to the level of competency presently
maintained by other practicing professional engineers in the same type of work
in Client's community, for the professional and technical soundness, accuracy,
and adequacy of the work and materials furnished under this Authorization.
4. TERMINATION
Either Client or Prime Strategies, Inc. may terminate this authorization by giving
30 days written notice to the other party. In such event Client shall forthwith pay
Prime Strategies, Inc. in full for all work previously authorized and performed
prior to effective date of termination. If no notice of termination is given,
relationships and obligations created by this Authorization shall be terminated
upon completion of all applicable requirements of this Authorization.
5. ARBITRATION
All claims, disputes, and other matters in question arising out of, or relating to,
this Authorization or the breach thereof may be decided by arbitration in
accordance with the rules of the American Arbitration Association then
obtaining. Either Client or Prime Strategies, Inc. may initiate a request for such
arbitration, but consent of the other party to such procedure shall be mandatory.
No arbitration arising out of, or relating to this Authorization may include, by
consolidation, joinder, or in any other manner, any additional party not a party to
this Authorization.
LEGAL EXPENSES
In the event legal action is brought by Client or Prime Strategies, Inc. against the
other to enforce any of the obligations hereunder or arising out of any dispute
concerning the terms and conditions hereby created, the losing party shall pay the
prevailing party such reasonable amounts for fees, costs and expenses as may be
set by the court.

7. PAYMENT TO Prime Strategies, Inc.
Monthly invoices will be submitted by Prime Strategies, Inc. for all work
performed under the terms of this agreement, together with appropriate
supporting • documentation as may be required by the Client. Prime Strategies,
Inc. will be paid upon approval of the invoice.
8. LIMITATION OF LIABILITY
Prime Strategies, Inc.'s liability to the Client for any cause or combination of
causes is in the aggregate, limited to an amount no greater than the fee earned
under this agreement.
9 ADDITIONAL SERVICES
Services in addition to those specified in Scope will be provided by Prime
Strategies, Inc. if authorized in writing by Client. Additional services will be
paid for by Client, as negotiated.
10. SALES TAX
In accordance with the State Sales Tax Codes, certain surveying services are
taxable. Applicable sales tax is included in the above proposed fee. Sales tax
at an applicable rate will be indicated on invoice statements.
11. ACCESS TO RECORDS
Prime Strategies, Inc. agtees that the Client and OWNER shall, until the
expiration of three (3) years after final payment by OWNER to Client, have
access to and the right to examine and photocopy directly pertinent documents,
papers and records of Prime Strategies, Inc. involving transactions relating to this
contract. Prime Strategies, Inc. agrees that the Client and OWNER shall have
access during normal working hours to all necessary facilities and shall be
provided adequate and appropriate work space in order to conduct audits in
compliance with the provisions of this section.
In case any one or more of the provisions contained in this Agreement shall be held
illegal, the enforceability of the remaining provisions contained herein shall not be
impaired thereby.
