Contract - RMD Holdings, L.P. - 6/11/2015 COST PARTICIPATION AGREEMENT THE STATE OF TEXAS § § KNOW ALL BY THESE PRESENTS: COUNTY OF WILLIAMSON § THIS COST PARTICIPATION AGREEMENT ("Agreement") is entered into between the City of Round Rock, Texas, a Texas home-rule city ("City"); and RMD Holdings, L.P. , its successors and assigns, ("Developer"). In this Agreement, Round Rock, and Developer are sometimes individually referred to as"Party"and collectively referred to as"Parties". RECITALS WHEREAS, Developer has contracted to acquire a 28.26 acre tract of land, as shown on Exhibit"A", (the"Palmer Tract") attached hereto and incorporated herein; and WHEREAS, the City and Developer desire to co-operate in the construction of a 16" waterline within the right-of-way of the proposed Arterial H at the location shown on Exhibit"B", attached hereto and incorporated herein, (the"Project")which will be mutually beneficial to both parties; and WHEREAS, Developer has agreed to reimburse the City for legal fees incurred by the City related to the Project; and WHEREAS,both parties wish to memorialize their respective duties and obligations with respect to the Project; NOW, THEREFORE, in consideration of the foregoing premises and the mutual promises and agreements of the Parties contained in this Agreement,the Parties agree as follows: I. TERMS A. City Participation. City agrees to cause the design and construction of a 16" waterline within the proposed Arterial H right-of-way at the location shown in Exhibit B.The waterline must be constructed prior to or concurrently with the construction of the proposed Arterial H roadway and will run from the eastern boundary of the Williamson County Southwest Regional Park to the western boundary of the Palmer Tract and tie into an existing 16"stub-out on the west side of CR 175. If City fails to issue notice of award to construct said waterline within 8 months after the execution of this Agreement by the City,Developer shall have the right to construct a 16"waterline within the Arterial H right-of-way and by this Agreement City grants Developer the right to RR cost participation agreement arterial H 3-13-I5(00331146xA08F8) construct the waterline within said Arterial H right-of-way. City grants to Developer all access rights, easements and authority to perform that work. The City agrees to reimburse Developer for all reasonable costs for construction of the waterline, including all costs for the design and oversizing cost over and above the design and construction costs for a 12"waterline, immediately upon substantial completion of the waterline, conditioned upon Developer fully complying with the Texas Competitive Bidding Act and constructing said line pursuant to City standards. Developer acknowledges and agrees that the reimbursement obligation of the City for the design and constructions costs to Developer is limited to the difference in design and construction costs between a 12"and 16"waterline. B. Developer Participation. 1. Within five(5)days after City approval of this Agreement,Developer shall deposit Five Thousand and No/100 Dollars with the City as Developer's share of past and future legal fees incurred by the City related to the Project. 2. Prior to the City's approval of a contract for the Project, on the written request of the City, Developer agrees to deposit with the City a sum equal to the design and construction costs for an 12" waterline, currently estimated to be $350,000. The City is responsible for all oversize design and construction costs for the 16"waterline. If at any time Developer's share of the Project costs exceed$350,000,Developer will remit to the City its pro-rata share of the excess costs within 10 days receipt of written notice. City shall remit to Developer its pro-rata share of any remaining sums after Project completion. 3. Developer shall make a one-time $15,000 contribution to the City to compensate City for taking over and maintaining the 8"wastewater line from the County within the Williamson County Southwest Regional Park, if the City in fact takes over ownership of said line, said line being shown on Exhibit"C', attached hereto and incorporated herein. H. GENERAL PROVISIONS A. Severability.The provisions of this Agreement are severable and, if any provision of this Agreement is held to be invalid for any reason by a court or agency of competent jurisdiction,the remainder of this Agreement shall not be affected and this Agreement shall be construed as if the invalid portion had never been contained herein. B. Cooperation. The Parties agree to cooperate at all times in good faith to effectuate the purposes and intent of this Agreement. C. Entire Agreement. Except as otherwise expressly provided herein, this Agreement contains the entire agreement of the Parties regarding the sharing of costs for the Reuse Water project and supersedes all prior or contemporaneous understandings or representations, whether oral or written,regarding the subject matter. 2 D. Amendments.Any amendment of this Agreement must be in writing and shall be effective if signed by the authorized representatives of the Parties. E. Applicable Law; Venue. This Agreement shall be construed in accordance with Texas law. Venue for any action arising hereunder shall be in Williamson County, Texas. F. Force Majeure. Parties shall not be deemed in violation of this Agreement if prevented from performing any of their obligations hereunder by reasons for which they are not responsible or circumstances beyond their control. However, notice of such impediment or delay in performance must be timely given, and all reasonable efforts undertaken to mitigate its effects. G. Exhibit.The following exhibits are attached to this Agreement and incorporated herein by reference: Exhibit"A"-Palmer Tract Exhibit`B" - Water line location Exhibit"C"—Wastewater line location H. Counterparts. Effect of Partial Execution. This Agreement may be executed simultaneously in multiple counterparts, each of which shall be deemed an original, but all of which shall constitute the same instrument. I. Authority.Each Party represents and warrants that it has the full right,power and authority to execute this Agreement.
