In October of 2011 , the City entered into an agrae ment with Midstate Environmental Services, L.P
for the collection, transportation, recycling and/or disposal of used motor oil, antifreeze, used fuel
filters, used oil £Iters and other spent fluids. Midstate agreed to pay the City %1 .25 per gallon for
used motor oil. The initial term of the agreement was for three consecutive twelve-month periods,
and will expiry on October 10, 2014.
This Term Renewal Agreement No. 1 will extend the term of the Agreement for the first allowable
twelve-month renewal period, which shall commence upon the expiration of the initial term.
The extension of this Agreement term will allow continued safe disposal of automotive products and
will generate $1.25 per gallon for used oil recycling. The City has collected $21,448 and $23,859 in
revenue over the past two years from the used oil recycling. Recycling of antifreeze and oil/fuel
filters will be free of charge.
The City manages five u cl oil collection sites. The services at the City's shop is also included with
this agreement.

KNOW ALL BY THESE PRESENTS:
This Term Renewal Agreement No. 1 to "City of Round Rock Agreement for Used Fluid
Recovery Service with Midstate Environmental Services, L.P.," hereinafter called the "Renewal
Agreement," is made by and between the City of Round Rock, Texas, hereinafter called "City,"
and Midstate Environmental Services, L.P., hereinafter called "Vendor."
WHEREAS, City and Vendor executed the referenced "Agreement for Used Fluid
Recovery Service with Midstate Environmental Services, L.P.," hereinafter called the
"Agreement," on October 10, 2011; and
WHEREAS, pursuant to Section 2.01 of the Agreement, the initial term of the
Agreement was for three (3) consecutive twelve (12) month periods from the effective date of
the Agreement; and
WHEREAS, the initial term of the Agreement expires on October 10, 2014; and
WHEREAS, the parties desire to extend the term of the Agreement for the first of two
(2) allowable consecutive twelve (12) month renewal terms; and
NOW THEREFORE, premises considered, and in consideration of the mutual promises
and obligations in the Agreement and this Renewal Agreement, the City and Vendor agree as
follows:
I.
Pursuant to Section 2.01 of the Agreement, the term of the Agreement is renewed for the
first allowable twelve (12) month renewal period. The twelve (12) month renewal term shall
commence upon expiration of the initial term of the Agreement.
II.
This Renewal Agreement embodies the first of two (2) allowable twelve (12) month
renewal periods and shall extend the original Agreement as to time only with no other changes in
terms or conditions of the original Agreement.

IN WITNESS WHEREOF, the City and Vendor have executed this Renewal
Agreement to be effective as of the last date of due execution by both parties.
