Paragraph 1 is stating that the landlord has agreed to let us do the alterations and improvements in Exhibit D-1. Paragraph 2 is stating that we agree to remove all alterations and improvements and make any required repairs for items removed. Updated 3-10-05 FIRST AMENDMENT TO LEASE This First Amendment to Lease ("Amendment") is made and entered into by and between CHANDLER CREEK, L.P. ("Landlord"), and the Citv of Round Rock, Texas ("Tenant"), and shall be effective as of October , 2005. RECITALS: PEAS,.T an,tlord and Tenant previously entered into that certain Lease Agreement dated on or about Yl l (25, 2005 for the space identified as 2801 Oakmont Drive, Suite 900, Round Rock, Texas 78 ("Premises") (collectively referred to herein as the "Lease"). Capitalized terms used in this Amendment not otherwise defined herein shall have the same meaning ascribed to such terms in the Lease. WHEREAS, Landlord and Tenant wish to agree on certain improvements to the Premises subject to the terms and conditions stated below; NOW THEREFORE, in consideration of mutual covenants contained herein and other good and valuable consideration, the receipt and legal sufficiency of which are hereby acknowledged, Landlord and Tenant hereby agree the Lease shall include This Amendment as follows: AGREEMENT: 1. Tenant Alterations and Improvements. The additional alterations and improvements described in the attached Exhibit "D-1" shall be treated the same as all other approved alterations and improvements in the Lease and shall be subject to all of the terms and conditions of the Lease applicable to alterations and improvements to the Premises. Without limiting the preceding sentence, the additional alterations and improvements described in the attached Exhibit "13-1" are subject to the terms and conditions contained in Section 8 of the Lease and to the following: TENANT ACKNOWLEDGES AND AGREES THAT LANDLORD HAS MADE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED (EXPRESSLY INCLUDING, WITHOUT LIMITATION, WARRANTIES OF HABITABILITY OR FITNESS FOR A PARTICULAR PURPOSE) AS TO THE CONDITION OF THE PREMISES OR THE BUILDING OR WITH RESPECT TO THE SUITABILITY OF EITHER FOR THE PURPOSE HEREIN INTENDED. Tenant Move Out Obigations. On the last day of the Term or upon the earlier termination of this Lease, Tenant shall peaceably and quietly deliver the Premises to Landlord, broom clean, in good order, repair and condition, excepting only normal wear and tear resulting from normal use. Without limiting the preceding sentence, on or before the earlier of the expiration of the Term or the termination of the Lease, Tenant shall do the following at Tenant's sole cost and expense ("Move Out Obligations"): A. remove all data and telephone cabling installed by Tenant in the Premises and repair all damage caused by such removal; B. remove all Tenant Improvements and repair all damage caused by such removal; C. restore and repair all portions of the Premises, Building and the Property to the condition that existed before the Tenant Improvements, normal wear and tear excepted. The Move Out Obligations shall survive the expiration or termination of this Lease, and if Tenant has not completed the Move Out Obligations prior to vacating the Premises, Landlord shall be entitled to determine the costs of completing the Move Out Obligations and provide written notice to Tenant of such costs ("Remaining Move Out Costs"); Tenant shall pay Landlord the Remaining Move Out Costs within thirty (30) days of such written notice. 3. Except as modified hereby, all terms and provisions of the Lease are ratified and confirmed by Landlord and Tenant.
