CM-06-05-103INTERLOCAL AGREEMENT BETWEEN COUNTY OF TARRANT, TEXAS AND CITY OF ROUND ROCK, TEXAS This Interlocal Agreement is made between the CITY OF ROUND ROCK, TEXAS, a home - rule municipality and public entity, and the COUNTY OF TARRANT, TEXAS, a Texas county and public entity, and is effective from and after passage of the Resolution authorizing the Mayor to execute the Agreement. This Agreement shall be automatically renewed unless either party hereto shall give sixty (60) days' prior written notice of non -renewal to the other party. This Agreement may be terminated by either party, with or without cause, upon sixty (60) days' prior written notice. This Agreement may also be terminated for cause at any time by either party upon giving the other party written notice stating the reason for and effective date of such termination, and after giving the affected party a thirty (30) day period to cure any breach. Grant of Authority and Recitals: Pursuant to the authority granted by the "Texas Interlocal Cooperation Act," Chapter 791, Texas Government Code (which statutes provide for cooperation between local governmental bodies), the parties hereto, in consideration of the premises and mutual promises contained herein, agree as follows: 1. This Interlocal Agreement is made under authority of Section 791.001-791.029 of the Texas Government Code; and 2. In performing governmental functions or in paying for the performance of governmental functions under this Interlocal Agreement, the parties shall make such performance or such payments from current revenues legally available to that party; and 3. The governing bodies of each party find that the subject matter of this Interlocal Agreement is necessary for the benefit of the public, and that each party has the legal authority to perform and to provide the governmental function or service which is the subject matter of this Interlocal Agreement; and 4. The governing bodies of each party find that the performance of this Interlocal Agreement is in the common interest of both parties, and that the division of cost fairly compensates the performing party for the services under this Interlocal Agreement I. The City of Round Rock, Texas hereby makes, constitutes and appoints the County of Tarrant, Texas as its true and lawful purchasing agent for the purchase of various commodities using Annual Contracts (Bids). The County of Tarrant, Texas shall maintain a listing of Annual Contracts which are available for the use of local entities including the City of Round Rock, Texas. In order to utilize one or more of the referenced Annual Contracts, the City of Round Rock, Texas shall request written authorization to the County of Tarrant, Texas. Upon receipt of such request, the County of Tarrant, Texas shall send a form letter to the appropriate vendor or vendors for approval and signature. Upon receipt of authorizing letter from the vendor or vendors, the County of Tarrant, Texas shall forward a copy of said authorizing letter, along with an appropriate Annual Contract, to the City of Round Rock, Texas as the requesting entity. CMr -0- -Iva 00090754/jkg The City of Round Rock, Texas agrees that the County of Tarrant, Texas shall serve as the purchasing agent for selected items, and agrees that the bidding shall be conducted by the County of Tarrant, Texas according to its usual bidding procedures and in accordance with applicable state statutes. II. The City of Round Rock, Texas agrees that all specifications for selected items shall be determined by the County of Tarrant, Texas. The City of Round Rock, Texas agrees to pay the supplier for all goods, equipment and products pursuant to this Interlocal Agreement, and within applicable law and its own rights. The successful bidder or bidders shall bill the City of Round Rock, Texas directly for all items purchased, and the City of Round Rock, Texas shall be responsible for vendor's compliance with all conditions of delivery and quality of the purchased items. IV. The following are designated by the City of Round Rock, Texas as its official representatives to act for the City of Round Rock, Texas in all matters relating to this Interlocal Agreement: James R. Nuse, City Manager; and/or Howard Baker, Purchasing Manager; and/or Randy Barker, Purchasing Supervisor. V. This Interlocal Agreement shall take effect upon proper execution by signatories for both parties, and shall remain in effect until terminated by either party in accordance herewith. The purpose of this agreement is provide the City another option to facilitate compliance with state bidding requirements and realize administrative cost savings. Funding: Cost: N/A Source of funds: General and Utility Funds Background Information: Interlocal agreements with other local governmental entities satisfies state bidding laws without the City having to incur administrative costs and effort in the bid process while giving the City access to competitively bid pricing on commodities and equipment. This saves the City time and money when the commodities and equipment specifications match our needs.
