RIGHT OF ENTRY, POSSESSION ANI CONSTRUCTION
EASEMENT
STATE OF TEXAS
COUNTY OF WILLIAMSON
WHEREAS, JIM FORREST AVANT, JEFF WOOD AVANT, AND JAKE AVANT
DEYHLE, hereinafter referred to as "GRANTOR", whether one or more, is the owner of that
certain piece, parcel or tract of land in Williamson County, Texas, being more particularly
described by metes and hounds in Exhibits "A -D", which are attached hereto and made a part
hereof; and
WHEREAS, CITY oF ROUND ROCK, TEXAS, "'GRANTEE", plans to acquire a
public utility easement and temporary construction easement interest in the tract(s) of land
described in Exhibits "A -D", whether through contract and conveyance or through eminent
domain proceedings; and
WIIEREAS, the GRANTEE must have possession of said -described tract at hind for the
purposes described below,
Construction of City of Round Rock raw water line (Project).
NOW THEREFORE, I3E IT KNOWN:
That in considmition of the agreement to postpone the scheduling of a special
commissioners hearing for the acquisition of the Property, the receipt and sufficiency of which
are hereby expressly acknowledged, GRANTOR has GRANTED and CONVEYED and by these
presents does GRANT and CONVEY unto the GRANTEE, its employees, agents and assigns an
irrevocable right -of -entry, possession, and construction easement, with the right of exclusive
possession and the rieit of ingress and egress over, upon, across and to those tracts of hind
described in Exhibits "A -D".
It is expressly agreed, acknowledged, and understood that the easements, rights, and
privileges herein granted are assignable and shall be used by the GRANTEE, its employees,
agents, contmlors and assigns, for the purposes of enterint„, upon the above-described property,
before the closing of the conterrtplated real estate transaction or the acquisition of title through
condemnation, and proceeding with surveying, site review and analysis, utility relocation, actual
construction on the Project, and all manner of preparation and work attendant thereto.
Grant shall conduct its activities in the temporary construction easement ems in such a
manner as will minimize damage to or removal of trees. Other than minor branch trimming as
required to vary out the purposes of ibis Easement, Grantee shall not remove or damage any
trees other than as necessary for purposes of this Easement and shall not, in any event, remove or
dmnage any hardwood -trees larger than 6" in diameter without the prior written permission of
Grantor or negotiation of additional compensation from Grantee fin. same. Grantee agrees to
undertake standard tree protection measures for any hardwood trees larger than 6" in diameter on
the Property, as set 0111 in Exhibit -E- attached hereto and incorporated herein.
At no time during the possession of the property by GRANTEE for the purposes
described herein shall GRANTOR be denied reasonable access tandlor ingress to or egress from
the remaining property for the current uses of such property.
The easement, rights, and privileges herein granted shall automatically terminate upon
the contemplated closing of the above-described real estate transaction or the rendition of a final
judIgnent in condemnation proceedings. Flowever, this grant shall survive the termination of any
purchase (=tract agreement and shall also survive any institution of condemnation proceedings.
The parties further agree as follows:
That by virtue of the granting of permission to the GRANTEE to take tcniporary
possession of the Property in accordance with this Agreement. GRANTOR dries not
waive any legal rights or defenses under the Constitution of the United States, the
Constitution and Statutes cif the State of Texas or any other provisions of the law that
GRANTOR,. may have in connection with the acquisition of any rights to the Property by
the GRANTEE. Neither party shall have the right to bring into evidence any prior
settlement discussions or any other negotiations during the special commissioners hearing
or any future condemnation proceedings regarding the acquisition by Grantee of the
property described in Exhibits "A -D".
2. That this Right of Entry. Possession. and Construction Easernent is irrevocable by
GRANTOR but only valid until sixty (60) business days Mier the filing of a Special
Commissionersaward in the Cause. Thereafter, continued possession, if at all, will be
Pursuant to a deposit of a Special Commissioners' award according to Texas law
governing possession in a statutory eminent domain case.
3. In consideration of the execution of this Right of Entry and Possession, the GRANTEE
agrees the GRANTOR be allowed a reasonable time, which in any event shall not be less
than seventy (70) days from the Date of this Agreement, to prepare for the hearing
before the Special Commissioners appointed by the Court in the Cause.
4. The date of valuation fir purposes of determining the value of the just compensation for
the easement rights sought in the Cause shall be the date of the hearing before the Special
Commissioners appointed by the Court. Any change in then natural condition of the
property caused by the construction commenced pursuant to this agreement prior to the
date of taking shall be ignored for purposes of valuing the subject property.
5. This Agreement shall be binding upon the heirs, devisees, poxutors, administrators, legal
representatives, successors and assigns or the parties. Specifically, Grantor's heirs,
devisees, executors, administrators, legal representatives, suemssors or assigns are bound
by terms of this agreement which state that the consideration paid hereunder to Grantor
shall be credited against, applied towards, and offset from any consideration to be paid in
satisfaction of an agreed purchase price under a contract and conveyance or in
satisfaction of the award of the Special Commis.sioners or subsequent judgment in any
condemnation proceeding for the acquisition of the property described hemin, whether
said Grantor is or is not the owner of said property, now or in the figure.
6. The easement, right, and privileges granted herein are exclusive, and GRANTOR
covenants that it will not convey any other easement or conflicting rights within the area
covered by this grant This grant shall be binding upon legal representatives, successors,
and assigns of GRANTOR for the term of this grant.
7, Nothing in this grant shall be construul to prejudice or waive the rights of GRANTOR to
full and just compensation for the temporary and permanent easements to be acquired by
GRANTEE, and damages, if any, to GRANTOR'S property. This grant shall not be
construed to waive GRANI'OR'S right to notice of any hearing for the acquisition of any
portion of ORNNT()R's property.
TO HAVE AND T() I IOLD the possession of the above-described tracts of land for the
purposes and subject to the limitations described above and alt other matters or record.
This possession and use agreement, as well as any future judgment, purchase agreement,
or temporary agreement for the acquisition by (irantee of the property described in Exhibits "A-
D" shall he made subject to provisions of the permanent and ternporaty easement agreements
attached hereto as Exhibit "F" and "G-.

KNOW ALL BY THESE PRESENTS:
COUNTY OF WJLL1AMSON
That Jim Forrest Avant, Jeff Wood Avant and Jamie Avant Deyhle ("Grantor"), for and
in consideration of the sum of Ten and No/100 Dollars ($30.00) and other good and valuable
consideration paid by the CITY OF ROUND ROCK, TEXAS, a municipal corporation situated
in the County of Williamson and State of Texas ("Grantee"), the receipt and sufficiency of which
is hereby acknowledged, does hereby GRANT, SELL, DEDICATE and CONVEY unto Grantee
certain rights and interests in the nature of a perpetual waterline easement to construct, install,
operate, maintain, inspect, reconstruct, enlarge, relocate, rebuild, repair, and remove one
waterline, facilities and improvements, together with the express right to maintain the easement
area by clearing and removing vegetation, silt and debris which interfere with the purposes of the
easement therefrom, in, upon, over, under, above and across the following described property,
to -wit:
See Exhibit "A" attached hereto and made a part hereof for all intents and
purposes hereunto and in any wise pertaining, showing a waterline easement
being a acre tract of land; said tract being more particularly
described by metes and bounds as indicated (the "Easement Property").
The perpetual easement, right-of-way, rights and privileges herein granted shall be used
for the purposes of location, placement, relocation, construction, operation, enlargement,
maintenance, alteration, repair, rebuilding, removal and patrol of waterline facilities, to -wit: the
water line, access facilities and related equipment, all necessary conduits, valves, vaults,
manholes, ventilators and appurtenances, drainage pipes and all other subsurface waterline
structures, and any necessary accessories, operations or facilities.
This conveyance is made and accepted subject to any and all conditions, restrictions,
easements and other matters, if any, relating to the Easement Property to the extent, and only to
the extent, that the sane may still be in force and effect and shown of record in the office of the
County Clerk of Williamson County, Texas.
Except as otherwise noted, the easement, rights and privileges herein granted shall be
perpetual, provided however that said easement, rights, and privileges shall cease and revert to
Grantor in the event the utilities are abandoned, or shall cease to be used, for a period of five (5)
consecutive years.
EXHIBIT F
Except as otherwise provided in this Easement, (i) the easement, rights and privileges
granted herein are exclusive, and (ii) Grantor covenants that it will not convey any other
easement or conflicting rights within the Easement Property, without the express written consent
of Grantee, which consent shall not be unreasonably withheld or delayed. Grantee shall have the
right to .review any proposed easement or conflicting use of the easement to determine the effect,
if any, on the facilities contemplated herein. Prior to granting its consent for other easements,
Grantee may require reasonable safeguards to protect the integrity of the facilities thereon.
Grantor further grants to Grantee:
(a) the right to remove any stone, earth, gravel or caliche which may be excavated in
the opening, construction or maintenance of any waterline structure, improvement
or facility;
(b) the right of ingress to and egress from the Easement Property over and across
Grantor's property by such route or routes as shall occasion the least practicable
damage and inconvenience to Grantor, with Grantor's prior written consent,
which shall not be unreasonably delayedor withheld; provided, further, as long as
Grantee has the right to access the Easement Property directly from public right-
of-ways, Grantee shall not have the right of ingress and egress over Grantor's
property other thanon and over the Easement Property;
(c) the right from time to time to trim and to cut down and clear away any and all
trees and brush now or hereafter on the Easement Property, including any portion
of any trees or brush primarily located off the Easement Property but which
portion is located on the Easement Property;
(e)
the right to mark the location of t.h.e Easement Property by suitable markers set in
the ground; provided that such markers shall be placed in fences or other locations
on the Easement Property which will not interfere with any permitted use of the
Easement Property by Grantor.
Grantee hereby covenants and agrees:
(a) Grantee shall either cause to be replaced, or provide compensation for
replacement of, any fences or gates on Grantor's property which are relocated or
damaged as a result of the activities described herein. Grantee shall notify Grantor
prior to removing any fencing or gate and shall coordinate Grantee's construction
activities (as well as repair or replacement of fencing and gate structures) with
Grantor, as necessary to ensure that cattle will not be harmed or allowed to pass
through existing fence barriers and to ensure that the same quality of fencing and
gate structures remain in place. In replacing or repairing damaged fencing, gates
or supporting elements, Grantee shall use the same type of material and quality of
installation. as what is being replaced. For example, wood fcn.ce posts sh.ail not be
used to replace steel fence posts. Underground gate braces shall be left in place

or, if brace removal cannot be avoided, replaced with the same type and quality of
brace installation and ina manner acceptable to Grantor.
(b) Grantee shall promptly backfill any trench made on the Easement Property and
repair any damage done to Grantor's property, whether done by Grantee, or
Grantee's employees, agents, contractors or subcontractors;
(c)
Grantee shall indemnify Grantor against any loss and damage which shall be
caused by the exercise of the rights of ingress and egress granted herein or by any
wrongful or negligent act or omission of Grantee, Grantee's agents, employees.,
contractors or subcontractors in connection with the actions by any of them on the
Easement Property or otherwise in connection with this Easement.
(d) Grantee and its successors and assigns shallnot have the right to convey or assign
less than all of its rights with respect to the Easement Property, such that there
shall only be one owner of the easement granted herein at any time.
Grantor retains, reserves, and shall continue to enjoy the surface of the Easement
Property for any and all purposes which do not unreasonably interfere with and prevent the use
by Grantee of the Easement Property.
Grantee shall have the right and privilege at any and all times to enter the Easement
Property, or any part thereof, for the purpose of constructing and maintaining said waterline
facilities, and for making connections therewith; all upon the condition that Grantee will at all
times after doing work in connection with the construction. or repair of said facilities restore the
surface of the Easement Property as nearly as is reasonably possible to the condition in which the
same was in before the work was undertaken.
Notwithstanding any contrary provision in this Easement, the rights granted to Grantee in
this Easement are subject to the following:
1 . Grantee agrees that it will at all times, after doing any work pursuant to the rights
hereby granted, restore the surface of the Easement Property to substantially the same condition
as existed prior to such work, taking into consideration the nature of the work being performed.
Grantee shall replace topsoil in areas disturbed by Grantee's use of the Easement Property, and
shall reseed such areas with native vegetation.
2. • Grantee shall limit the above -ground facilities to those reasonably necessary for
operation and maintenance of the underground water line, including valves, valve vaults, water
line location signs, fire hydrants and meter boxes, but shall not in any event construct facilities
for the purpose of housing transmission -related facilities or equipment, including, without
limitation, pumping facilities.
3. Grantee will remove all brush, trees and other debris cleared from the Easement
Property and shall not discard then on Grantor's property, exceptto the extent approved in

writing by Grantor.
4. Grantor, and Grantor's heirs, representatives and assigns, shall retain the right to
use the surface of the Easement Property, including, but not limited to, for cattle operations, the
construction of roads, streets, driveways, curbs, sidewalks, fences, parking areas, light poles or
other above ground utilities, landscaping or other surface uses which do not materially interfere
with the use or rights granted herein by Grantee; provided, however, that (1) no buildings, water
quality or detention or similar drainage features, or permanent structures of any kind shall be
placed, erected or maintained thereon; (2) such improvements shall not damage facilities located
within, or materially interfere with Grantee's use andenjoyment of, the Easement Property; and
(3) no subsurface utilities of any kind shall be located within the Permanent Easement Tract
except as provided below.
5. Grantee shall not fence the Easement Property.
6. To the extent that any applicable city, county or state ordinance, regulation or
other law requires that fees, damages, compensation, penalties, or the like, be paid for the cutting
or damage of certain sizes or types of trees, and Grantee and/or its contractors cause such cutting
or damage of trees, Grantee shall be responsible for the payment of such amounts.
Notwithstanding any contrary provision in this Easement, Grantor and its heirs,
representatives and assigns shall have the right to grant utility easements crossing over or under
the Easement Property, provided that the integrity of the Grantee's line and facilities is
safeguarded and Grantee has given its written consent, which consent shall not be unreasonably
withheld or delayed.
Grantor shall have the right to abate or enjoin any unauthorized use of the Easement
Property by Grantee by any lawful method. Cirantee agrees to repair damages that it (or its
employees, agents, contractors or subcontractors) causes to any of Grantor's authorized
improvements within the Easement Property. Grantee shall not be responsible for damage it
causes to u.nau.thorized improvements within the Easement Property.
TO HAVE AND TO HOLD the rights andinterests described unto Grantee and its
successors and assigns, forever, and Grantor does hereby bind itself, and its successors and
assigns, and legal representatives, to warrant and forever defend, all and singular, the above-
described easement and rights and interests unto Grantee, its successors and assigns, against
every person whomsoever lawfully claiming, or to claim same, or any part thereof by, through or
under. Grantor but not otherwise. The provisions of this paragraph are subject to the exceptions,
reservations andprovisions in. this Easement.
This Easem.ent shall be binding upon and shall inure to the benefit of the parties hereto
and their respective heirs, representatives, successors and assigns.

TEMPORARY CONSTRUCTION EASEMENT

KNOW ALL MEN BY THESE PRESENTS:

That Jim Forrest Avant, Jeff Wood Avant and Jamie Avant Deyhle, hereafter referred to
as Grantor, whether one or more, in consideration of Ten Dollars ($10.00) and other good and
valuable consideration paid by the City of Round Rock, the receipt of which is hereby
acknowledged, does hereby grant to the City of Round Rock, its agents, contractors, successors
and assigns, hereafter referred to as "Grantee", a temporary construction easement in, to and
across the property shown and described in Exhibit "A" attached hereto ("Property"), for the
purpose(s) of relocating, reconstructing and/or installing a water line and any associated facilities
in the adjacent easement areas (the "Project"), along, upon and across the Property as necessary
to carry out the purposes of this easement.
The parties agree further as follows:
Following completion of work within the temporary construction easement area described
in Exhibit "A", Grantee shall at its expense and within ninety (90) days of completion of the
work restore any Property injured by Grantee's activities, other than permissible damage to trees
as provided below, as closely as possible to substantially the same condition as existed previous
to entry upon the Property.
Grantor shall conduct its activities in the Property in such a manner as will minimize
damage to or removal of trees. Other than minor branch trimming as required to carry out the
purposes of this Easement, Grantee shall not remove or damage any trees other than as necessary
for purposes of this Easement and shall not, in any event, remove or damage any hardwood trees
larger than 6" in diameter without the prior written permission of Grantor or negotiation of
additional compensation from Grantee for same. Grantee agrees to undertake standard tree
protection measures for any hardwood trees larger than 6" in diameter on the Property, as set out
in Exhibit "B" attached hereto and incorporated herein.
This temporary construction easement shall be in full force and effect at all times during
the accomplishment and completion of the construction activities described above. This
temporary construction easement shall terminate and the easement rights and improvements
constructed within the easement area shall revert to and become the responsibility of the Grantor,
Grantor's successors, and assigns, and all interest conveyed shall terminate upon the earlier to
occur of (i) expiration of eighteen (18) months after beginning of the project; (ii) September 1,
2009; or (iii) the date of completion of construction of the Project. Such termination shall be
permanent, and, in no event will Grantee's rights under this Easement subsequently become
effective again.
EXHIBIT G
This conveyance is subject to all easements and rights of way of record, visible or
apparent on the ground, all restrictions, reservations, covenants, conditions, oil, gas, or other
mineral leases, mineral severances and other instruments that affect the Property.
Notwithstanding any contrary provision in this Easement, the rights granted to Grantee
herein are subject to the following:
1. Grantee agrees that it will, after doing work pursuant to the rights hereby granted,
restore the surface of the Property to substantially the same condition as existed prior to such
work, taking into consideration the nature of the work being performed. Grantee shall replace
topsoil in areas disturbed by the use of the Property, and shall reseed such areas with native
vegetation. The consideration recited herein shall constitute payment in full for all damages
(other than the costs of Grantee's restoration, repair and payment obligations as set forth in this
Easement) sustained by Grantor by reason of the utilization by the Grantee of the rights granted
herein.
2. Grantee shall either cause to be replaced, or provide compensation for
replacement of, any fences or gates on Grantor's property which are relocated or damaged as a
result of the activities described herein. Grantee shall notify Grantor prior to removing any
fencing or gate and shall coordinate Grantee's construction activities (as well as repair or
replacement of fencing and gate structures) with Grantor, as necessary to ensure that cattle will
not be harmed or allowed to pass through existing fence barriers and to ensure that the same
quality of fencing and gate structures remain in place. In replacing or repairing damaged fencing,
gates or supporting elements, Grantee shall use the same type of material and quality of
installation as what is being replaced. For example, wood fence posts shall not be used to replace
steel fence posts. Underground gate braces shall be left in place or, if brace removal cannot be
avoided, replaced with the same type and quality of brace installation and in a manner acceptable
to Grantor. References to "Grantee" shall include Grantee's employees, agents, contractors and
subcontractors.
3. Grantor, and Grantor's heirs, representatives and assigns, shall retain the right to
use the Property, including, but not limited to, for cattle operations, and such other uses as will
not unreasonably interfere with Grantee's use of the Property.
4. To the extent that any applicable city, county or state ordinance, regulation or
other law requires that fees, damages, compensation, penalties, or the like, be paid for the cutting
or damage of certain sizes or types of trees, and Grantee and/or its contractors cause such cutting
or damage of trees, Grantee shall be responsible for the payment of such amounts.
5. Grantee shall indemnify Grantor against any loss and damage which shall be
caused by the exercise of the rights of ingress and egress granted herein or by any wrongful or
negligent act or omission of Grantee, Grantee's agents, employees, contractors or subcontractors
in connection with the actions by any of them on the Property or otherwise in connection with
this Easement.

TO HAVE AND TO HOLD the rights and interests described unto Grantee and its
successors and assigns, forever, and Grantor does hereby bind itself, and its successors and
assigns, and legal representatives, to warrant and forever defend, all and singular, the above-
described easement and rights and interests unto Grantee, its successors and assigns, against
every person whomsoever lawfully claiming, or to claim same, or any part thereof, by, through or
under Grantor but not otherwise.
