CM-08-02-042EQUIPMENT LEASE AND MAINTENANCE AGREEMENT This Equipment Lease and Maintenance Agreement ("Agreement") is entered into between the City of Round Rock, Texas ("City") and Library Automation Technologies, Inc. ("LAT"). Background A. The City wishes to provide its library patrons with fast and effective check-out procedures through the use of self check-out terminals. B. LAT manufactures the Flash Scan TM self -check system and offers a combination lease/maintenance package which would meet the City's needs. C. The City wishes to enter into an agreement with LAT to contract for the rental and maintenance of certain self -checkout systems. In consideration of the mutual covenants contained in this Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows. 1. Term 1.01 This Agreement shall become effective upon the date it is properly executed by the City ("Effective Date") and will continue for a period of three (3) years unless otherwise terminated pursuant to this Agreement. 2. Contract Documents and Exhibits 2.01 The instant agreement includes the following: (a) this Agreement; (b) LAT's Library Self -Checkout System Quote, attached as Exhibit A; and (c) any exhibits, addenda, and/or amendments thereto. Any inconsistencies or conflicts in the contract documents shall be resolved by giving preference in the following order: (A) This Agreement; (B) LAT's Library Self -Checkout System Quote. 2.02 City selected LAT to supply the goods and services as outlined in Exhibit A. The intent of these documents is to formulate an Agreement listing the responsibilities of both parties as outlined by the City and as offered by LAT in its Library Self -Checkout System Quote. 2.03 The goods and services which are the subject matter of this Agreement are described in Exhibit A and, together with this Agreement, comprise the total Agreement and they are as fully a part of this Agreement as if repeated herein in full. 3. Items Awarded 3.01 All bid items on Exhibit A are awarded to LAT. Equipment Lease and Maintenance Agreement 00127831 City of Round Rock/LAT Inc 0120.0701 APs 4. Equipment Lease and Maintenance 4.01 LAT hereby leases to the City, and the City hereby leases from LAT the equipment (including hardware, peripherals, software, if any) described in Exhibit A (hereinafter referred to collectively the "Equipment") at the fee set forth herein. LAT shall retain title to and ownership of the Equipment. 4.02 All maintenance, including repairs, replacements, and any other necessary services, shall be performed by LAT in accordance with the terms of the initial warranty and support options contained in Exhibit A. 4.03 The City hereby agrees to use the Equipment solely for the purposes and functions contemplated by this Agreement. 4.04 If LAT cannot provide the goods and services as specified, the City reserves the right and option to obtain same from other suppliers or sources. 5. Delivery and Return 5.01 Upon the execution of this Agreement, the City and LAT shall cooperate in making reasonable arrangements for the delivery and installation of the Equipment. LAT acknowledges that a delivery and installation charge has been included in the lease price, and that no further charges will be incurred by the City for delivery and installation of the Equipment. 5.02 Upon the expiration of the term of this Agreement, or upon any earlier termination of this Agreement, the City shall return the Equipment to LAT in good repair, condition, and working order, less normal wear, tear, and depreciation. The Equipment shall be returned to LAT, at LAT's sole cost, as may be reasonably specified by LAT. 5.03 If the City fails to return the Equipment to LAT at the expiration of this Agreement or at some earlier termination of this Agreement, LAT, at its sole expense, has the right to take possession of the Equipment without legal process, free of all rights of the City in and to the Equipment. By this provision, the City expressly authorizes LAT or LAT's agent to enter the premises where the Equipment is located at a reasonable time and under reasonable circumstances, for the purpose of repossessing and removing the Equipment. 6. Lease Payments and Maintenance Charges 6.01 As consideration for the lease of the Equipment contemplated herein, the City agrees to make lease payments to LAT as follows: (A) The sum total of $24,999.98 shall secure the lease of the Equipment for the entire term of this Agreement. A one-time payment of $24,999.98 will be paid by the City to LAT, due on the effective date of this Agreement. Equipment Lease and Maintenance Agreement City of Round Rock/LAT, Inc. 2 of 7 (B) No further lease payments will be due from the City to LAT for the remaining term of this Agreement. 6.02 Bid costs listed on Exhibit A shall be the basis of any charges collected by LAT for maintenance of the Equipment during the term of this Agreement. 6.03 The City shall pay maintenance charges based on City's election of a support option as offered by LAT in Exhibit A. Nothing contained in this Agreement shall obligate the City to enter into a maintenance or support agreement with LAT, Section 3 notwithstanding. 6.04 If the City elects to purchase a maintenance or support package, it shall promptly notify LAT of the desired option available to it according to Exhibit A. 6.05 All maintenance charges shall be paid by the City upon receipt of invoices submitted by LAT in accordance with this Agreement. All invoices to the City from LAT shall, at a minimum, contain the following information: (A) Name and address of LAT; (B) Purchase Order Number, if any; (C) Description of services received and format delivery; and (D) Delivery or effective dates. 6.06 In accordance with Chapter 2251, V.T.C.A., Texas Government Code, payment to LAT will be made within thirty (30) days of the day on which City receives the performance, supplies, materials, equipment, and/or deliverables, or within thirty (30) days of the day on which the performance of services was complete, or within thirty (30) days of the day on which City receives a correct invoice for the performance and/or deliverables or services, whichever is later. LAT may charge a late fee of one percent (1 %) for payments not made in accordance with this Prompt Payment Policy; however, this Policy does not apply to payments made by City in the event: (A) There is a bona fide dispute between City and LAT concerning the supplies, materials, or equipment delivered or the services performed which causes the payment to be late; or (B) The terms of a federal contract, grant, regulation, or statute prevent City from making a timely payment with federal funds; or (C) There is a bona fide dispute between any of the parties and subcontractors or between a subcontractor and its suppliers concerning supplies, materials, or equipment delivered or the services performed which causes the payment to be late; or (D) Invoices are not mailed to City in strict accordance with instructions, if any, on the purchase order or the Agreement or other such contractual agreement. 3of7 Equipment Lease and Maintenance Agreement City of Round Rock/LAT, Inc. 7. Termination 7.01 Either party shall be entitled to terminate this Agreement upon the occurrence of any of the following events: except for City's failure to make timely payment, if either party shall refuse, neglect, or fail to perform, observe, or keep any of the material covenants, terms, or conditions contained herein to be performed, observed, or kept, and such refusal, neglect, or failure shall continue for a period of thirty (30) days including weekends, after written notice, the non -defaulting party shall have the right, in addition to any other right or remedy it may have, to terminate this Agreement. 7.02 LAT shall be entitled to terminate this Agreement should the City fail to pay any amount due hereunder and the City fails to cure such default within thirty (30) days after the date of written notice from LAT. 7.03 Termination of this Agreement under this Section shall not relieve either party of any obligation or liability that has occurred prior to termination. 7.04 In the event this Agreement is terminated prior to the expiration of the term provided for in Section 1, the following shall apply: Upon LAT's receipt or submittal of a notice of termination, LAT shall discontinue all services in connection with the performance of this Agreement and shall proceed to cancel promptly all existing orders and contracts insofar as such orders and contracts are chargeable to this Agreement. Within thirty (30) days after such notice of termination, LAT shall submit a statement showing in detail the goods and/or services satisfactorily performed under this Agreement to the date of termination. LAT shall then repay the City that pro rata portion of the lease payment and maintenance or support charges, if applicable, left unperformed. The parties agree that LAT is not entitled to compensation for services it would have performed under the remaining term of the Agreement. 8. Notices 8.01 All notices and other communications in connection with this Agreement shall be in whiting and shall be considered given as follows: Agreement; or (A) When delivered personally to the recipient's address as stated in this (B) Three (3) days after being deposited in the United States mail, with postage prepaid to the recipient's address as stated in this Agreement. Sheets City Attorney 309 East Main Street Round Rock, TX 78664 8.02 Nothing contained herein shallbe construed to restrict the transmission of routine communications between representatives of City and LAT. 9. Miscellaneous Provisions 9.01 Standard of Care. LAT represents that it employs trained, experienced and competent persons to perform all of the services, responsibilities and duties specified herein and that such services, responsibilities and duties shall be performed in a manner according to generally accepted industry practices. 9.02 Time is of the Essence. LAT understands and agrees that time is of the essence and that any failure of LAT to fulfill obligations for each portion of this Agreement within the agreed timeframes will constitute a material breach of this Agreement. LAT shall be fully responsible for its delays or for failures to use best efforts in accordance with the terms of this Agreement. Where damage is caused to City due to LAT's failure to perform in these circumstances, City may pursue any remedy available without waiver of any of City's additional legal rights or remedies. 9.03 Force Majeure. Neither City nor LAT shall be deemed in violation of this Agreement if it is prevented from performing any of its obligations hereunder by reasons for which it is not responsible as defined herein. However, notice of such impediment or delay in performance must be timely given and all reasonable efforts undertaken to mitigate its effects. For the purposes of this Agreement, "force majeure" shall mean acts of God, strikes, lockouts, or other industrial disturbances, acts of the public enemy, orders of any kind from the government of the United States or the State of Texas or New Jersey, any civil or military authority, insurrections, riots, epidemics, landslides, lightning, earthquakes, fires, hurricanes, storms, floods, restraint of the government and the people, civil disturbances, explosions, or other causes not reasonably within the control of the party claiming such inability. 9.04 Nothing in this Agreement is intended or shall be construed to create or establish an agency, partnership, or joint venture relationship between the parties. 9.05 No waiver by either party of any provision or any breach of this Agreement constitutes a waiver of any other provision or breach of this Agreement, and no waiver shall be effective unless made in writing. The right of either party to require strict performance and observance of any obligations hereunder shall not be affected in any way by any previous waiver, forbearance, or course of dealing. 5 of 7 Equipment Lease and Maintenance Agreement City of Round Rock/LAT, Inc. 9.06 The City shall not sell, assign, license, sublicense, franchise, or otherwise convey in whole or in part to any third party this Agreement or the services provided hereunder without the prior written consent of LAT. 9.07 This is a nonexclusive agreement. Similar agreements may be entered into by either party with any other person. 9.08 This Agreement shall be governed by, construed, interpreted, and enforced according to the laws of the State of Texas and of the United States of America, without regard to principles of conflict of laws and rules. Each party hereby consents to the nonexclusive jurisdiction of the courts of the State of Texas and venue shall lie exclusively in Williamson County, Texas. 9.09 In the event that any material provision of this Agreement is determined to be invalid, unenforceable, or illegal, then such provision shall be deemed to be superseded and the Agreement modified with a provision which most nearly corresponds to the intent of the parties and is valid, enforceable and legal. 9.10 This Agreement constitutes the final and complete understanding and agreement between the parties concerning the subject matter hereof. Any prior agreements, understandings, negotiations, or communications written or otherwise are deemed superseded by this Agreement. This Agreement may be modified only by a further written agreement executed by an authorized representative of the parties hereto.
