WHEREAS, the City of Round Rock ("City") is the owner of a 18.414 acre tract of land
known locally as the McNeil Community Park, located at 3700 N. IH-35, Round Rock, Williamson
County, Texas ("Property"); and
WHEREAS, the City desires to sell the property and pursuant to § 272.001 of the Texas Local
Government Code, has duly published notice for bids in a newspaper of general circulation in
Williamson County to sell the property; and
WHEREAS, James Michael Farr is a ready, willing, and able buyer and has submitted the
highest cash offer, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the City Council hereby authorizes and directs the City Manager and his staff to negotiate
with James Michael Farr for the purchase of the Property; and
BE IT FURTHER RESOLVED
That the Mayor is hereby authorized and directed to execute on behalf of the City any and all
documents necessary for the closing of the aforesaid transaction.
The City Council hereby finds and declares that written notice of the date, hour, place and
subject of the meeting at which this Resolution was adopted was posted and that such meeting was
open to the public as required by law at all times during which this Resolution and the subject matter
hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act,
Chapter 551, Texas Government Code, as amended.

BID TO PURCHASE REAL PROPERTY
Individuals and/or entities proposing to bid on the purchase of the property known as McNeil Community Park
must complete this form and return it in a sealed envelope to Brooks Bennett,Assistant City Manager, 221 E.
Main St., Round Rock,Texas 78664 no later than 3:00 p.m. (CDT) on Tuesday,July 21, 2015.
1) Terms and Instructions to Bidders: The City will pay the cost of an Owner's Title Policy and standard
seller's closing costs. The City will not pay the cost of any broker's commission. If Purchaser desires a survey,
the City will pay up to $2,500 for the survey, if the transaction actually closes.
2) Description of Property: The property is known locally as the McNeil Community Park, and is
located at 3700 N. I1-1-35, Round Rock, Texas 78664. The property contains 18.414 acres, more or less, out of
the Ephraim Evans Survey, Abstract No. 212, Williamson County, Texas, being out of that one certain 38.58
acre tract conveyed to McNeil Laboratories, Inc., by Warranty Deed recorded in Volume 657, Page 655, Deed
Records, Williamson County, Texas. A map showing the location of the Property is attached hereto as Exhibit
„A
3) Purchaser: An Entity to be formed for the purpose of this purchase owned and controlled by
James Michael Farr. (List the full name of the individual(s) and/or entity submitting this bid.)
4) Purchase Price: The Purchase Price is One million one hundred thousand and N0/100 dollars
($1,100,000.00)
5) Earnest Money: The Purchaser will deposit Earnest Money in the amount of One hundred
thousand and N0/100 dollars ($100,000.00)
6) Feasibilitv Period: The Purchaser will require 180*days to perform investigations and/or studies to
determine if the Property is suitable for its needs.
7) Closing Date: The Closing Date will be 30 days following the close of the Feasibility Period.
8) Intended Use of the Property: The Property will be used as the relocation site of Nutty Brown
Cafe and Amphitheater, currently located at the intersection of Highway 290 West and Nutty Brown Road in
western Travis County, Texas. Nutty Brown Cafe and Amphitheater is a 15 year old bar, restaurant, and
outdoor live music venue open seven days a week and showcasing 25-45 major musicians/bands annually.
9) Purchaser's Proposed Schedule for Development of the Property for Purchaser's Intended Use:
Purchaser intends to develop this Property as soon as possible with a goal of being open to the public in
2016. Purchaser will move as quickly as possible during the Feasibility Period outlined above to negotiate a
mutually beneficial development agreement with the City of Round Rock, Williamson County, applicable
departments of the State of Texas, and other stakeholders (*Purchaser believes that the 180 day feasibility
period indicated above will be sufficient, however given (1) the Property has been designated by the Texas

Historical Commission as an archeological landmark, and(2) a significant portion of the Property is located
within the 100 year flood plain additional time may be required).
