CM-2015-900 - 9/11/2015EPISODE # 203 SCENE DESCRIPTION: GYM LOCATIAN AGREEMENT This agreement (".Agree emene) is dated September 10, 2015 between R.OLM ROCK SPORTS I ("Owner" ), whose address is 2400 CW OLM 0 ROCK YX 179691 and ABC STUDIOS ('Producer"), whose address is 5010 Burleson Rd., Austin,'TX 78744. Owner and Producer are sometimes collectively referred to herein as the "P r 'es". 1. GRAN For the Term specified in Paragraph 4 below, and for any extensions provided for herein, Owner hereby grants to Producer, its successors, assigns, licensees, employees, representatives, independent contractors and suppliers, the right to use the property located at 2400 CHISI�OLM ?'RAIL j ROUND ROCK. T"X ! 78681 (the "Pro er ') together with access to and egress from the Property with its personnel and equipment for the purpose of photographing and fdcning for the television production currently entitled AMFRIC4N �M (the "Production►"}. 2. PAYMENT: As consideration in full for use of the Property, Producer agrees to pay Owner the total sum of $-7-.000-00 Wo -1- s tins for re filmin cera date. Producer may at any time elect not to use the Property y giving Owner written notice of such election, in which case neither party -,will have any obligation to the other hereunder. If Producer is unable to start work on the date designated below and/or work id progress is interrupted during the use of the Property by Producer, the parties will work together in good faith to reschedule use of the Property to a later date to be mutually agreed upon and/or to extend the period set forth in this Agreement. 3. PROPERTY USE. The use of the Property granted to Producer by Owner includes the right to shoot the Property as well as signs, names, logos, furniture and fixtures located ori the Property. 4. TERM. (a) Term: The Tenn of this Agreement shall be as follows: Film Date: 'I�iesda Se to 22 2 15. (b) Re-entry At any time within 180 days from the date upon which the Term ended and upon not less than 5 business days' advance written notice to Owner, Producer may re-enter the Property for such period as may be reasonably necessary to photograph retakes or added scenes or for other purposes allowed hereunder, subject to Producer's payment of the same fee (pro -rated on a daily basis) as the shoot fee provided in Paragraph 2 above. 5. RIGHTS. All rights of every kind in and to all photographs and sound recordings made hereunder in connection with use of the Property by Producer (the " Fob') shall be and remain the sole and exclusive property of Producer. Such tights shall include, without limitation, the perpetual and irrevocable right to use and re -use said Footage in connection with the Production and aay other productions (including, without limitation, any television, motion picture, internet or other new media production) (collectively, the "Productions") as Producer may elect, and in connection with any advertising, publicizing, exhibiting, merchandising, distributing and exploiting such Productions in any manner whatsoever and at any time by all means, media, devices, processes and technology now or hereafter known or devised in perpetuity throughout the universe. Producer's rights shall include the right to refer to the Property by its correct name or a fictitious name, the right to attribute fictitious events as occurring on the Property and the right to replicate the Property and use such replication in Producer's sole discretion. Producer shall not be obligated to make any actual use of any Footage or Duplicates in the Productions or otherwise. 6. INSURANCE. Producer agrees to maintain the following insurance during the term of this agreement: (i) Commercial General Liability insurance with minimum limits of $1,000,000 on an Page 1 of 2 occurrence form basis; (ii) Automobile Liability insurance coverage with a minimum combined single limit of $1,000,000 for bodily injury and property damage; (iii) Workers' Compensation insurance as required by applicable law for producer's employees; and (iv) Third Party Property Damage with a minimum limit of $1,000,000. Owner shall be provided with a certificate of insurance evidencing the coverages above and adding the Owner as an additional insured on the Commercial General Liability policy. T WARRANTIES. Owner warrants, represents and agrees that: (i) Owner is fully authorized to enter into this Agreement, and (ii) Owner has the right to grant Producer the use of the Property as described herein and to grant each of the rights herein granted;. 8. CONDITION OF PROPERTY Producer will leave the Property in substantially as good condition as when received by it, reasonable wear and tear for the use of the Property for the purposes herein permitted. If there is a dispute as to whether there are any damages to the Property caused by Producer, Owner shall deliver to Producer a detailed list of those items and provide Producer with a reasonable opportunity to inspect the Property to determine the need for repairs, if any. 9. REMEDIES. In the event of any claim by Owner against Producer, whether or not material, Owner shall be limited to Owner's remedy at law for damages, if any, and Owner shall not be entitled to enjoin, restrain or interfere with Producer's production, distribution, merchandising, advertising, publicizing, exhibiting or exploitation of the Productions or any of Producer's rights hereunder. 10. LIABILITY Owner shall indemnify and hold Producer harmless for any liabilities, losses, claims, demands, costs (including, without limitation, reasonable outside attorneys' fees) and expenses (collectively, "Claims") arising in connection with (i) Owner's breach of this Agreement or (ii) Owner's negligence or willful misconduct. Producer shall indemnify and hold Owner harmless from any Claims arising in connection with @ Producer's breach of this Agreement or (ii) Producer's negligence or willful misconduct. 11. ENTIRE AGREEMENT. This Agreement contains the full and complete understanding between the Parties and supersedes all prior agreements and understandings pertaining hereto and cannot be modified except by a writing signed by each Party.
