Reservations From and Exceptions to Conveyance and Warranty:
Easements and rights-of-way of record; all presently recorded instruments, other than
liens and conveyances, that affect the property; taxes for the current year, the payment of which
Grantee assumes.
Grantor further specifically reserves and excepts from this conveyance an easement in,
along, upon and across the following described portion of the Property, for the purpose of
opening, constructing, placement and maintaining a permanent channel or drainage structure or
drainage way, and any other activities necessary in order to facilitate and maintain proper
drainage of the adjacent highway facilities, together with the right and privilege of Grantor, its
agents and employees of ingress and egress upon and across the easement for the purposes of
making any improvements, modifications or repairs necessary to carry out the purposes of this
easement:

particularly described by metes and bounds in Exhibit "C" attached hereto and made
a part hereof for all purposes.
By acceptance of this conveyance Grantee agrees that it shall not grant any interest in the
Property which shall conflict or otherwise interfere with the purposes stated in this easement
reservation; provided, however, Grantee shall have the right to use the surface of the easement in
any manner that does not conflict with the use of the easement by Grantor, its successors and
assigns.
Grantor, for the consideration, receipt of which is acknowledged, and subject to the
reservations from and exceptions to conveyance and warranty, grants, sells and conveys to
Grantee the property, together with all and singular the rights and appurtenances thereto in any
wise belonging, to have and hold it to Grantee, Grantee's heirs, executors, administrators,
successors or assigns forever. Grantor binds Grantor and Grantor's heirs, executors,
administrators and successors to warrant and forever defend all and singular the property to
Grantee and Grantee's heirs, executors, administrators, successors and assigns against every
person whomsoever lawfully claiming or to claim the same or any part thereof, except as to the
reservations from and exceptions to conveyance and warranty, when the claim is by, through or
under Grantor, but not otherwise.

By deed of the same date as this instrument, Grantee has conveyed to Grantor 0.1662
acre of real property as more fully described in that deed as consideration for the conveyance
from Grantor to Grantee in this instrument. Grantor and Grantee agree that no lien, either express
or implied, shall arise in favor of Grantor or Grantee as a result of the exchange of property
between Grantor and Grantee.
By the acceptance of this Deed, Grantee is taking the Property "as is," "where is" and
"with all faults," and without any representations or warranties whatsoever, express or implied,
written or oral, it being the intention of Grantor and Grantee to expressly negate and exclude all
representations and warranties, including, but not limited to (i) the physical condition of the
property or any element thereof, including, without limitation, warranties related to suitability for
habitation, merchantability or fitness for a particular purpose; (ii) the nature or quality of
construction, structural design and engineering of any improvements; (iv) the soil conditions;
drainage or other conditions existing at the property with respect to any particular purpose,
developmental potential or otherwise; (v) all warranties created by any affirmation of fact or
promise or by and description of the Property; and (vi) all other warranties and representations
whatsoever, except the warranty of title expressly set forth herein.

Being all that certain 0.044 of one acre (1,917 square feet) parcel of land situated in the Jacob M.
Harrell Survey, A-284, Williamson County, Texas, being out of and part of Lot 1, Block M, and
La Frontera Boulevard (100 feet wide) as shown on the plat of La Frontera Section III B
Subdivision and recorded in Cabinet S, Slides 69-76 of the Williamson County Plat Records
(W.C.P.R.). Said 0.044 of one acre (1,917 square feet) parcel being more particularly described
by metes and bounds as follows with all bearings and coordinates based on the Texas State Plane
Coordinate System, NAD 83, Central Zone and adjusted to surface using a surface adjustment
factor of 1.00012:
COMMENCING at a 1/2 -inch iron rod with Texas Department of Transportation (TxDOT)
aluminum cap set for the southwesterly comer of said Lot 1, Block J (called 11.751 acres) of La
Frontera Section IV Subdivision, according to the map of plat thereof, as recorded in Cabinet S,
Slides 66-68, W.C.P.R. and lying in the existing northerly right-of-way line of Farm to Market
Road No. 1325 (F.M. 1325) being 120 feet wide per TxDOT Right -of -Way Map entitled Travis
and Williamson Counties F.M. Highway No. 1325, dated December, 1950 and being in the
existing westerly right-of-way line of La Frontera Boulevard (100 feet wide) as shown on the
plat of said La Frontera Section III B Subdivision; thence as follows:
North 41°14'07" East (N 43°43'45" E), along the existing northerly right-of-way line of said
F.M. 1325, a distance of 1,055.27 feet to a point lying in the existing northerly right-of-way
line of said F.M. 1325 and the existing southerly right-of-way line of said La Frontera
Boulevard (X=3,131,185.06, Y=10,148,743.59) located 490.07 feet right of and
perpendicular to State Highway 45 (SH 45) proposed Baseline Station 519+11.60 for the
POINT OF BEGINNING of the herein described parcel of land and also being the
beginning of a non -tangent curve to the left;
1. THENCE northwesterly across the existing right-of-way of said La Frontera Boulevard,
an arc distance of 26.75 feet with said non -tangent curve to the left, having a Radius of
227.60 feet, with a Delta Angle of 06°43'58" and a Chord Bearing and Distance of
North 88°55'49" West, 26.73 feet to a TxDOT bronze disk in concrete set, for the end of
said non -tangent curve to the right, and the beginning of a non -tangent curve to the left;

TxDOT aluminum cap set in the existing northerly right-of-way line of said F.M. 1325 for
corner;
8. THENCE, South 41°14'07" West (S 43°43'45" W), along said existing northerly right -of
way line of F.M. 1325, a distance of 22.74 feet to the POINT OF BEGINNING and

RESOLUTION NO. R -01-08-09-13D5
WHEREAS, the City desires to acquire an approximately 0.19 acre
tract of land for additional right-of-way for the SH 45 Roadway
Project, and
WHEREAS, 35/45 La Frontera, L.P., the owner of the property, has
agreed to exchange said property for an approximately 0.19 acre tract
of land owned by the City, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
fiat the -Mayos is—hereby authorized -and --directed to -execute on -
behalf of the City an Exchange Special Warranty Deed with 35/45 La
Frontera, L.P., for the exchange of the above described property.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended, and the Act.
