CONSULTING SERVICES FOR TRANSPORTATION PLANNING

This Supplemental Agreement No. 2 to "Planning Services Agreement" is made by and between
the City of Round Rock, Texas (hereinafter called the "City"), and The Goodman Corporation
(hereinafter called "TGC").
WHEREAS, the City and TGC executed the referenced Agreement (hereinafter called the
"Agreement") on the 14th day of the month of February, 2008; and
SAS, the City and TGC executed Supplemental Agreement No. 1 to provide a scope of
services change and add additional fees on the 27th day of the month of June, 2008; and
WHEREAS, it has now become necessary to execute Supplemental Agreement No. 2 to provide
a scope of services change to the Agreement, such change delineating provision of additional services to
facilitate completion of a survey to aid in determining potential ridership demand for a proposed rail link
from Round Rock to the future Capital Metro line (MetroRail Red Line); and to add additional fees
therefor to Exhibit "B" to the Agreement;
NOW, THEREFORE, premises considered, the City and TGC agree that said Agreement is
amended as follows:
I.
A scope of services addition shall be made to the "Planning Services Agreement," and said
addition shall be entitled "Exhibit A Supplemental Planning Scope of Services." Said Exhibit A is
attached hereto and incorporated herein for all purposes as though recited verbatim. Said Exhibit A shall
read as follows:
The Goodman Corporation has been tasked to facilitate the completion of a survey that will aid in
determining potential ridership demand for a proposed rail link from Round Rock to the future Capital
Metro line (MetroRail Red Line). This survey may serve as one component of a potential feasibility
assessment to be pursued by the City in partnership with the Central Texas Regional Mobility Authority
(CTRMA) and consists of the following tasks:
• Develop survey questionnaire to be reviewed by the City and CTRMA. The survey will be
conducted by phone and constructed to take 12 minutes.

• Design and draw sample of respondents. A sample area will be derived from the future park &
ride market areas identified by TGC. Four hundred interviews will be conducted from this
random sample of residences.
• Execute survey and create data file which will serve as foundation for analysis.
• Perform data analysis and report.
Deliverable: A final report documenting the research methodology, present findings, and research
conclusions.

An item shall be added to Exhibit "B" entitled "Planning Services Agreement Budget Schedule"
as follows:

All services described in the attached exhibits shall be performed for the originally -contracted
total sum of $122,000.00, with an added fee of $33,350.00 for the scope of services addition
made in Supplemental Agreement No. 1, and with an added fee of $20,000.00 for the scope of
services addition made in this Supplemental Agreement No. 2, totaling $175,350.00. There shall
be no reimbursable expenses allowed.
IN WITNESS WHEREOF, the City and TGC have executed this Supplemental Agreement No.
2 in duplicate originals.

Justification:
This supplemental agreement will provide additional services to facilitate completion of a
survey to aid in determining potential ridership demand for a proposed rail link from Round
Rock to the future Capital Metropolitan Transportation Authority (CMTA) Red Line commuter
rail. The City and the Central Texas Regional Mobility Authority will jointly fund the survey.

Background Information:
On February 14, 2008, City Council approved a resolution authorizing the Mayor to execute
a Planning Services Agreement with The Goodman Corporation to develop and implement a
Peak Hour Express Transit Service between Round Rock and the Capital Metropolitan Transit
Authority (CMTA) service area.
On June 27, 2008, City Council approved a resolution authorizing the Mayor to execute
Supplemental Agreement No. 1 to provide additional planning services to support the City's
Letter of No Prejudice amendment request to the Federal Transit Administration.
The transit planning services provided by the Goodman Corporation under this supplemental
agreement are eligible for 80% reimbursement from the Federal Government through the
Interlocal Agreement with CMTA, which was approved by Council on November 13, 2008 and
the CMTA Board on December 10, 2008.
