This is an annual maintenance and support renewal agreement for the use and support of lnfotrac which is a
software program that is used by the Convention and Visitors Bureau for client tracking and it's also used as a sales
database.

Annual Maintenance and Support Agreement
This agreement is made on this date, 12/02/2010, by and between John Paradiso & Associates, Inc. of 141
Newburyport Turnpike, Suite 355, Rowley, MA 01969 (JP&A) and Round Rock Convention & Visitors Bureau of
231 E. Main Street, Suite 150 Round Rock, TX , 78664 (CUSTOMER), for the purpose of providing the below
stated maintenance and support services.
CUSTOMER agrees to pay the total annual fee, as detailed below, upon execution of this agreement, which
entitles the CUSTOMER to maintenance and support services for the period of 01/01/2011 through 12/31/2011.

Services included in this Contract
Technical Support — CUSTOMER is entitled to unlimited telephone and e-mail consultation for the purposes of
technical and customer support to fully and effectively utilize the covered software program(s) and rectify any
problems.
Website Support– CUSTOMER is entitled to full and unlimited access to the website support and download
pages of JP&A. All information contained on the website is the property of JP&A. CUSTOMER shall take
reasonable precautions to protect this information from theft, unauthorized copying, or distribution.
Software Upgrades/Updates – CUSTOMER is entitled to all software upgrades as they become available, and
technical support to implement these upgrades as needed. JP&A agrees to update the Support web page in a
timely manner to reflect all available upgrades and to notify the designated technical contact upon release of
major upgrades.
Infotrac Report Modifications – CUSTOMER is entitled to minor report modifications under the annual support
agreement. Custom modifications covered under this agreement are limited to a total of 1 hr. per licensed Infotrac
user, per year. Any requests for changes in Inquiry+ screens and Reports will be considered for future versions to
be distributed to all users.
Services not included in this Contract
Training – Onsite and/or regional group training services are not included in the annual support agreement.
Additionally, individual telephone based training is limited to one hour per phone call.
Custom Modifications – Custom modifications of reports and data entry screens beyond what is stated above
under "Infotrac Report Modifications" are not included in the annual support agreement.
Entire Agreement
This agreement contains the entire agreement between the parties, and any prior understanding or representation
of any kind preceding the date of this agreement shall not be binding upon either party except to the extent
incorporated in this agreement.
