SUPPLEMENTAL AGREEMENT
TO "CITY OF ROUND ROCK MASTER AGREEMENT FOR
PURCHASE OF SECURITY SYSTEM RENTAL SERVICES"
FROM STANLEY CONVERGENT SECURITY SOLUTIONS, INC. (SCSS)
Stanley Convergent Security Solutions, Inc. (SCSS), successor -in -interest to
Sonitrol, an independent franchised dealer of Sonitrol Corporation
ADDRESS: Naperville, Illinois
This Supplemental Agreement to "City of Round Rock Master Agreement for Purchase of
Security System Rental Services" is made by and between the City of Round Rock, Texas (hereinafter
called the "City"), and Stanley Convergent Security Solutions, Inc. (SCSS), successor -in -interest to
Sonitrol, an independent franchised dealer of Sonitrol Corporation (hereinafter called "SCSS").
WHEREAS, the City and Sonitrol executed the referenced Master Agreement (hereinafter called
the "Master Agreement") on the 20th day of the month of November, 2007; and
WHEREAS, Stanley Convergent Security Solutions, Inc. (SCSS) informed the City on or about
November 25, 2008 that it had become successor -in -interest to Sonitrol; and
WHEREAS, it has now become necessary to execute a Supplemental Agreement to add an
Addendum for new equipment; and to add additional fees therefor to Exhibit "B" to the Master
Agreement;
NOW, THEREFORE, premises considered, the City and SCSS agree that said Master
Agreement is amended as follows:
I.
An Addendum shall be added in accordance with "Special Instructions" found on Client
Agreement Number L 37528 dated June 20, 2007, to -wit: "SPECIAL INSTRUCTIONS: This is a
Master Agreement for the City of Round Rock, Texas, per RFP 07-031. Addendums are attached for
each location, and are subservient to this Master Agreement. See addendums for special comments."
Such Addendum shall be for services performed at and on the premises of the City of Round
Rock temporary IT building located at 200 Commerce, Round Rock, Texas 78664.
Such Addendum delineates the following for the purpose of adding security equipment at the City
of Round Rock temporary IT building location:

4 Door Contacts
3 Audio Detectors
1 Keypad

Installation Payment ($0.00); Monthly Lease, Monthly Monitoring, Maintenance
and Service Plan ($45.00 per month).
The parties expressly acknowledge that the monthly fee of $45.00 for the delineated services is
the only amount hereby added to the contract documents.
IN WITNESS WHEREOF, the City and SCSS have executed this Supplemental Agreement in
duplicate originals.

Contract Rider
This agreement between Stanley Convergent Security Solutions, Inc. ("SCSS") and Cly of Rounl Rock ("Customer") supplements and amends the Contract Agreement between the
parties dated 12/17/2011 (the "Agreement") covering the tbmishing of scrvice and equipment to die Customer's premises at 200 Common.. Round Rock. TX 78664 intending to be legally
bound, the panics flather agree that:

2. If additional service and equipment arc to be furnished to the Customer at said premises, then only such additional service and equipment shall be (bmished as is described in the Terms
and Conditions set forth below (or In a separately attached Temhs and Agreements). In such event Customer agrees to pay to Stanley Convergent Security Solutions, Inc. the installation
charges Indicated below by paying an amount equal to 50% of the total installation charges at the limo of signing this Agreement and by paying the amount of tho BALANCIS DUi:
upon completion of the installation. Further, the Customer agrees to pay to Stanley Convergent Security Solutions, Inc. the amount of the additional Recurring Service Charge indicated
below, in advance during the term of this Agreement on the sante periodic payment schedule as the other recurring service charges set forth hi the Agreement.
(a) Any additional service and equipment provided pursuant to ibis Rider shall bo governed by the provisions of the Agreement, including without limitation tho provision of Section 4
("Liquidated Damages and SCSS Limits of Liability').
3, To the extent the agreement is modified other than as set forth in Section 2 hereof, such modifications, if any, will be sci forth in the Schedule of Service and Protection section hereof.

The Agreement shall remain In full force and effect In accordance with all the terms and conditions thereof, modified only to the extent herein specifically provided tor. Said
Agreement es so modified constitutes the entire agreement between the parties. which Agreement cannot be further modified except by another written agreement executed by
the partes as herein set forth.
The Rider Is not binding unless approved in writing by an Authorized Representative of SCSS. If such approval Is not obtained, SCSS only tablfity shall be to return to Customer
the amount, If any, paid to Stanley Convergent Security Solutions, Inc. upon the signing of this Rider by Its Security Representative.
