With this agreement, the City will begin accepting electronic scrap materials (electronics, televisions, computers, peripherals, etc - essentially any corded electric device with the exception of appliances) for the purpose of recovery, recycling and proper disposal. The City will provide a location for the collection of electronic materials and GES will provide the containers, transportation, recycling and reporting at no cost. This program will allow the diversion of hazardous metals and other materials from the landfill in a efficient manner that will be made available to the public seven days a week. Statement of Work For City of Round Rock 2012 Statement of Work: This Statement of Work (SOW) defines the scope of work to be accomplished by Global Environmental Services, LLC, GES and City of Round Rock ("Client'). The work to be performed and the deliverables to be provided by GES are stated within this SOW. Global Environmental Services, LLC responsibilities as well as Client's responsibilities are also provided. A. Project Scope: Under the scope of this Statement of Work, GES will provide Transportation, Recycling, and Commodity Brokerage services as described in Section D, Project Scope Detail. B. Terms: No Terms. Pickup on request only. Will revisit at a future date. C. Key Assumptions: This SOW is based on the following assumptions. Changes in circumstances that arise during the proposed project that require new or altered procedures or terms will require written mutual concurrence. I. GES will ensure the skill level and certifications of the technicians performing services outlined in this S.O.W. will be adequate to perform the tasks. II. GES will provide reporting as required. III. GES will assure that all personnel and processes will adhere to the standards and documentation conventions provided by the client. IV. GES will provide services as described in this SOW for 12 months from the start date of this contract unless either party terminates the contract prior to the end date. V. GES will not accept liability for customer's data. Client must assure that a full back-up has been performed prior to arrival at GES. GES is not responsible for any loss, back-up, or restore of any Customer data unless specifically stated within the SOW. VI. GES is liable for all materials after receipt into our custody and until shipment to final processing. GES will be responsible for any loss of materials under GES control and will reimburse client for such loss within 90 days of the occurrence. VII. Contract may be terminated at anytime by either party. D. Project Scope Detail: • Technology Services: I. Services consists of: a. Container will be placed at the recycling center. b. Provide collection for all electronics. c. Basic report consisting of pounds collected. d. Provide downstream verification documents per shipment, if needed. e. Provide client Certification of Recycling per shipment by weight, lot or part number. II. Services - GES will provide: a. Secure pickup and transportation of all materials from client designated site to GES intake facility. b. Receipt of assets — GES will Receive all designated materials. Upon receipt GES will capture weight of incoming material. c. Copies of receiving documents will be turned over to the Client upon request. d. Packaging and storage materials will be provided and replenished by GES to client collection site. e. GES will notify client point of contact of any discrepancies. f. All lost shipment discrepancies will be resolved within 10 business days. g. All materials will be Received, and Audited / Processed upon receipt at the GES facility. h. Certificates of Recycling will be issued to Client on all shipments, if requested. E. Project Management (Single Point of Contact): I. Assigned Project Manager — GES will assign a PM and they will be the single point of contact for the tasks in this Statement of Work. The GES project manager will have explicit responsibility for the administration and technical direction of GES activities. Project manager duties include: a. A single point of contact that has the authority to act for GES in all aspects of this Statement of Work. b. Attend status meetings as required. c. Assure all reports are accurate and timely. d. Provide orientation for new project team members. e. Establish and administer project management procedures and develop project work plans in coordination with the designated Client contact. f. Measure and evaluate project progress against established project work plans and schedules. g. Prepare and submit reports to the Client management contact. h. Notify the Client Manager immediately if any requirements cannot be met. i. Coordinate and manage the activities of the project personnel. j. Other duties as appropriate in fulfilling this SOW. F. Change Management: At any time during a project, Client may request changes to the services, deliverables, reports or the applicable acceptance criteria. As soon as practicable following such a request, the parties will discuss the feasibility of the requested changes. GES will then document the actual change request and any known impact on time schedules or costs specified in this scope of work. The final change document will then be copied to both Client and contractor, contacts to be named. This SOW may only be modified by a written change order specifically describing the change, that has been duly executed on behalf of the parties be bound thereby. G. Indemnification GES agrees that it shall be held liable for, and shall indemnify, defend and hold harmless the Client from and against any and all liabilities and damages and claims from damages, suits, proceedings, recoveries, judgments, executions, losses, costs, penalties, fines, consequences and expense (including, but not limited to, litigation costs and expenses and reasonable attorneys' fees, as well as such costs, expenses and fees as may be incurred by the Client in establishing and enforcing its right to indemnification hereunder) which may be made, had, brought or recovered against the Client or any of them by third parties, GES or GES' employees, arising from and related to: I. The performance, non-performance or improper performance of services under this SOW by GES, its agents or employees II. The willful misconduct or misrepresentation by GES, its agents or employees III. Any breach of this SOW by GES, its agents or employees IV. The failure to comply with Client's instructions or directions by GES, its agents or employees, including, but not limited to, claims arising from or related to personal injuries or death, or damages to or loss of property of any kind whatsoever, suffered by the parties hereto and/or their employees and/or to the person or property of any other person or entity.
