Approval lEmployee EE Bowden Notes/Comments Date April 21, 2014 MEMORANDUM OF AGREEMENT BETWEEN CITY OF ROUND ROCK AND SUSTAINABLE FOOD CENTER 1. SCOPE OF AGREEMENT: The purpose of this Memorandum of Agreement (MOA) between CITY OF ROUND ROCK and the Sustainable Food Center (SFC) is to establish a cooperative relationship in support of the Farm to Work Program (Program). Under the Program, baskets of fresh, local produce are delivered to worksites each week. For employees at participating worksites, the Program increases access to fresh fruits and vegetables and offers convenience and competitive pricing. By supporting local farmers and produce, the Program supports the environmental, economic, and cultural sustainability of the food system. The SFC will coordinate with local farmers to supply produce to employees as part of the Program. SFC will also process payment and maintain the ordering and payment website. CITY OF ROUND ROCK will promote the Program to employees, facilitate distribution of the produce each week at CITY OF ROUND ROCK worksite, and evaluate the Program. The CITY OF ROUND ROCK worksite is located at 305 W. MAIN ST. ROUND ROCK, TX 78664 SFC and CITY OF ROUND ROCK will collaborate to monitor Program implementation, utilizing participant evaluation and feedback to improve Program components. 2. TERM OF AGREEMENT: This MOA shall be effective as of the date executed by the last party, and shall remain in effect until terminated by either party upon ten (10) days' advance notice, in writing. 3. TERMS AND CONDITIONS: (a) There shall be no financial compensation for CITY OF ROUND ROCK through Farm to Work, and CITY OF ROUND ROCK is not required to provide financial compensation for products or services related to Farm to Work. Any compensation for products or services provided or received by SFC and participating farmers shall be by agreement between SFC and participating farmer(s). (b) CITY OF ROUND ROCK will allow employees de minimis personal use of CITY OF ROUND ROCK facilities and equipment to take part in the Program. CITY OF ROUND ROCK employees taking part in the Program do so in their individual capacity. No debt incurred by a CITY OF ROUND ROCK employee under the Program shall constitute a debt of the CITY OF ROUND ROCK, the State of Texas, or any agency of the State of Texas. CM -2014-403 (c) Neither CITY OF ROUND ROCK nor SFC may commit the other party either programmatically or financially in any substantial manner without prior consultation and agreement. (d) All materials, publications, or information developed through the course of the Program will be used solely for communication and implementation related to the Program. Materials, publications, or information may not be released to other parties or used for other purposes without expressed consent of both SFC and the CITY OF ROUND ROCK. 4. CITY OF ROUND ROCK'S RESPONSIBILITIES: (a) obtain all necessary approvals to implement the Program at the CITY OF ROUND ROCK worksite; (b) secure an appropriate location at the CITY OF ROUND ROCK worksite that is covered, accounts for pedestrian and car traffic flow, and offers adequate access for the farmer's delivery truck; (c) notify CITY OF ROUND ROCK employees about the opportunity to participate in the Program and clarify details when necessary; (d) promote the Program through advertising and incentives, to encourage participation among CITY OF ROUND ROCK employees; (e) assure that distribution at the CITY OF ROUND ROCK worksite will be handled through on-site weekly produce distribution coordinators (1 coordinator for <30 orders, 2 coordinators for 30-60 orders, and 3 coordinators for >60 orders); (f) evaluate the Program through surveys, intercept interviews, and focus groups. 5. SFC's RESPONSIBILITIES: (a) identify local farmers with the interest and capacity to supply produce to the Program; (b) provide technical assistance to identified local farmers to ensure an adequate and high quality supply of produce for the Program; (c) process all payments and orders on a weekly basis; (d) maintain a secure, online ordering and payment system that is only accessible to participating worksite employees (to include capacity for expansion to other sites, recipe and preparation support for employees, and tracking capabilities for evaluating participation); (e) ensure that ordered produce baskets and a trade box will be delivered in a timely manner to each participating CITY OF ROUND ROCK location on the agreed-upon distribution day(s) each week; (f) answer CITY OF ROUND ROCK employee inquiries related to order processing, payment, quality or variety of produce, and growing methods; and (g) answer all farmer inquiries. 6. Either party may terminate this MOA by giving written notice specifying the termination date at least ten (10) days subsequent to the date of notice.
