R -03-12-18-8E1 WHEREAS, the City of Round Rock has previously entered into an Agreement for Engineering Services ("Agreement") with Carter & Burgess, Inc. for the preparation of plans, specifications, and estimates for 1.5 miles of US 79 from FM 1460 to CR 195, and WHEREAS, Carter & Burgess, Inc. has submitted Supplemental Agreement No. 6 to the Agreement for a change in the scope of services to include additional design work, and WHEREAS, the City Council desires to enter into said Supplemental Agreement No. 6 to the Agreement with Carter & Burgess, Inc., Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City Supplemental Agreement No. 6 to the Agreement with Carter & Burgess, Inc., a copy of same being attached hereto as Exhibit "A" and incorporated herein for all purposes. WHEREAS, the City and Engineer executed an Agreement for Engineering Services, hereinaf- ter called the "Agreement", on March 23, 2000 to provide engineering services for the design of a four -lane divided section on US 79 — from FM 1460 to CR 195 to include bridge design at Ar- terial A, for the sum of $398,182.00; and WHEREAS, the City and Engineer executed Supplemental Agreement No. 1 on June 28, 2001 to amend the scope of services, to extend the contract date from August 31, 2001 to December 31, 2002, and to increase the compensation by $158,118.00 to a total of $556,300.00; and WHEREAS, the City and Engineer executed Supplemental Agreement No. 2 on September 13, 2001 to amend the scope of services and to increase the compensation by $68,021.00 to a total of $624,321.00; and WHEREAS, the City and Engineer executed Supplemental Agreement No. 3 on January 10, 2002 to amend the scope of services and to increase the compensation by $27,275.00 to a total of $651,596.00; and WHEREAS, the City and Engineer executed Supplemental Agreement No. 4 on June 27, 2002 to amend the scope of services and to increase the compensation by $33,266.00 to a total of $684,862.00; and WHEREAS, the City and Engineer executed Supplemental Agreement No. 5 on December 19, 2002 to amend the scope of services, to increase the compensation by $32,673.00 to a total of $717,535.00, and to extend the contract period to December 31, 2003; and WHEREAS, Article 2, Scone Of Services To Be Provided By Engineer, describes those engi- neering services to be provided by the Engineer as a part of the Agreement; and WHEREAS, Article 3, Contract Period, as amended by Supplemental Agreements requires the termination of the Agreement on December 31, 2003 unless the Agreement is further extended by Supplemental Agreement; and 59899 Supplemental Agreement Page 1 of 6 EXHIBIT "Aa Rev. 4/2/03 WHEREAS, Article 4, Compensation, as amended by Supplemental Agreements establishes the maximum lump sum payable under this Agreement at $717,535.00 ; and WHEREAS, it has become necessary to amend the Agreement to to amend the scope of serv- ices, to increase the compensation, and to extend the termination date; NOW THEREFORE, premises considered, the City and the Engineer agree that said Agree- ment is amended as follows: I. Article 2. Scope of Services to be Performed by Engineer shall be amended as set forth in the Revised Exhibit B, attached hereto and incorporated herein, and said Scope of Services shall be performed in accordance with the Revised Exhibit C, attached hereto and incorporated herein. II. Article 3, Contract Period, shall be amended as set forth below: (1) Term. The Engineer is expected to complete the work in accordance with the above described Work Schedule. If Engineer does not performed the work in accordance with the Work Schedule, then City shall have the right to terminate this Agreement as set forth below in Article 18. So long as the City elects not to terminate this Agreement, it shall continue from day to day until such time as the work is completed. Any work performed or costs incurred after the date of termination shall not be eligible for reimbursement. Engineer shall notify City in writing as soon as possible if he/she/it determines, or reasonably anticipates, that the work will not be completed in accordance with the Work Schedule. (2) Work Schedule. Engineer acknowledges that the Work Schedule is of critical im- portance, and agrees to undertake all necessary efforts to expedite the performance of the work required herein so that construction of the project will be commenced and completed as sched- uled. In this regard, and subject to adjustments in the Work Schedule as provided in Article 2 herein, Engineer shall proceed with sufficient qualified personnel and consultants necessary to fully and timely accomplish all work required under this Agreement in a professional manner. Article 4, Compensation and Exhibit D Fee Schedule shall be amended by increasing by $54,918.58.00 the lump sum amount payable under the Agreement for a total of $772,453.58.00, as set forth in the Revised Exhibit D, attached hereto. Consider a resolution authorizing the Mayor to execute Supplemental Agreement No. 6 to the Agreement for Engineering Services with Carter & Burgess, Inc. for improvements to US 79 from FM 1460 to CR 195. Resource: Tom Word, Chief of Public Works Operations Tom Martin, Director of Transportation Services History: Supplemental Agreement No. 6 is to extend the contract period for the design of box culvert draining the HEB property to Brushy Creek. Work would include geotechnical investigation, design, coordination with TxDOT and utility entities, and construction phase services. The engineer has agreed to perform the additional work for $54,918.58 bringing the total contract cost to $772,453.58. Funding: Cost: $54,918.58 Source of funds: Round Rock Transportation System Development Corp. Outside Resources: Carter -Burgess, Inc. Impact/Benefit: Approval of Supplemental Agreement No. 6 will allow for adjustment designs, as a result of TxDOT regulations changes/requests, and allow development along FM 1460.
