WHEREAS, the City of Round Rock has previously entered into a
Standard Form of Agreement Between Owner and Architect with Standard
Form of Architect's Services ("Agreement"), and Supplemental Agreement
No. 1 with Croslin and Associates, Inc., a division of PBS&J
("Croslin") for the redesign of Fire Station No. 2, and
WHEREAS, Croslin has submitted Supplemental Agreement No. 2 to
the Agreement for a change in the scope of services, and
WHEREAS, the City Council desires to enter into said Supplemental
Agreement No. 2 with Croslin, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City Supplemental Agreement No. 2 with Croslin and
Associates, Inc., a division of PBS&J, a copy of same being attached
hereto as Exhibit "A" and incorporated herein for all purposes.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended.

This Supplemental Agreement No. 2 to "Standard Form of Agreement Between Owner
and Architect with Standard Form of Architect's Services" and to "Supplemental Agreement No.
1" is made by and between the City of Round Rock, Texas, hereinafter called the "Owner" or
"City," and Croslin and Associates, a division of PBS&J, a Florida corporation, hereinafter
called the "Architect" or "Croslin."
WHEREAS, City and Croslin executed the referenced "Standard Form of Agreement
Between Owner and Architect with Standard Form of Architect's Services" and the
"Supplemental Agreement No. 1" (hereinafter collectively called the "Agreement") on the 22nd
day of January, 2004; and
WHEREAS, it has become necessary to extend the Agreement by renewal and amend
same; and
NOW THEREFORE, premises considered, the City and Architect agree that said
Agreement is amended as follows:
I.
Subsection 1.1.2.5 of the Standard Form of Agreement Between Owner and Architect
with Standard Form of Architect's Services shall be amended as follows: The existing 1.1.2.5 1.
shall be struck in its entirety and be replaced with the following:
1.1.2.5 The financial parameters are as follows:
1. Amount of the Owner's overall budget for the Project, including the
Architect's compensation, is:

Total compensation to Architect for delineated services is the fixed sum of One Hundred Eighty-
four Thousand Five Hundred Four and 84/100 Dollars ($184,504.84), plus Reimbursable
Expenses in an amount not to exceed $10,000.00. Customary reimbursable expenses include
travel, copies, reproductions, presentations, telephone, postal or courier services, and other
similar expenses.
Design Documents $45,339.92
Construction Documents $99,625.92
Bidding $ 3,997.00
Construction Administration $35,542.00
TOTAL $184,504.84
The parties expressly acknowledge that $95,204.84 of the total of $184,504.84 has previously
been paid to Architect by City, leaving a remaining amount due of $89,300.00 to be paid in
accordance with this Agreement.
II.
Subsection 1.1.2.6 of the Standard Form of Agreement Between Owner and Architect
with Standard Form of Architect's Services shall be amended as follows: The existing 1.1.2.6
shall be struck in its entirety and be replaced with the following:
1.1.2.6 The time parameters are:
Services hereunder shall commence immediately upon receipt by Architect of this executed
Agreement. Completion shall be not later than twenty-four (24) months from date of execution
of this Agreement, unless appropriately extended by agreement between the parties in writing.
III.
Subsection 1.5.1 of the Standard Form of Agreement Between Owner and Architect with
Standard Form of Architect's Services shall be amended as follows: The existing 1.5.1 shall be
struck in its entirety and be replaced with the following:
1.5.1 For the Architect's services as described herein, compensation shall be computed as
follows:
Architect's total compensation for services hereunder shall not exceed the sum of $184,504.84
established herein, plus authorized reimbursable expenses, which expenses shall include such
items as travel, copies, reproductions, presentations, telephone, postal or courier services, and
other similar expenses.
IV.
The first paragraph under "Witnesseth:" of the Supplemental Agreement No. 1 shall be
amended as follows: The existing first paragraph shall be struck in its entirety and be replaced
with the following:

WHEREAS, as is recited in the Agreement this document supplements, City intends to
design and construct the described project (hereinafter called the "Project"). Architect's services
are desired for purposes including but not limited to architectural, design,
structural/mechanical/electrical engineering services related to the Project. Total compensation
for Architect's services under this Agreement shall not exceed the following: $184,504.84, plus
reimbursable expenses in an amount not to exceed $10,000.00.
V.
Section 6.01 of the Supplemental Agreement No. 1 shall be amended as follows: The
existing section shall be struck in its entirety and be replaced with the following:
6.01 Basic Services. Payments on account of Architect's Basic Services shall be made
monthly in proportion to the degree of completion of each phase, but not to exceed the following
amounts at the completion and approval of each phase of the work:

(c) Bidding Phase
(d) Construction Administration Phase

been paid to Architect by City, leaving a remaining amount due of $89,300.00 to be paid in
accordance with this Agreement.
IN WITNESS WHEREOF, City and Architect have executed this Supplemental

Justification:
This Supplemental Contract No. 2 is for the redesign and construction drawing documents for
the Fire Station #2 at 206 West Bagdad Street.
Funding:.
Cost: $54,104.84
Source of funds: Capital Project Funds (GO Bonds 2001)
Outside Resources: Croslin and Associates
Background Information:
Construction plans had been completed for Fire Station No. 2 in May, 2004. The bidding and
construction of the plans were put on hold until a study of the overall locations of needed Fire
Stations could be completed. During this study a right sizing of room sizes and apparatus bays
was also completed by the Fire Department. The plan is to build a station at the West Bagdad
Site in the South West Downtown Area of Round Rock. The overall plan will be scaled back
2,500 square feet from the original plan.
