THIS SUPPLEMENTAL AGREEMENT NO. 1 to "City of Round Rock Agreement for
Transportation Operations Consulting Services with David Walther," hereinafter called
"Supplemental Agreement No. 1," is made by and between the City of Round Rock, Texas, a
home-rule municipality, hereinafter called the "City" and David Walther, hereinafter called the
"Consultant."
WHEREAS, the City and Consultant executed the referenced "City of Round Rock
Agreement for Transportation Operations Consulting Services," hereinafter called the
"Agreement,"in February of 2016; and
WHEREAS, City desires to increase the not-to-exceed consulting fee set forth in Section
1.03 and Exhibit"A"of the Agreement; and
WHEREAS, the parties desire to enter into this Agreement to set forth in writing their
respective rights,duties and obligations hereunder;and
WHEREAS, it is necessary to amend the Scope of Work and Consulting Fee set forth in
the original Agreement;
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Supplemental Agreement No. 1, the City and Consultant agree that said
Agreement is amended and supplemented as follows:
I.
Section 1.02 of the Agreement is hereby amended to read as follows:
1.02 SCOPE OF WORK
The Consultant shall satisfactorily provide transportation operations and new traffic
signal construction consulting services, as described in the attached amended Exhibit
"A," "Scope of Services." Consultant shall satisfactorily provide all services and

deliverables in a professional and workmanlike manner. Consultant's undertakings shall
be limited to performing services for the City and/or advising the City concerning those
matters on which Consultant has been specifically engaged.
II.
Section 1.03 of the Agreement is hereby amended to read as follows:
1.03 CONSULTING FEE
A. The consulting fee shall be Fifty and No/100 Dollars ($50.00) per hour, not-to-
exceed Forty-Nine
Thousand and No/100 Dollars($49,000.00).
B. No reimbursement for travel expenses or any other costs whatsoever are
authorized hereunder.
III.
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original Agreement.

IN WITNESS WHEREOF, the City and Consultant have executed this Supplemental
Agreement to be effective as of the last date of due execution by both parties.

SCOPE OFSERVICES
Transportation Operations Consultant shall :
• Be utilized on Transportation Operations and new Traffic Signal construction projects,
to ensure a quality project is built on schedule and within budget.
• Provide pre-construction services from engineering review, to budgeting and
scheduling and project bid management.
• Assist with Transportation Operations planning and construction management services
duringdesign.
• Maintain relationships with CORR partnering parties throughout the project,from
design,planreview andconstruction.
• Ensure efficiency in Operations and throughout design/construction and close out
by gathering data and summarizing forthe Transportation Operations Manager and
Transportation Director.
The contract shall not exceed $39,000.00 $49,000.00. The approximate time required is
estimated to be six (6) months, with a projected twenty-five (25) hours weekly, at the rate of
$50.00 per hour.

Consider executing Supplemental Agreement No. 1 to the Agreement with David
Walther for Transportation operations consulting services.
The Transportation Operations Consultant Services Contract provides much needed
support to the Transportation Department for transportation operations, maintenance
and traffic signal construction projects. Services include ensuring a quality
product/project is built on schedule and within budget; promoting and implementing
methods to increase efficiency in transportation operations and maintenance;
providing design/construction plan review; preparing and monitoring budgets and
schedules; provision of bidding phase services; project management; maintaining
relationships with CORR partners within and outside of the organization; as well as
data gathering, fact finding and summary preparation for the Transportation Director,
Transportation Operations Manager and other staff.
The original Transportation Operations Consultant Services Contract was
approved on February 26, 2016 as City Manager item CM-2016-1050. The
person subsequently selected for these consulting services was David Walther.
David was previously assigned to the Transportation Department as the
Transportation Superintendent overseeing the Transportation Traffic Signal and
Traffic Sign divisions. This supplemental contract adds funds to the existing
contract with a maximum, not to exceed, amount payable of$49,000. It is
anticipated that Mr. Walther will not exceed 25 hrs. per week at the $50.00/hr.
