MANAGEMENT AGREEMENT
This SECOND AMENDMENT to the Temporary, Property Management Agreement is
made and entered into as of the `��' day o-OGteher, 2016, by and between the City of Round
Rock (hereinafter "City") and DT Land Group, Inc., a Texas corporation (hereinafter
"Manager").
WHEREAS, on the 30th day of November, 2012, City and Manager entered into a
Temporary Property Management Agreement (the "Agreement") to manage, operate and
maintain certain real property owned by the City and commonly known as Round Rock
Commons; and
WHEREAS, on the 27th day of March, 2013, City and Manager entered into a First
Amendment to Temporary Management Agreement ("First Amendment") to allow for Manager
to lease individual units on behalf of the City and to receive commensurate compensation for
these efforts; and
WHEREAS, the City and Manager now desire to amend said Agreement to set forth a
new termination date for leasing services only of December 31, 2017, as required by the Texas
Real Estate License Act.
NOW THEREFORE, in consideration of the covenants and agreements herein contained,
the parties agree to amend the Agreement as follows:
I.
Subsection (a) in the second paragraph of the Agreement shall be amended to include a
termination date for leasing services only as follows:

Notwithstanding any other provision of this Agreement,
a. The term of this Agreement shall expire upon the approval by the Round Rock
Council of fill Property Management Agreement between the Manager and Owner. The
termination date for leasinz services only shall be December 31, 2017, and
II.
This Second Amendment modifies only subsection (a) of the second paragraph of the
Agreement as set forth above with no other changes in the terms or conditions of the original
Agreement and the First Amendment.
IN WITNESS THEREOF, the Second Amendment has been executed in multiple original
counterparts each of which shall be an original but which together shall constitute but one and
the same agreement, effective as of the date first written above.

Consider exeucting the Second Amendment to the Temporary Property Management
Agreement with DT Land Group, Inc.
DT Land Group has been managing the property located at 901 Round Rock Avenue
since 2012. DT Land Group is the point of contact for the tenants that have leasing
agreements for businesses in the shopping center - The Commons. This agreement
extends the agreement through December 31, 2017.
This agreement is an extension of time only.
