We agree to participate in NRG Curtailment Solutio P f/k/a Energy Curtailment Specialists, Inc.'s demand response(DR)programs as
designated below. By signing this Enrollment Agreement(Agreement)we agree to the following:
1. NRGCS will be our exclusive demand response provider and we authorize NRGCS to enroll us in the programs we designate below subject to our
eligibility,program availability,and pursuant to the terms of this Agreement. NRGCS will enroll us in each designated program and provide all services
necessary for us to participate in each program.
2. We consent to NRGCS's collection of our data,including but not limited to obtaining our electricity usage data from our utility. We will(a)complete
any forms requested of NRGCS as required for program enrollment;(b)authorize NRGCS to complete forms required for program enrollment on our
behalf;(c)authorize NRGCS to modify our capacity reduction commitment or bids as conditions require;and(d)curtail load or commence generation
in compliance with the applicable program rules and this Agreement.
3. NRGCS will notify us immediately after it receives notice of a curtailment test or event. We understand that we are expected to be available for
curtailment of our full committed capacity for all contracted hours within a Contract Period.
4. We will not be subject to out-of-pocket financial penalties by participating in each program even if we fail to reduce electricity consumption
when called upon. If we do not reduce electricity consumption when called upon,our future capacity reduction commitment may be reduced and our
program participation may be terminated. In no event will our failure to reduce electricity consumption require us to incur out-of-pocket penalties.
NRGCS will be responsible for all costs associated with its QSE scheduling services,if applicable.
5. (a)We will not disclose NRGCS program information to any third party;(b)We will not enroll in any other demand response program during the term
of this Agreement unless we participate through NRGCS;(c) If the program changes at any time, NRGCS will notify us of such changes and we agree
to execute any conforming contract addenda required to continue our participation and enrollment consistent with those program changes;(d)We
agree to be bound by full program rules and/or tariffs available on each program provider's website;and(e)NRGCS will determine in its discretion if
we qualify for a program and whether we will be registered in the applicable program(s).
6. No part of any contracted demand response capacity may be used to provide ancillary or demand response services in any other program(s)during
the same hours.
7. If there are any changes to our ability to meet our commitment we will notify NRGCS immediately.
8. As payment for our participation we will receive 80%of the revenues received from ERCOT(a)for accepted capacity offers per program that we
are enrolled in;(b)attributable to the amount of kW we are enrolled and certified for;and(c)adjusted for our program performance and any costs
provided for in this Agreement. NRGCS will pay us within 40-days after it receives revenue paid by ERCOT per contract period(currently three times
per year).

Emergency Response Service Program(ERS Program)
9. We authorize NRGCS to(a)enroll us in ERCOT's ERS Program;and(b)schedule our participation through NRGCS acting as a Qualified Scheduling
Entity(QSE). NRGCS will obtain our agreement on the capacity to be offered before scheduling our participation. NRGCS will enroll us in the ERS
Program for one or more ERS Contract Periods(defined below).
"ERS Contract Period"means the four month periods defined in the ERCOT Protocols for which ERCOT will procure ERS,as follows:June through
September;October through January;and February through May.
10. We will be subject per ERS Contract Period to a maximum of eight(8)hours of cumulative obligation deployment time,however ERCOT may extend
the duration up to an additional four(4)hours. We are required to perform a load shedding test once every year. If we fail the test,we will be subject
to a retest. If we fail the retest NRGCS may at its discretion decline to reenroll us in the ERS Program. The duration of a test will not count toward the
ERS Resource's eight hours of maximum deployment time for an ERS Contract Period.
11. We will participate in the ERS Program for five(5)years from the date the last party signs this Agreement as indicated by the date associated with
that Party's signature, rounded forward to the end of the ERS Contract Period in effect at the end of that period(Initial ERS Term); By signing this
Agreement we acknowledge that we are familiar with applicable federal,state or local environmental regulations that apply to the use of any generator
in the provision of ERS,and that the use of such generator(s)to provide ERS would not violate those regulations.
12. By signing this Agreement we acknowledge that we have reviewed P.U.C. SUBST. R.25.507,ERCOT ERS Protocols and this Agreement relating to
the provision of ERS,and agree to comply with and be bound by such provisions.
