ORDINANCE NO. 2212 AN ORDINANCE CONSENTING TO THE EXCHANGE OF A FUTURE INTEREST IN CERTAIN REAL PROPERTY. WHEREAS, on April 21, 1931, Maggie J. Harrell and husband, T. M. Harrell, conveyed a certain tract of land ("Tract A") to Ed R. Anderson, President of The Old Settlers Association of Williamson County, Texas, by Deed recorded in Volume 258, Page 276 of the Deed Records of Williamson County, Texas; and WHEREAS, on December 10, 1960, Cody R. Adolphson and wife, Ruby Louise Adolphson, conveyed a certain tract of land ("Tract B") to The Old Settlers Association of Williamson County, Texas, by Deed recorded in Volume 442, Page 449 of the Deed Records of Williamson County, Texas; and WHEREAS, in said Deed from Maggie J. Harrell and husband, T. M. Harrell, there was created in the City of Round Rock, Texas, a future interest in the property thereby conveyed; and WHEREAS, in said Deed from Cody R. Adolphson and wife, Ruby Louise Adolphson, there was created in the City of Round Rock, Texas, a future interest in the property thereby conveyed; and WHEREAS, The Old Settlers Association of Williamson County, Texas, now desires to exchange a certain tract of land ("Tract C"), being more fully described in Exhibit "A" attached hereto and incorporated herein by reference for all purposes, for a certain 26% undivided interest in and to a certain tract of land located east of the City of Round Rock, Texas ("Tract D") being more fully described in Exhibit "B" attached hereto and incorporated herein by reference for all purposes; and WHEREAS, Tract C is composed of a part of Tract A and a part of Tract B, and is thereby subject to the future interest held by the City of Round Rock; and WHEREAS, by Ordinance dated September _, 1985, recorded in Ordinance Book , at Page , of the Ordinance Records of the City of Round Rock the City Council of the City of Round Rock agreed that should The Old Settlers Association of Williamson County, Texas sell its fee simple determinable interest in Tract C, or exchange such interest for a fee simple determinable interest in Tract D, the City of Round Rock, Texas, would offer to either sell its future interest in Tract C or exchange such future interest for a future interest in other property that is substantially equivalent to the future interest in Tract C; and WHEREAS, The Old Settlers Association of Williamson County, Texas now desires to exchange the fee simple determinable interest which it holds in Tract C for a fee simple determinable interest in Tract D; and WHEREAS, pursuant to applicable law, the City of Round Rock published a notice in the Round Rock Leader on October 17, 1985, and on October 21, 1985, whereby the City of Round Rock offered to sell or exchange its future interest in Tract C; and WHEREAS, by letter dated November 4, 1985, The Old Settlers Association of Williamson County, Texas, extended its Bid to Exchange a future interest in Tract D for a future interest in Tract C which Bid is attached hereto as Exhibit "C"; and WHEREAS, the City of Round Rock recognizes that the interest in Tract D will be an undivided 26% (approximate) fee simple determinable interest in the whole 426 acre Tract D upon the date of conveyance, but that The Old Settlers Association of Williamson County, Texas intends to pursue a partition of Tract D so that it will ultimately own a 100% fee simple determinable interest in approximately 110 acres out of the whole 426 acre Tract D; and BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ROUND ROCK: I. That the City of Round Rock, Texas does hereby accept the Bid to Exchange extended by The Old Settlers Association of Williamson County, Texas, which Bid provides that The Old Settlers Association of Williamson County, Texas will arrange to have delivered to the City of Round Rock a future interest in Tract D which is substantially equivalent to the future interest which the City of Round Rock owns in Tract C, subject to The Old Settlers Association of Williamson County, Texas, acquiring Tract D. II. That the City of Round Rock, Texas recognizes that the interest to be conveyed in Tract D represents approximately 26% of 100% of the full fee simple interest in Tract D, and the City of Round Rock shall cooperate with The Old Settlers Association of Williamson County, Texas in the partition of Tract D so that after such partition, the City of Round Rock will own a future interest in 100% of approximately 110 acres out of Tract D instead of in an undivided 26% interest in 426 acres of Tract D. EXHIBIT "B" November 4, 1985 Ms. JoAnne Land, City Secretary City of Round Rock 214 East Main Street Round Rock, Texas 78664 Re: Bid to Exchange a Future interest in certain real property for the City of Round Rock's future interest in Old Settlers' Park Dear Ms. Land: Old Settlers' Association of Williamson County, Texas ("Old Settlers") hereby extends its Bid to Exchange a future interest in that certain tract of land described on Exhibit "A" attached hereto and incorporated herein (the "Exchange Land"), for the future interest which the City of Round Rock holds in that certain 10.969 -acre tract of land currently known as Old Settlers' Park, which the City of Round Rock offered to sell or exchange by public notice published in the Round Rock Leader on October 17, 1985 and on October 21, 1985. In exchange for the City of Round Rock's future interest in Old Settlers' Park, Old Settlers will arrange, in accordance with applicable law and regulations, to have a deed delivered to the City of Round Rock conveying a fee simple absolute interest in the Exchange Land, such conveyance to be effective if and when Old Settlers is dissolved by operation of law, or time. This deed will give the City of Round Rock a future interest in the Exchange Land, which is substantially identical to the future interest which the City of Round Rock currently holds in Old Settlers' Park. It is expressly understood, however that this Bid to Exchange is contingent upon Old Settlers' acquiring the Exchange Land.
