Contract - Austin Community College - 3/23/2017 INTERLOCAL AGREEMENT
This Interlocal Agreement (the "Agreement") is entered into between the parties shown below
(the "Contracting Parties") pursuant to the authority granted and in compliance with the
provisions of the Interlocal Cooperation Act, Chapter 791, Texas Government Code.
I. Contracting Parties:

H. Background Statement
A. ACC has various campuses in Central Texas including a campus in Round Rock,
Texas (the "Round Rock Campus").
B. City operates buses on various routes in Round Rock. Capital Metro is
responsible for the operation of the City's bus routes.
C. ACC students and employees are currently able to pay for their fares on the
Capital Metro system utilizing the Green Pass cards (the"Green Pass") swiped in
the Capital Metro electronic fare box. Such use of the Green Pass results in such
fares being paid by ACC directly to Capital Metro.
D. ACC and City are entering into this Agreement to provide for City to install a
"bus stop sign" at a mutually agreeable location on ACC's Round Rock Campus.
NOW THEREFORE,ACC and City agree as follows:
1. Installation of Bus Sign. City, at its sole cost and expense, shall install an appropriate bus
sign at a location on the Round Rock Campus mutually acceptable to City and ACC, as
shown in Exhibit A. However, City shall not be required to install any benches or other bus
stop structures or amenities in connection with the installation of such bus stop sign.
2. Insurance Coverage
City will provide, at a minimum, the following levels of insurance through the Texas
Municipal League Intergovernmental Risk Pool or a commercial carrier:
a) Commercial General Liability Insurance Coverage with limits of not less than One
Million Dollars ($1,000,000) each occurrence and not less than Two Million Dollars

($2,000,000) Combined Single Limit of Liability for Bodily Injury and Property Damage
including Products Liability.
b) Automobile Liability Insurance covering all owned,hired, and non-owned vehicles with
limits of One Hundred Thousand Dollars ($100,000) and Three Hundred Thousand
Dollars ($300,000) Combined Single Limit of Liability as per Texas Tort Claims Act.
c) Workers' Compensation Insurance Statutory Workers' Compensation coverage in the
State of Texas. Employers Liability Insurance with minimum limits of liability of One
Million Dollars $1,000,000.
d) If City is using a subcontractor to provide insurance, such subcontractor will carry:
Commercial General Liability Insurance with limits of not less than:
Each Occurrence Limit $1,000,000
Damage to Rented Premises $ 50,000
Medical Expenses (any one person) $ 50,000
Personal&Advertising Injury $1,000,000
General Aggregate $5,000,000
Products - Completed Operations Aggregate $1,000,000
e) Commercial Automobile Liability Insurance covering all owned,non-owned or hired
automobiles,with coverage for at least$5,000,000 Combined Single Limit Bodily Injury
and Property Damage or an umbrella policy with these same limits.
f) Workers' Compensation Insurance Statutory Workers' Compensation coverage in the
State of Texas. Employers Liability Insurance with minimum limits of liability of One
Million Dollars $1,000,000.
3. Term. This Agreement shall be effective as of the date of the last party to sign and shall be
for an initial term ending July 31, 2022 (the "Initial Term Ending Date"). After the Initial
Term Ending Date, this Agreement shall be continued on a month to month basis until
terminated by written notice from a party pursuant to Section 6 below.
4. Termination. After the Initial Term Ending Date, either party shall have the right to
terminate this Agreement without cause and without cost or penalties upon thirty (30)
calendar days' prior written notice. In addition, either party shall be entitled to terminate
this Agreement at any time upon thirty (30) days prior written notice if the other party has
materially breached its obligations under this Agreement.
5. Certifications. The undersigned Contracting Parties do hereby certify that each is
authorized to perform the services required by this Agreement and that such services further
a governmental function of such Contracting Party. Each signatory to this Agreement has
the specific authority to sign this Agreement and to bind such signatory's principal.
