WHEREAS, the City of Round Rock wishes to execute a Waterline
Easement Agreement with the Brushy Creek Municipal Utility District
("MUD") for an easement through the City's Mayfield Park for the MUDs
raw waterline project, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City a Waterline Easement Agreement with the Brushy Creek
Municipal Utility District, a copy of same being attached hereto as
Exhibit "A" and incorporated herein for all purposes.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended.

Easement Property: A 3.913 acre (170, 446 square feet) tract of land , said 3.913 acre tract of land
being a fifty (50) foot wide waterline easement, being more particularly described by metes and
bounds in Exhibit "A" attached hereto and made a part hereof for all purposes.
See "Drawing to Accompany Field Note Description" attached hereto and made a part hereof for all
intents and purposes hereunto and in any wise pertaining, showing such easement.
Property: A 245.4 acre tract of land situated in the Washington Anderson Survey, Abstract No. 15
and the John Dillard Survey, Abstract No. 179 , in Williamson County, Texas; being all of a called
245.24 acre tract of land as described in that Deed to Dick M. Mayfield Testamentary Trust and
recorded in Volume 2120, Page 53, of the Official Public Records of Williamson County, Texas.
Easement Purpose: For the installation, construction, operation, maintenance, inspection,
reconstruction, enlargement, relocation, replacement, repair, upgrade, and removal of a waterline.
Consideration: The sum of TEN AND NO/100 DOLLARS ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which are acknowledged by Grantor.
Reservations from Conveyance: Grantee's right to use the Easement Property is nonexclusive and
Grantor reserves for Grantor and Grantor's heirs, successors, and assigns the right to use all or part of

the Easement Property in conjunction with Grantee as long a such use by Grantor and Grantor's
heirs, successors and assigns does not interfere with the use of the Easement Property by Grantee for
the Easement Purpose.
Exceptions to Warranty: This conveyance is made and accepted subject to any and all conditions
and restrictions, if any, relating to the hereinabove described property to the extent, and only to the
extent, that the same may still be in force and effect and shown of record in the office of the County
Clerk of Williamson County, Texas.
Grant of Easement: Grantor, for the Consideration and subject to the Reservations from
Conveyance and Exceptions to Warranty, grants, sells, and conveys to Grantee and Grantee's heirs,
successors, and assigns a perpetual easement and right-of-way in upon, over, under, above and across
the Easement Property for the Easement Purpose, together with all and singular the rights and
appurtenances thereto in any way belonging (collectively, the "Easement"), to have and to hold the
Easement to Grantee and Grantee's heirs, successors, and assigns forever. Grantor binds Grantor and
Grantor's heirs, successors, and assigns to warrant and forever defend the title to the Easement in
Grantee and Grantee's heirs, successors, and assigns against every person whomsoever lawfully
claiming or to claim the Easement or any part of the Easement, except as to the Reservations from
Conveyance and Exceptions to Warranty, to the extent that such claim arises by, through, or under
Grantor but not otherwise.
Grantor hereby dedicates the Easement as a public utility waterline easement only, for the Easement
Purpose.
Terms and Conditions: The following terms and conditions apply to the Easement granted by this
agreement:
1. Character of Easement. The Easement is nonexclusive and irrevocable. The
Easement is for the benefit of Grantee and Grantee's heirs, successors, and assigns. Grantor
covenants that it will not convey any other easement or conflicting rights within the area covered by
this grant without the express written consent of Grantee, which consent shall not be unreasonably
withheld.
2. Duration of Easement. The duration of the Easement is perpetual, provided however,
that said easement, rights and privileges shall cease and revert to Grantor in the event the said
waterline is abandoned, or shall cease to be used, for a period of five (5) consecutive years.
3. Reservation of Rights. Grantee's right to use the Easement Property is nonexclusive,
and Grantor reserves for Grantor and Grantor's heirs, successors, and assigns the right to use all or
part of the Easement Property in conjunction with Grantee as long as such use by Grantor and
Grantor's heirs, successors, and assigns does not interfere with the use of the Easement Property by
Grantee for the Easement Purpose, and the right to convey to others the right to use all or part of the
Easement Property in conjunction with Grantee, as long as such further conveyance is subject to the
terms of this agreement.

4. Additional Grant of Rights. Grantor grants to Grantee the right to mark the location
of the Easement by suitable markers set in the ground; provided that such markers shall be placed in
fences or other locations which will not interfere with any reasonable use Grantor shall make of the
Easement. Grantor further grants to Grantee the right from time to time to trim and to cut down and
clear away any and all trees and brush now or hereafter on the Easement Property and to trim and to
cut down and clear away any trees on either side of the Easement Property which now or hereafter
may be a hazard to the waterline or which may interfere with the exercise of Grantee's rights
hereunder, provided however, that prior approval is obtained from the City Forester and that all trees
which Grantee is authorized to cut and remove, if valuable for timber or firewood, shall continue to
be the property of Grantor, but all tops, lops brush and refuse wood shall be burned or removed by
Grantee.
5. Secondary Easement. Grantee has the right (the "Secondary Easement") of ingress to
and egress from the Easement over and across the Property by means of roads and lanes thereon, if
such exist, otherwise by such route or routes as shall occasion the least practicable damage and
inconvenience to Grantor; provided that such right of ingress and egress shall not extend to any
portion of the Property which is isolated from the Easement by any public highway or road now
crossing or hereafter crossing the property. However, Grantee must promptly restore the Property to
its previous physical condition if changed by use of the rights granted by this Secondary Easement.
Grantee shall indemnify Grantor against any loss and damage which shall be caused by the exercise
of the rights of ingress and egress or by any wrongful or negligent act or omission of Grantee's
agents or employees in the course of their employment.
6. Temporary Construction Easement. In addition to the foregoing, and for the
consideration set forth above, Grantor grants and conveys unto Grantee, a temporary construction
easement in, under, over, above and across the following described property, to -wit:
A 1.568 acre (68,281 square feet) tract of land adjacent and parallel to the westerly line of the above
described Easement Property, said 1.568 acre tract of land being a twenty (20) foot wide temporary
construction easement, being more particularly described in Exhibit "A."
See "Drawing to Accompany Field Note Description" attached hereto and made a part hereof for all
intents and purposes hereunto and in any wise pertaining, showing a temporary construction
easement as indicated.
Said temporary construction easement is being granted to facilitate Grantee's construction and
installation of the waterline on or adjacent to the above -referenced Property, and is for the express
purpose of construction and all related work, and of construction of the waterline. Grantor grants
such temporary construction easement to Grantee, its agents and employees, with necessary
equipment, to enter upon and have access to the Property owned by Grantor, subject to the provisions
of this Easement.
This temporary construction easement shall exist from the date construction begins and shall

continue until final completion of the project, that being defined as thirty (30) days after the issuance
of the Certificate of Completion, this temporary construction easement shall terminate. The
expiration of the temporary construction easement shall not otherwise affect any of Grantee's
easement rights.
7. Fences. Grantee agrees not to fence the Easement. Grantee has the right to remove or
relocate any fences within the Easement Property or along or near its boundary lines if reasonably
necessary to construct, install, maintain, replace, or remove the waterline, subject to replacement of
the fences to their original condition on the completion of the work.
8. Trees. Any tree proposed to be removed for the construction of the waterline will
require the approval of the City Forester.
9. Trail. As further consideration, Grantee agrees to construct an asphalt trail on the
Easement Property. The trail's width, length and aligrunent shall be agreed upon with the City of
Round Rock Parks and Recreation Department ("PARD"), prior to the construction of the waterline.
The trail shall be built in accordance with the specifications provided by PARD and shall meet the
Americans with Disabilities Act requirements. The daily maintenance and upkeep of the trail will be
done by Grantor.
10. Restoration of Trail and Easement Property. Grantee agrees to repair, replace and
restore any portion of the trail or Easement Property to its original condition when necessary to
construct, install, maintain, replace or remove the waterline.
11. Equitable Rights of Enforcement. This Easement may be enforced by restraining
orders and injunctions (temporary or permanent) prohibiting interference and commanding
compliance. Restraining orders and injunctions will be obtainable on proof of the existence of
interference or threatened interference, without the necessity of proof of inadequacy of legal
remedies or irreparable harm, and will be obtainable only by the parties to or those benefited by this
agreement; provided, however, that the act of obtaining an injunction or restraining order will not be
deemed to be an election of remedies or a waiver of any other rights or remedies available at law or
in equity.
12. Attorney's Fees. If either party retains an attorney to enforce this agreement, the party
prevailing in litigation is entitled to recover reasonable attorney's fees and court and other costs.
13. Binding Effect. This agreement binds and inures to the benefit of the parties and their
respective heirs, successors, and permitted assigns.
14. Choice of Law. This agreement will be construed under the laws of the state of
Texas, without regard to choice -of -law rules of any jurisdiction. Venue is in the county or counties
in which the Easement Property is located.
15. Counterparts. This agreement may be executed in any number of counterparts with

the same effect as if all signatory parties had signed the same document. All counterparts will be
construed together and will constitute one and the same instrument.
16. Waiver of Default. It is not a waiver of or consent to default if the nondefaulting party
fails to declare immediately a default or delays in taking any action. Pursuit of any remedies set forth
in this agreement does not preclude pursuit of other remedies in this agreement or provided by law.
17. Further Assurances. Each signatory party agrees to execute and deliver any
additional documents and instruments and to perform any additional acts necessary or appropriate to
perform the terms, provisions, and conditions of this agreement and all transactions contemplated by
this agreement.
18. Indemnity. Each party agrees to indemnify, defend, and hold harmless the other party
from any loss, attorneys fees, expenses, or claims attributable to breach or default of any provision
of this agreement by the indemnifying party.
19. Integration. This agreement contains the complete agreement of the parties and
cannot be varied except by written agreement of the parties. The parties agree that there are no oral
agreements, representations, or warranties that are not expressly set forth in this agreement.
20. Legal Construction. If any provision in this agreement is for any reason
unenforceable, to the extent the unenforceability does not destroy the basis of the bargain among the
parties, the unenforceability will not affect any other provision hereof, and this agreement will be
construed as if the unenforceable provision had never been a part of the agreement. Whenever
context requires, the singular will include the plural and neuter include the masculine or feminine
gender, and vice versa. Article and section headings in this agreement are for reference only and are
not intended to restrict or define the text of any section. This agreement will not be construed more
or less favorably between the parties by reason of authorship or origin of language.
21. Notices. Any notice required or permitted under this agreement must be in writing.
Any notice required by this agreement will be deemed to be delivered (whether actually received or
not) when deposited with the United States Postal Service, postage prepaid, certified mail, return
receipt requested, and addressed to the intended recipient at the address shown in this agreement.
Notice may also be given by regular mail, personal delivery, courier delivery, facsimile transmission,
or other commercially reasonable means and will be effective when actually received. Any address
for notice may be changed by written notice delivered as provided herein.
22. Recitals. Any recitals in this agreement are represented by the parties to be accurate,
and constitute a part of the substantive agreement.
23. Time. Time is of the essence. Unless otherwise specified, all references to "days"
mean calendar days. Business days exclude Saturdays, Sundays, and legal public holidays. If the
date for performance of any obligation falls on a Saturday, Sunday, or legal public holiday, the date
for performance will be the next following regular business day.

Justification: As part of a Brushy Creek MUD raw water line project, an
easement through the City's Mayfield Park is necessary. City
staff has negotiated an argument for the easement, with
which Brushy Creek MUD is to build a hike and bike trail that
will follow the easement through the park. This segment of
trail has been identified in the Citywide Trails Master Plan and
can possibly link the City facility with the Williamson County
Regional Park and Lake Georgetown. This easement is just
one section of a series of easements that run all the way to
Lake Georgetown. Brushy Creek MUDD is to construct trail
through several of these.

Brushy Creek Municipal Utility District
The City's Mayfield Park is approximately 245 acres in
size and located at the intersection of FM 1431 and
Sam Bass Road (CR175). The property was
purchased in 2000, and remains undeveloped. There
currently is no Master Plan for the property, but the
proposed easement and trail are consistent with the
intended type of use for the property.

being a fifty (50) foot wide waterline easement, being more particularly described by metes and
bounds in Exhibit "A" attached hereto and made a part hereof for all purposes.

intents and purposes hereunto and in any wise pertaining, showing such easement.
Property: A 245.4 acre tract of land situated in the Washington Anderson Survey, Abstract No. 15
and the John Dillard Survey, Abstract No. 179, in Williamson County, Texas; being all of a called
245.24 acre tract of land as described in that Deed to Dick M. Mayfield Testamentary Trust and
recorded in Volume 2120, Page 53, of the Official Public Records of Williamson County, Texas.
Easement Purpose: For the installation, construction, operation, maintenance, inspection,
reconstruction, enlargement, relocation, replacement, repair, upgrade, and removal of a waterline.
Consideration: The sum of TEN AND NO/100 DOLLARS ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which are acknowledged by Grantor.
Reservations from Conveyance: Grantee's right to use the Easement Property is nonexclusive and
Grantor reserves for Grantor and Grantor's heirs, successors, and assigns the right to use all or part of

the Easement Property in conjunction with Grantee as long a such use by Grantor and Grantor's
heirs, successors and assigns does not interfere with the use of the Easement Property by Grantee for

Exceptions to Warranty: This conveyance is made and accepted subject to any and all conditions
and restrictions, if any, relating to the hereinabove described property to the extent, and only to the
extent, that the same may still be in force and effect and shown of record in the office of the County
Clerk of Williamson County, Texas.
Grant of Easement: Grantor, for the Consideration and subject to the Reservations from
Conveyance and Exceptions to Warranty, grants, sells, and conveys to Grantee and Grantee's heirs,
successors, and assigns a perpetual easement and right-of-way in upon, over, under, above and across
the Easement Property for the Easement Purpose, together with all and singular the rights and
appurtenances thereto in any way belonging (collectively, the "Easement"), to have and to hold the
Easement to Grantee and Grantee's heirs, successors, and assigns forever. Grantor binds Grantor and
Grantor's heirs, successors, and assigns to warrant and forever defend the title to the Easement in
Grantee and Grantee's heirs, successors, and assigns against every person whomsoever lawfully
claiming or to claim the Easement or any part of the Easement, except as to the Reservations from
Conveyance and Exceptions to Warranty, to the extent that such claim arises by, through, or under
Grantor but not otherwise.
Grantor hereby dedicates the Easement as a public utility waterline easement only, for the Easement
Purpose.
Terms and Conditions: The following terms and conditions apply to the Easement granted by this
agreement:
1. Character of Easement. The Easement is nonexclusive and irrevocable. The
Easement is for the benefit of Grantee and Grantee's heirs, successors, and assigns. Grantor
covenants that it will not convey any other easement or conflicting rights within the area covered by
this grant without the express written consent of Grantee, which consent shall not be unreasonably
withheld.
2. Duration of Easement. The duration of the Easement is perpetual, provided however,
that said easement, rights and privileges shall cease and revert to Grantor in the event the said
waterline is abandoned, or shall cease to be used, for a period of five (5) consecutive years.
3. Reservation of Rights. Grantee's right to use the Easement Property is nonexclusive,
and Grantor reserves for Grantor and Grantor's heirs, successors, and assigns the right to use all or
part of the Easement Property in conjunction with Grantee as long as such use by Grantor and
Grantor's heirs, successors, and assigns does not interfere with the use of the Easement Property by
Grantee for the Easement Purpose, and the right to convey to others the right to use all or part of the
Easement Property in conjunction with Grantee, as long as such further conveyance is subject to the
terms of this agreement.

4. Additional Grant of Rights. Grantor grants to Grantee the right to mark the location
of the Easement by suitable markers set in the ground; provided that such markers shall be placed in
fences or other locations which will not interfere with any reasonable use Grantor shall make of the
Easement. Grantor further grants to Grantee the right from time to time to trim and to cut down and
clear away any and all trees and brush now or hereafter on the Easement Property and to trim and to
cut down and clear away any trees on either side of the Easement Property which now or hereafter
may be a hazard to the waterline or which may interfere with the exercise of Grantee's rights
hereunder, provided however, that prior approval is obtained from the City Forester and that all trees
which Grantee is authorized to cut and remove, if valuable for timber or firewood, shall continue to
be the property of Grantor, but all tops, lops brush and refuse wood shall be burned or removed by
Grantee.
5. Secondary Easement. Grantee has the right (the "Secondary Easement") of ingress to
and egress from the Easement over and across the Property by means of roads and lanes thereon, if
such exist, otherwise by such route or routes as shall occasion the least practicable damage and
inconvenience to Grantor; provided that such right of ingress and egress shall not extend to any
portion of the Property which is isolated from the Easement by any public highway or road now
crossing or hereafter crossing the property. However, Grantee must promptly restore the Property to
its previous physical condition if changed by use of the rights granted by this Secondary Easement.
Grantee shall indemnify Grantor against any loss and damage which shall be caused by the exercise
of the rights of ingress and egress or by any wrongful or negligent act or omission of Grantee's
agents or employees in the course of their employment.
6. Temporary Construction Easement. In addition to the foregoing, and for the
consideration set forth above, Grantor grants and conveys unto Grantee, a temporary construction
easement in, under, over, above and across the following described property, to -wit:
A 1.568 acre (68,281 square feet) tract of land adjacent and parallel to the westerly line of the above
described Easement Property, said 1.568 acre tract of land being a twenty (20) foot wide temporary
construction easement, being more particularly described in Exhibit "A."
See "Drawing to Accompany Field Note Description" attached hereto and made a part hereof for all
intents and purposes hereunto and in any wise pertaining, showing a temporary construction
easement as indicated.
Said temporary construction easement is being granted to facilitate Grantee's construction and
installation of the waterline on or adjacent to the above -referenced Property, and is for the express
purpose of construction and all related work, and of construction of the waterline. Grantor grants
such temporary construction easement to Grantee, its agents and employees, with necessary
equipment, to enter upon and have access to the Property owned by Grantor, subject to the provisions
of this Easement.
This temporary construction easement shall exist from the date construction begins and shall

continue until final completion of the project, that being defined as thirty (30) days after the issuance
of the Certificate of Completion, this temporary construction easement shall terminate. The
expiration of the temporary construction easement shall not otherwise affect any of Grantee's
easement rights.
7. Fences. Grantee agrees not to fence the Easement. Grantee has the right to remove or
relocate any fences within the Easement Property or along or near its boundary lines if reasonably
necessary to construct, install, maintain, replace, or remove the waterline, subject to replacement of
the fences to their original condition on the completion of the work.
8. Trees. Any tree proposed to be removed for the construction of the waterline will
require the approval of the City Forester.
9. Trail. As further consideration, Grantee agrees to construct an asphalt trail on the
Easement Property. The trail's width, length and alignment shall be agreed upon with the City of
Round Rock Parks and Recreation Department ("PARD"), prior to the construction of the waterline.
The trail shall be built in accordance with the specifications provided by PARD and shall meet the
Americans with Disabilities Act requirements. The daily maintenance and upkeep of the trail will be
done by Grantor.
10. Restoration of Trail and Easement Property. Grantee agrees to repair, replace and
restore any portion of the trail or Easement Property to its original condition when necessary to
construct, install, maintain, replace or remove the waterline.
11. Equitable Rights of Enforcement. This Easement may be enforced by restraining
orders and injunctions (temporary or permanent) prohibiting interference and commanding
compliance. Restraining orders and injunctions will be obtainable on proof of the existence of
interference or threatened interference, without the necessity of proof of inadequacy of legal
remedies or irreparable harm, and will be obtainable only by the parties to or those benefited by this
agreement; provided, however, that the act of obtaining an injunction or restraining order will not be
deemed to be an election of remedies or a waiver of any other rights or remedies available at law or
in equity.
12. Attorney's Fees. If either party retains an attorney to enforce this agreement, the party
prevailing in litigation is entitled to recover reasonable attorney's fees and court and other costs.
13. Binding Effect. This agreement binds and inures to the benefit of the parties and their
respective heirs, successors, and permitted assigns.
14. Choice of Law. This agreement will be construed under the laws of the state of
Texas, without regard to choice -of -law rules of any jurisdiction. Venue is in the county or counties
in which the Easement Property is located.
15. Counterparts. This agreement may be executed in any number of counterparts with

the same effect as if all signatory parties had signed the same document. All counterparts will be
construed together and will constitute one and the same instrument.
16. Waiver of Default. It is not a waiver of or consent to default if the nondefaulting party
fails to declare immediately a default or delays in taking any action. Pursuit of any remedies set forth
in this agreement does not preclude pursuit of other remedies in this agreement or provided by law.
17. Further Assurances. Each signatory party agrees to execute and deliver any
additional documents and instruments and to perform any additional acts necessary or appropriate to
perform the terms, provisions, and conditions of this agreement and all transactions contemplated by
this agreement.
18. Indemnity. Each party agrees to indemnify, defend, and hold harmless the other party
from any loss, attorney's fees, expenses, or claims attributable to breach or default of any provision
of this agreement by the indemnifying party.
19. Integration. This agreement contains the complete agreement of the parties and
cannot be varied except by written agreement of the parties. The parties agree that there are no oral
agreements, representations, or warranties that are not expressly set forth in this agreement.
20. Legal Construction. If any provision in this agreement is for any reason
unenforceable, to the extent the unenforceability does not destroy the basis of the bargain among the
parties, the unenforceability will not affect any other provision hereof, and this agreement will be
construed as if the unenforceable provision had never been a part of the agreement. Whenever
context requires, the singular will include the plural and neuter include the masculine or feminine
gender, and vice versa. Article and section headings in this agreement are for reference only and are
not intended to restrict or define the text of any section. This agreement will not be construed more
or less favorably between the parties by reason of authorship or origin of language.
21. Notices. Any notice required or permitted under this agreement must be in writing.
Any notice required by this agreement will be deemed to be delivered (whether actually received or
not) when deposited with the United States Postal Service, postage prepaid, certified mail, return
receipt requested, and addressed to the intended recipient at the address shown in this agreement.
Notice may also be given by regular mail, personal delivery, courier delivery, facsimile transmission,
or other commercially reasonable means and will be effective when actually received. Any address
for notice may be changed by written notice delivered as provided herein.
22. Recitals. Any recitals in this agreement are represented by the parties to be accurate,
and constitute a part of the substantive agreement.
23. Time. Time is of the essence. Unless otherwise specified, all references to "days"
mean calendar days. Business days exclude Saturdays, Sundays, and legal public holidays. If the
date for performance of any obligation falls on a Saturday, Sunday, or legal public holiday, the date
for performance will be the next following regular business day.

BEING a 3.913 acre (170,446 square feet) tract of land situated in the John H. Dillard

Williamson County, Texas; being a portion of that certain called 245.4 acre tract of land
described in a Special Warranty Deed from Fern Mayfield, Dick R. Mayfield, Marjorie
