Dear Mr. Villasana
As you are aware, it is necessary for the City of Round Rock ("City") to acquire a
Temporary Construction Easement interest in a portion of your property to assist with
completion of the proposed Creek Bend Blvd./Creek Bend Circle improvements. Please
allow this letter to set out my understanding regarding our agreement for the City's
purchase of a Temporary Construction Easement ("TCF') as we have discussed in our
previous correspondence.
In return for granting a TCE in and to that certain portion of your property
containing a total 0.027 acre (1,190 SF), the City will pay the sum of $500. The form of
the easement will be as shown in Exhibit "A" attached hereto.
If this meets with your understanding then please sign where indicated below, and
we will have this executed by the City Manager and processed for payment as quickly as
possible.

THE STATE OF TEXAS
KNOW ALL BY THESE PRESENTS:
COUNTY OF WILLIAMSON §
That JOHN VILLASANA and their successors and assigns (hereinafter referred to as
"Grantor"), for and in consideration as set out herein and other good and valuable consideration
by CITY OF ROUND ROCK, TEXAS, its agents, contractors, successors and assigns,
(hereinafter referred to as "Grantee"), the receipt and sufficiency of which is hereby
acknowledged, does hereby GRANT, SELL and CONVEY unto Grantee a Temporary
Construction Easement in and to the Property described in Exhibit "A" attached hereto to
construct, install, connect, inspect, reconstruct, rebuild, and repair roadway improvements in the
adjacent right of way owned by Grantee, and any necessary accessories, grading, slope, or
operations thereto in connection with the Creek Bend Blvd./Creek Bend Circle roadway
improvements by Grantee, across the Property as necessary to carry out the purposes of this
Easement.
This conveyance is made and accepted subject to any and all conditions and restrictions,
if any, relating to the hereinabove described property, to the extent, and only to the extent, that
the same may still be in force and effect, shown of record in the office of the County Clerk of
Williamson County, Texas.
Grantee shall have the right and privilege at any and all times to enter said premises, or
any part thereof, for the purpose of construction and maintenance of the improvements described
above, and all work shall be performed in substantial conformance with the plans, notes, details
and specifications as shown in Exhibit `B" attached hereto and incorporated herein; all upon the
condition that upon completion of construction of the roadway improvements and connections
referenced herein, Grantee shall repair and restore the surface of said premises as nearly as is
reasonably possible to the condition which the Property was in before the work was undertaken
given the uses of the Property, including repair or replacement of any landscaping, ornamental
trees, irrigation, fencing, walkways or other vegetative material.
This Temporary Construction Easement shall terminate and all rights in the Easement
area shall automatically revert to Grantor upon the expiration of twenty one (21) days after the
first entry of Grantee upon the Property for the purposes of this Easement, or on October 31,
2016, whichever occurs first.
Grantee hereby covenants and agrees:
(a) To the extent allowed by law, Grantee shall indemnify Grantor against any loss and
damage which shall be caused by the exercise of the rights of ingress and egress or by
any wrongful or negligent act or omission of Grantee's agents or employees in the
course of their employment.

(b) At no time during the use of the Easement area shall Grantor be denied reasonable
access to the remaining property for its existing uses without prior agreement between
Grantor and Grantee, its agents, contractors or assigns.
As additional consideration for the granting of this Easement the Grantee agrees to
construct temporary fencing along the boundary of the Easement area at the request of owner,
which temporary fencing shall be removed upon completion of any work in the Easement area or
upon expiration of the rights granted herein.
TO HAVE AND TO HOLD the rights and interests described unto Grantee and its successors
and assigns, forever, and Grantor does hereby bind himself, his successors and assigns, and legal
representatives, to warrant and forever defend, all and singular, the above-described Temporary
Construction Easement and rights and interests unto Grantee, its successors and assigns, against
every person whomsoever lawfully claiming, or to claim same, or any part thereof.
