WHEREAS, the City of Round Rock ("City" ) and Fern Bluff
Municipal Utility District ( "District" ) desire to enter into an
agreement to allow for additional points of entry for wastewater into
the Brushy Creek Regional Wastewater System, and
WHEREAS, the City wishes to enter into a Letter of Agreement
Concerning Wastewater Master Meter Locations with the District, Now
Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City a Letter of Agreement Concerning Wastewater Meter
Locations to allow for additional points of entry for wastewater into
the Brushy Creek Regional Wastewater System, a copy of said agreement
being attached hereto and incorporated herein for all purposes .
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended, and the Act .

LETTER OF AGREEMENT
CONCERNING WASTEWATER MASTER METER LOCATIONS
This Letter of Agreement is entered into by and among the City of Austin
("Austin"),Texas,a home rule municipality,the City of Round Rock ("Round Rock"),
Texas, a home rule municipality, Fern Bluff Municipal Utility District ("Fern
Bluff"), a municipal utility district created pursuant to Article 16, Section 59 of the
Texas Constitution, and the Lower Colorado River Authority ("LCRA"), a Texas
river authority to set forth the parties' agreement regarding additional points of entry
for wastewater into the Brushy Creek Regional Wastewater System("Regional System").
RECITALS
1. Fern Bluff is currently a wholesale wastewater customer ofAustin. Austin
provides such wastewater service to Fern Bluff through a contract between Round Rock
and Austin under terms that allow Austin to deliver certain amounts of wastewater to
the Round Rock wastewater system. Round Rock provides wastewater service to Austin
through Round Rock's participation in the Regional System with LCRA.
2. Currently, Fern Bluffs wastewater is delivered to the Regional System at
one point of entry ("Original Point of Entry") generally located east of Stone Canyon,
Section 5 Subdivision and approximately 200 yards south of County Road 174.
3. In order to avoid the need for construction of a wastewater lift station to
deliver Fern Bluff wastewater from certain customers within Fern Bluff to the Original
Point of Entry, the parties desire to allow certain Fern Bluff wastewater to be delivered
to additional points of entry into the Regional System as set forth in this Letter of
Agreement.
NOW, THEREFORE, for and in consideration of the mutual covenants and
obligations contained herein and other good and valuable consideration,the receipt and
sufficiency of which all parties acknowledge, the parties agree as follows:
1. Fern Bluff shall be allowed to deliver wastewater flows into the Regional
System (Contract 3) at the two locations designated on Exhibit "A" and Exhibit "B"
attached hereto and incorporated herein for all purposes as well as the Original Point
of Entry. It is understood and acknowledged that (1) the point of entry designated on
Exhibit "A" has been connected at this time and a master meter has been installed; and
(2) the point of entry designated on Exhibit "B" is a future connection, including a
master meter,to be constructed concurrently with the developmentof Fern Bluff's Stone
Canyon, Section 8C subdivision. As between Fern Bluff and Austin, wastewater flows
at the two new points of entry shall be considered flows from Fern Bluff; as between
Austin and Round Rock, such flows shall be considered flows from Austin; and as
between Round Rock and LCRA,such flows shall be considered flows from Round Rock.
2. The parties agree that the master meter(s)and easements,including access
easements,therefore as described on the Exhibits for the additional points of entry shall
be dedicated to the LCRA for ownership, operation and maintenance to be a part of the
Regional System.
3. All wastewater flows from the additional and existing points of entry will
be metered for billing purposes through the Onion Branch Lift Station. The master
meter(s) for the additional points of entry shall be for future use within the Regional
System but not for current billing purposes unless otherwise agreed to in writing by the
parties. The parties agree that prior to Cedar Park or other flows being introduced into
the Regional System, the parties will determine an alternative billing and metering
procedure. So long as this Letter of Agreement is in effect, flows from Fern Bluff may
enter the Onion Branch Lift Station owned by Austin and may enter the Regional
System facilities.
4. The parties agree that to the extent any other agreements by or between
any of the parties to this Letter of Agreement provide for only the Original Point of
Entry, those other agreements are hereby supplemented to allow the additional points
of entry set forth in Exhibit "A" hereto.
This Letter of Agreement shall be effective on the last date entered below and will
terminate when Fern Bluff executes a separate agreement to become a customer of
LCRABrazos River Authority in the Regional System.
